Title: Help with launching a new ICO - rather than a Kickstarter...
Post by: stefek99 on May 19, 2017, 10:26:52 AM
There are so many new platforms out there: Colony (we are on beta), Wings (registered to alpha), Waves, all allowing to launch a new token...

We are getting ready for the Kickstarter and I'm collecting notes about ICOs: https://github.com/astralship/wiki/wiki/ICO---Initial-Coin-Offering

I was wondering what are the best tools out there? We would rather focus on actually delivering stuff rather than re-inventing existing infrastructure...

If similar threads exist - please share the links...

More about us:

(we are for real)

All the best.

I've updated the wiki link: https://astralship.org/ico

We have all the marketing machine and business plan ready, been working on it full time since January.

The only difference is to replace Kickstarter with ICO.

Asking on Stack Exchange about favourable jurisdictions: https://law.stackexchange.com/questions/19095/which-jurisdiction-has-the-most-user-friendly-laws-for-fundraising-via-kickstart

And tweeting to E-Estonia: https://twitter.com/theastralship/status/869675697526190085

Switzerland? Liechtenstein?

In the past couple of days we've been in touch and had initial chat with:
- N...from BitcoinSuisse
- M... from Argon Group
- J... from Cryptodex

(shameless name dropping, progressing with legal / accounting research)

Another two notable organisations we've approached:

I'm utterly not sure about the country where to incorporate and I'm actually thinking about not having a country at all - operate on Bitnation and/or Aragon - have all the founders, employees compensated in crypto and grow the economy (more contractors and suppliers) by choosing vendors that also accept crypto. Declare independence - establish network of embassies - just like Julian Assange hiding in Ecuadorian embassy in London...

At the same time, my body is physically located in the UK and local government might not like such an approach. Financial Conduct Authority policy on crowdfunding:
- April 2014: https://www.fca.org.uk/publication/policy/ps14-04.pdf
- February 2015 review: https://www.fca.org.uk/publication/thematic-reviews/crowdfunding-review.pdf

Also some background check on me: https://docs.google.com/document/d/1j8mXTazePtPruvdbi7uyE7Fpf-5VVNCdwqeIVu4TOCs/edit?usp=sharing (of course do not trust me, do your own due diligence)

Did you get rich from bounty campaigns? (social media, avatars, footers) - https://bitcointalk.org/index.php?topic=1946128.0 - keen to obtain help and support...

Not a lawyer, just an opinion. Here's something you may want to look through. Using an ICO to give a community ownership of property - if that's what you're proposing - would probably run into securities issues.

https://www.coinbase.com/legal/securities-law-framework.pdf

Something you should run through legal.

Initially we were thinking about selling our services.

Initially our goal was in region of £8888 or £11111 with a massive amount of stretch goals.

Low goal because it's never easy to ask people for money and it's difficult to estimate interest and commitment.

This is gold, reading it now!

TOS on Kickstarter:

- https://www.kickstarter.com/rules/prohibited?ref=rules

That's why initially we were offering our time and services. And the expected amount of money was sufficient to upgrade the premises and be able to host people.

With the buzz, hype and so much money in the crypto space - we are seriously leaning towards ICO and choosing the right legal system and accounting is my primary concern now.

Meetup in London - https://www.meetup.com/coinscrum/events/239999231/ - posted a job - https://moneo.io/job/158-ico-legal-accounting-need-help-with-incorporation-country-jurisdiction - it's still being reviewed so screenshot for reference:

Very neat platform.

Chance for you guys to earn some BTC.

We are progressing on legal and regulatory end...

Still not 100% about the exact date and mechanics, BIP148 UASF is causing some stress about economy coming to a halt...

I've shared the Whitepaper with a few guys in the space...

Funny moment: https://twitter.com/theastralship/status/885459087240155137

"I want to invest" - so I've recorded commitment in 360, then we together crafted a tweet, that was then RT...

Right now we are looking for £50k "friends family" round - that's 30 BTC and the current rate.

Here is the video I've recorded: https://twitter.com/stefek99/status/887060998523420672

Asset backed token:
• people are no longer religious
• they do not go to churches
• it cost money for maintenance, insurance - they are put on the market
• they are available to buy for little amount of money
  - regular homeowners cannot afford large scale refurbishment
  - traditional developers - they would probably prefer “residential” zoning

The video is fairly good - it explains in more details.

We call £50k "friends and family" round and it is possible that it will come from more than single person.

It is happening, it is for real, probably the video (and links in the description) will do much better justice than me talking here... 🦄

Recorded the video: https://youtu.be/ugknikDkDv0

Thinking about best way to incentivise early investors... £50k / 30 BTC is not much, yet means a lot at this stage.

We had a number of conversations - feedback - learning experience.

Amazing experience so far.

Multiple stages + Vesting + Escrow + milestone-released payments

We want to create the best, kickass, badass smart contract for the ICO...

And we have some programmers who are keen to participate, that's why the bridging finance.

It's happening, it's for real.

Not bad for several months of work. Slow, steady progress is better than ICO with nothing to show for in the beginning. Would you like to share an update with us? Please, please create a bad-ass smart contract and USE the platform's advantages. Show us that this isn't just another token for another ICO for another alt.

I'm offering 10% per year - much more than 0% in the banks - at the same time I'm advocating use of Bitcoin...

•••

The building was only £40k - 200 square meters and some land. For this price you will get half of a garage / parking space in London.

£5k - can afford it now. £200k - that would be challenging. £40k - amount that motivates me, amount that keeps me going. Slightly outside of my comfort zone, that's where life starts...

About the ICO smart contract - some research - https://docs.google.com/document/d/1EhOGGMuyhmmfvyOnexBxYSa54RmjNyq86tZcAVaOqfw/edit - I know 3-4 solidity developers who like the idea, who said "yes" once I have cash to pay them... That's why the pre-ICO phase - ability to raise small amount of money to pay for coders, legal, marketing.

What a crazy story!

So I wanted to do the ICO to buy a few churches.

One of the churches became available for sale and I've won the auction: £40k.

I've raised the money from friends and family and now I'm realising - too much of a financial stress for me:
- all my savings
- BTC already sold into FIAT
- going into debt, being on the hook to return money

There is a difference between borrowing money from friends and family VS obtaining investments from people who deal with money on a daily basis.

As of now - Sat 11 Nov 14:02 UK time - I'm not likely to buy this church - I'll lose 10% deposit, some legal fees, potentially they can sue me for not completing the transaction.

At the same time - I know there are people around who can contribute £36k (10% deposit already paid) or 8 BTC and finalise the purchase of the building: http://ebenezer.wales/

Universe provides.

Fortune favours the bold.

And yet... Unsure whether to commit life savings + borrowed money into a project that is likely to take a lot of effort in the coming months.

https://www.theguardian.com/travel/2016/oct/25/north-wales-lonely-planet-2017-lonely-planet-best-in-travel-list

Wish £40k was a pocket change... In my current reality - it's a lot of money. Tricky business...

(seriously unsure what to do with this deal, I sense a lot of pressure from the buyers)
