Thanks for your good wishes!.  We are trying to be in the middle of the Fintech and traditional worlds.  9 euros is high in Fintech but low in traditional IPOs.  We are selling 45% of the company.  Please consider that Facebook was launched at $27  and now trades at $148  Google (now Alphabet) was launched at $50  and now is $954.  The best, Amazon was launched at $4 and now is at $959.  Twitter was launched at $40 but now trades at $18.

You know better about your decision of running the promotion at facebook and didn't choose twitter. Your team management surely thought at every aspect but twitter is much more better for ICO's as more investors and crypto related stuff and people are active at twitter. Facebook isn't good for this kind of stuff to promote and market.

According to the general information, the company has two classes of shares which will be allocated in a definite way. 45% of Class A shares are being offered for sale. 24% are held by the board as Class B shares. Other 31% are reserved for a future employee incentives pool, finance, bonuses, compensation and etc. Both classes have identical economic benefits and what is more, the holders of our Class A common stock and Class B common stock will generally vote together as a single class.

If you meant something else, please specify, how you calculated 68%.

According to the announcement there are 845118 class A shares and 266882 class B shares. Class A shares have 1 vote per share while class B shares have 10 votes per share. Therefore the total number of votes are 1 x 845118 + 10 x 266882 = 3513938, of which 10 x 266882/3513938 = 75.95% is the class B voting percentage. I made a mistake in my previous calculation.

So in actual fact the number of shares being offered for sale (500000) only have a 14.23% vote.

I just cannot see the reason for the different classes as the 500000 shares on sale have such small say in the company. In fact the class A shares which represent ~76% of the total number of shares have a combined ~24% (including the allocation to treasury, rewards, payments for services and employees participation) say in the direction of the company.

It just feels like there is no use in giving the class A shares any voting rights and it seems like a "token" gesture.

You are quite right, expected Share Token sale starts 14th June and will last for 1 month or until all tokens are sold. It is planned that the minimum number of share-tokens to be sold in the ICO is 133 500 and the maximum is 500 000. We are full of high expectations on that score.

Class A shares will own 45% of the company and will have all rights and privileges of common shares.  It is not a gesture.  There are several reasons for the founders shares having 10x1 voting and the Class A 1x1 vote.
1.In case of one or two investors buying the entire ICO offer, they could take over the management and control, which the founders are not prepared to do at this time.
2. The founders do not necessarily all will vote as one block.  For instance, if in three years there is an offer to buy the company at 500 euros per share and half the founders do not agree, then the 45% Class A together with the half that agree could accept the offer.  The same with any other time where a shareholders vote is required and the class B shareholders vote is split.
3. Class B shares cannot be sold or transferred.  Only held by the Founder who owns them.  If the Founder wishes to sell or give them, they are automatically converted to Class A.  If the Company is sold, as in the above example, then there would only be non voting shares.
4.  Non-voting shares are less valuable.  If in the future there is a new round of financing, the new investors may require the issuance of a new class of voting shares.  This new class would be more valuable than Class A shares.  If subsequently the Company is sold, the new buyers may not be interested in any of the Class A shares.
5.  The two largest investors with over 56 000  Class A shares, will each have the right to a Board seat.  This gives considerable power in the affairs of the company and allows them to contribute towards the growth and success of the business.

The founders together with the ICO investors have all equal rights apart from voting rights.  If the company declares a dividend or is acquired, both classes A and B will receive the same amount.

Hopefully, this clarifies the offering share structure.

As a growth company, there are no plans for Orocrypt to declare dividends.  Companies like Facebook, Google, Amazon and many others do not pay dividends, yet they have been excellent investments. Bitcoin doens't pay dividends, still many investors have, and are, making fortunes with bitcoin and other cryptocurrencies.

If business circumstances merit in the future a declaration of dividends by Orocrypt, these will be denominated in whatever form is the most advantageous to the shareholders.  They could be either in euros, bitcoin, ether, gold, silver, etc.

As a longtime cryptocurrency holder, trader, and miner I would stop...think....and take a second look at this company before investing.

Panama has strict laws regarding shares and capital trading. We must all be weary of centralized companies that offer "pseudo-cryptocurrencies". In the last consensus conference this topic was mentioned. We are seeing a flood of centralized companies offering "shares" or "asset-tokens" in an attempt to circumvent regulation.

Most countries have not developed laws that encompass the entire definition of cryptocurrency. That means that if regulation is changed, the token holders can be affected. This is not the case with decentralized tokens.

Additionally there is the legal matter of selling Class A shares in Panama. I think that we should be provided proof that the Superintendency is on board and approves the sales. Even if this is confirmed, we must know where the gold is coming from and what measures have been taken to protect the consumer.

I welcome anyone to do their research and share it. If the company is legit and the shares are signed off by the SBA, then it will be interesting to see its growth.

Regarding tokens, we will issue ERC20 tokens on ethereum blockchain which means they will be decentralized and we can't control their flow. We can discuss why you think they are centralized, I will gladly respond to all of your questions.

Information about gold storage you can find on the website. Every storage will be inspected by SGS.

If the gold that is used to back the currency/asset is under the company's control or another authority's control, then the platform is centralized. Decentralization means the lack of a governing body.

The Ethereum metatokens are worthless without the gold backing that is being offered.

You are completely right. I thought we were talking about share-tokens. They are backed by real shares of Orocrypt company.
Gold tokens will be issued after ICO in case it is successful. And it is not centralized due to this text in whitepaper:

Here, ORO.G is gold-token.

We will have to see these specifics you mention to determine if they protect the consumer. Precious metals is a highly regulated market and a whitepaper is not a legally binding document.

I do have another question though: To participate in the ICO we have to provide our address, identity documents, telephone number, and email address. This is done in order to comply with KYC and AML laws. That means all token holders will need to register their real identities in order to claim their gold in an event of bankruptcy or withdrawal. Is this also true for anyone who buys at an exchange and not directly through your ICO?

During ICO we sell share-tokens, not gold-tokens. And yes, you will have to provide your real identity. We are keeping a shareholder registry, as required by Panamanian law.
Same for exchanges.

You are quoting FIAT based businesses that exist in the FIAT based markets. This is the 'Wild West' compared to that 'traditional' world.
Those businesses rarely respond the same as businesses that exist in the young and volatile Crypto markets.

You maybe making a mistake of judgment.  It is a bit like comparing yourself to elite bicycle businesses when launching into a redneck speedway racing business.

If this coin drops to less than 1 Euro in value after launch don't be surprised, and of course....welcome to the learning curve that is volatile Crypto world.

I note that your history is clearly with FIAT finances, based from your team website info. I expect you are about to get on board a rollercoaster... and therefore, so are your investors.

Investing in an ICO that charges 9 Euros for a coin at launch, maybe asking for trouble.

Have you financially assessed Crypto businesses at all and seen what they do? or just looked at Facebook , Google, and businesses in that 'traditional' world. They may be computer-based and seem similar, but they aint Crypto and to quote them as comparisons suggests you dont really know what you are dealing with here.

I don't think there are any innovative developers on the team because they are depending on the Ethereum Token scheme. That's probably where the lack of knowledge come into play.

I also agree that they are not taking into account the volatility of the cryptocurrency market. Not only that, we find trust in decentralization. This goes totally against that principle.

Now, let's say the company is legit and it manages to get the gold. As I understand it, companies can give out shares or bonds that amount to the company's worth. This company has:

In their whitepaper they mention the Panama SBA. This entity is the one that regulates all securities and banking activity in the country. I have written them a friendly email to verify if their claims are true. I will update you guys as soon as I know more.

It's hard to collect money from non-English speaking regions if you don't support local threads. Other projects run bigger campaigns to get investment from all over the world. You should reconsider your decision. Just my 2 satoshis.

The tokens will be sent to each investor's wallet as soon as we receive payments.  We will not keep private keys, so not recovery.  About the founders, you can see that they cannot sell their shares as Class B.  They have to be converted as Class A.  Only then can either be sold or tokenised.  This is each founder's individual choice.

We don't sell to US persons due to US regulations.  Our tokens can be deemed to be securities by the SEC, or commodities as they currently stand by the CFTC or even money tranfers institutions in some states.  To comply with all these regulations is very expensive.  In the future we may set up a US subsidiary that could accept US investors. 
That is if we are successful.  :)

Provided the ownership records listed with the vaults are downloadable & the vault audits themselves are fairly frequent then the blockchain record/ERC20 aspect is fairly superfluous/redundant. (Because I don't think you can trade the gold tokens on crypto exchanges only back to Orocrypt or on their exchange to people who have done their KYC.) So I don't see a big market with the current model but good luck though!

Though probably not legally feasible, if you were also able to offer an allocated gold model where gold backed tokens can be bought & sold by anyone but can only be redeemed for physical gold if full KYC is done, then you might have a larger potential market.

Most ICO's just require sending ETH/other to an ICO address. Yours is one of the few I've seen that requires full name etc. as part of the ICO terms & conditions.

Hi migello.  Thanks for your comments.  They allow us to present our point of view.  To clarify your comment about dividends, we are only not committing at this point to declare dividends.  That doesn't mean that they may never be paid.  Our perspective is that if the company in one year from now, has one million in profits and there is an investment opportunity that may give 500,000 in future profits, our owners would be better off by not receiving dividends and would benefit a lot more from the increase of the company value by investing the million in the new deal. On top, dividends are taxed as ordinary income in most jurisdictions, whilst capital gains from selling tokens held long term pay taxes at a much lower rate.

I don't understand what you mean we burn $2.459.000 dollars and that token holders have basically nothing.  Please remember that we are euro based, not dollar based.  Also please look at our proforma balance sheet, also in our prospectus.  It shows that after the ICO, the company will keep most of the 4.5 mm in cash, bitcoin, ether and gold.

Our expected first year expenses are approximately 1.2mm equivalent to 100,000 a month.  Lets say that the gold-token we will sell in September is a flop.  Then the silver token we will sell in October is another flop, and the un-mined gold token for December is also a flop.  We would probably at that point stop operations and close the business after six months.  If we had only spent 600 thousand during those six months, and had zero profits, there would be 3.9 million euros left that would belong to the owners.  Tokens outstanding would be 655000 (the founders only have 155,000 tokens with the rest accrued over three years).  Dividing 3.9 million euros into 655,000 tokens (500,000 ICO +155,000 founders) leaves a value to be returned to each token of 5.95 euros.  So under that scenario, each token owner would lose 3.05 euros if the company fails to make one cent during its first six months and decides to close.  Yes, any investment in a startup is very risky.  Most startups do not make it past their first year, and we have been very open about it. An investment in the company is risky!  But to say that investors have nothing is incorrect.

Now, add the managing team value.  That is very important.  Remember what happened to Apple when Steve Jobs went back?.  For instance, Digix is valuing their team at approximately 30 million dollars (136 million in eth in their wallet and a total value of market capitalisation of 167 million}.  When you are investing in Orocrypt you are also getting the managing team.  A group of experienced and successful individuals.  Investors in the company are getting the team's capacity to generate profits, to find profitable investments and to manage Orocrypt very well. 

Finally, we do hope to succeed in our ICO.  If we do not, then Orocrypt will get financing from traditional sources and therefore continue with its plans.  So come what may, expect to see our gold-token in September!  Many thanks!

You have incorporated in Panama, not in anyone's top 10 AFAIK, you require KYC from investors & customers of your main product. So there's not much USP for investors or customers vs. using/investing in existing gold holding services. I know you have said you are looking at a gold token product which only requires KYC if you claim the physical which is great but to extend that idea further you could...

Through the use of a price oracle, create a smart contract that If you send ETH to the contract it sends you back 1 gram gold tokens at spot +2%. If you send gold tokens to the smart contract it gives you back ETH at spot -2%.

The contract is funded with enough ETH to cover 1% of outstanding gold tokens & replenished if needed every 24 hours.

50% of the fees charged above/below spot are sent to another smart contract and distributed to ORO token holders.

- The 1 gram gold tokens will likely trade on exchanges within a tighter range than the +-2%
- In the event of an Orocrypt bankruptcy token holders can claim gold directly from the vault with a minimum of 30 grams & with KYC.

That way customers have a private gold product they can access simply by sending ETH to a smart contract & investors have a private share that provides consistent returns from 50% of fees regardless of whether the 10x voting shares 'think' they have a more profitable use than dividends for the remaining revenue.

Hi Garrett.  Don't be sad.  There are still almost two weeks left in the ICO.  A lot can happen during this time.  Also, I can tell you that we will refund the investors if we do not reach the minimum.  Look at who are the team's people behind the project.

The company will continue with its plans whether the ICO succeeds or not, because if it doesn't we will look for funds from traditional financing.  We would still launch our gold backed tokens in September and we want it to be a success.

Your concept is brilliant!  It only needs to be worked out a bit more.  Some points that need revision are:

One gram.  That is too small.  Spot gold price fees for one gram range between 10-25%.  If you charge 2% you would be losing money.

KYC.  If you do not have a solid KYC process you will not be able to have fiat currency bank accounts or be able to buy gold from reputable providers, or store it at reputable vaults. Regarding dividends, it is illegal in most jurisdictions to distribute dividends without KYC and investor registration. 

Fractional banking.  1% in daily reserves is too little.  It would have to be much more and determined by a process similar to the stress tests banks are currently undergoing.

What about 2% above and below what Orocrypt would pay for a 100g bar? I.e a 4% spread/profit.

& What if the minimum gold token size was 1 gram but the minimum amount of gold tokens you needed for physical delivery/withdrawal was 100 + KYC (Example: Orocrypt buys 10, 100g bars and can now sell & buy back 1000 '1 gram gold tokens' backed by physical gold based on the current price of 100g bars - That way no 1 gram physical bars with a huge mark-up are purchased only 100g and up.)

Regards fractional banking. I'm not suggesting 1% gold reserves. I'm suggesting 99/100% gold reserves & 1% of that total value in ETH reserves. So if you have sold 100kg worth of physical vaulted gold, so 100 000 gold tokens on the market, the ETH contract should have at least $40 000 worth of ETH so that 1% of the gold tokens can be redeemed for ETH on a daily basis. In the event more people wanted to exchange their gold tokens for ETH, Orocrypt would sell more of their fully backed physical on the market, buy ETH with the proceeds and replenish the smart contract.

Regards dividends, I'm not familiar with the various laws surrounding them but I know many cryptos offer/will offer it in some form such as VSL, WAGR, TKN and the ones listed here https://www.investitin.com/cryptocurrency-dividends/
Perhaps one of those approaches would be a feasible & legal method for Orocrypt.

Regards KYC, pretty difficult, what if Orocrypt or a trust was the owner of the gold (for this particular product offering) with some measures put in place that would require the gold to be sold and ETH bought & sent to the smart contract in the event of a bankruptcy/other. That way the token holders are just owners of digital tokens, no bad actors could actually get physical gold because they have to pass KYC and have at least 100 1 gram gold tokens to get delivery.

(The OGC one gram backed token will be redeemable for physical & I 'believe' will be tradable on regular exchanges, ie the digital token can be bought and sold without KYC. (I don't like their model because their token issuance is limited, so the tokens will be valued at 'Gold + large speculative/volatile premium, like XAURUM which has some small gold backing but most of the token value is speculative & volatile which defeats the point.) Xaurum is also traded on regular exchanges, no KYC and there is a method to redeem the underlying physical I believe. Hopefully one of those offerings is using a legal solution to the problem that can be emulated.)

July, 14th is exactly a month since we launched the ICO for Orocrypt and it’s also the date when it finished. The minimum goal we set was to sell 133 333 OROC tokens with 9 EUR per token and thus get our investment target of 1.2 million EUR. The ICO didn’t manage to reach that minimum but it definitely doesn’t mean the end of Orocrypt. We’ will seek other means to capitalise the Company and we will move forward with our business plans as described in our roadmap.

ICO didnt reach minimum cap and dev promised to issue the refund but no news since than,There is no question of bounties being paid in such a situation.

I told you they were scam. They opened everything with fake ID's. There's no Alejandra De Gaustad and no office. Just a rented mailbox even you can get for very cheap price. They never posted/login since 24th July. It was a bad organised scam attempt yet people still fell through.

It is very easy to throw baseless statements.  Can you post on which information or facts are you accusing us of being a scam?.  We wonder which ulterior motives do you have to post false accusations.   FYI, our ICO closed only three weeks ago.  During that time we developed together with Ambisafe a refund page, and as of now we have refunded 100% of all those that invested ETH and requested a refund prior to the 28th July.  We have also refunded 96% of the same BTC requests.  So please.  Get your facts right.

Update from the recent progressions in the Orocrypt project:

- We are now working on the implementation of the gold token Smart Contract, including the web development (platform). We expect to launch it in late September/early October.

- Refunding of the Bitcoin and Ethers were done; followed by the Euros (bankwire) being almost completed.

- We expect to list the OROC tokens during September.  Currently, we are in talks with 2 exchanges.

- The Board passed a resolution about OROC bonuses. All the investors who decided to stay (after the end of the ICO), will receive a bonus as follows:
Investments between 1 and 10 OROC will receive 1 OROC.
Investments between 10 and 20 OROC will receive 2 OROC. 
(And so on.)

- We are aware that the persons who participated in the Bounty Programs did a lot of work for the ICO.  The Board approved a special bonus of 130 OROC for the top bounty participants.  Since there is too many, we will be developing; with Ambisafe; a lottery system to allocate those OROC by random selection in the list.

I think that your team has acted very unprofessional in relation to the participants of the bounty campaigns:

1) the manager who lead the thread of the bounty simply disappeared without any explanations or announcements;
2) none of the OROteam also came there to clarify the situation around the project and answer community questions;
3) the spreadsheet of participants was deleted - and none of us knows the whole list or their honestly earned stakes;
4) the fact that you announced a certain lottery, has neither a date for holding, nor any clarity in the procedure for selecting "winners"...

It would not be nice to offend anyone, but it is necessary to maintain self-control, professionalism and respect for those whom you hire to promote your project - even if it does not become successful. On good terms, you should honestly announce the current situation around the project and discuss with the bounty hunters possible options for fair and honest compensation - especially since you are planning to continue the project.

Even if they press tokens nobody would buy this scamcoin. It's like Bitcad, they pressed tokens but nobody want it because basically it's useless.
Their decision about lottery system for bounty participants is far more than comedy. This project failed big time, there's nothing they can do to recover from this situation.

Progression of the project: Orocrypt is working hard on the gold token; a tokenized precious metal on the Ethereum Blockchain. Unfortunately; things are going slower than planned.
With so many ICO’s being launched; the availability of the companies providing the needed platforms to publish a token went down. This is mainly due to a lack of personnel and employees.

Legal aspects: As you might also know or have noticed, many things happened in the last weeks. The regulations being modified in China and Singapore are examples. Therefore; and in order to comply to the ongoing changes; we are adapting our project to avoid possible legal problems.
While this is taking some time, we think that it is critical to have a strong base to provide our clients with a strong product.

Bounty Programs & Returns: While we are aware that the bounty hunters are waiting for a return; Orocrypt would like to put forward the fact that since our ICO did not reach its minimum; we do not have any obligations to give rewards. This is part of the risks included in a bounty program.

The fact that the team did not abandon the project is very good! It is also very correct, I believe, that you took the time to inform the bounty campaign participants that they are not forgotten. Do you plan to involve the forum community in the further implementation of the OROCRYPT project to promote it? In what forms? What deadlines have you set for yourself to restart the fundraising?

If you want to attract us to ICO advertising in the future, I would suggest that you transfer the lottery at the end of the fundraising or turn it into an incentive fund for those who will take part in both stages of your ICO.

I think at this stage every thing said must be true for gaining some trust again

1) Why do not you update the topic of this thread?  We do not yet have any staff to take care of PR.  You know our ICO didn't reach the minimum, so we refunded most of the investors.  The business continued funded privately and by the founders.  We will start hiring for PR and marketing in the near future, so this thread will get the attention that it must have.  So far our efforts and money have been focused on getting our technology and legal status right. 
 
2) Why do not you publish detailed information about the tokensale?  It is not a tokensale or ICO.  It is our ongoing operating business.  There is no minimum or maximum.  Neither there is a time deadline.  Just as Tether issues more tokens when more people buy dollars, we will issue more gold tokens when our investors buy more gold.  As long as the business goes on, we will sel gold tokens for the market price of 30 grams of gold plus our fees, and we will buy them back at the market price flat.

3) Have you forgotten about hunters? Or did I miss the promised lottery?  Not at all!  We will have the lottery for the bounty hunters that helped with the ICO a year ago.  Again, it is a question of resources and hiring the personnel that can work on it.

4) Do you start a new bounty campaign? No.  As said, this is an ongoing business.  Every working day we are ready to sell and buy the OCG gold tokens, whether their volume is 1 or 10000.  We immediately buy bullion gold, so always each OCG is backed by 30 grams of fine gold.  For those who want to sell, we buy them back at the then market price of gold and send the sold OCG to the burning address.  So each OCG's value is always the value of 30 grams of gold.

We most definitely have not forgotten those who helped with the ICO bounty campaign.  We believe our ICO failed mainly because we were the first asking for KYC from our investors, which was strongly resisted by the community, and not by fault of the bounty participants. 

Please be aware that the markets for both cryptos and gold are very depressed.  Our current gold token sales do not provide funds for expansion.  We expect that when cryptos and gold prices begin recovering we will have more sales and be in a position to implement our future plans.
