We are looking at buying tokens in a private sale before the ICO or Presale.  Has anyone ever done this and what are the terms you look for?

I dont think private sales do advertise on ICO website. The private sales are mostly for high capital net worth investors. What is mostly available is PRE- ICO and main ICO. Yet you can esquire from the project team if they can let you involve in private sales.

I have never done private sale in one of the tokens. Most likely, private sale to do transaction before token launch

If it was a true private sale I don't think it would get offered to you this way. And if someone does reply to you I would think twice if this is how they need to get their funding.

Before it was about getting into ICOs, now it's about getting into pre-sale of the ICO.

It's getting out of hand, as unfortunately, the whole 'pre-sale' idea goes against what made ICOs great in the first place because they were open to your average investor.

What makes this even worse is there are a lot of instances where the pre-sale investors just dump their bags upon launch and leave the pre-sale guys stuck holding.

You can try to buy some tons from ico telegram privat presale :) if you have a huuuge amount of money just wright to their team:)

Private Sale there is a big risk, because at that time you don't know this project will be hot and the project can proceed, boldness and extremely bullish can attend Private Sale.

As a rule, the pre-sale exhibition was highly valued for minimum purchase of tokens. But if you do not have a few million in stock, then there simply will not allow.

Isn't that the ICO pre-sale?
But generally you have to get a certain amount of investment before the open ICO, which typically requires at least a few hundred thousand dollars.

Private Sale is not advertised and may not be there for all ICOs. Need to contact the ICO team directly if they offer it and on what terms.

i think the private sell is just for a big investor
maybe like the project creator make a proposal to get investment

The landscape changes fairly quickly. Indeed, there is a private sale that occurs before the pre-sale for large projects (who want to gather tens of millions for ICO, it's almost a must). By the time I am writing this post on April 2 - 84% of 2018 ICO funding came from private sales.

Usually it is open to crypto funds, VS or angel investors. For those seeking American investors, private sales comply with securities laws enforced by SEC - specifically Reg D, Rule 506 (c). It allows ICO projects to avoid the burdensome registration requirements, though it allows only the accredited investors to buy tokens ($1m + capital OR $200k+ annual income OR $300k+ annual income for a couple). That should not be a problem, since most investments in private sales fall within the 100 - 1000 ETH range.

Potentially, the SEC may go after these ICOs for not looking into the secondary trading issue, but that's a future and a US-based concern entirely. Many of the investors participating in private sales are, in fact, coming from Asia. Still, any ICO project considering doing a private sale is encouraged to look further into an article by Harbor "Introducing the Private ICO" on Medium, which analyzes various legal complexities.

Private sales often last 2 - 3 weeks, have minimum investments, and allocate 30 - 45% of the tokens as a cap. Unsold tokens are then sold during the actual pre-sale and crowdsale. The discounts offered during private sales are often steeper than those during pre-sales.

I usually see this often times especially in so many ICO's whitepaper. Thou have never taken time out to research more about it, but I think its all about some investment made by the earliest investors that may probably be people close to the team or people who have decided to all the way with the project ahead.
