Item Banc, Inc. of SC USA and Johannesburg, RSA are offering securities to "accredited investors", as that term is defined in Rule 501 of Regulation D of the Securities Act of 1933 directly in the U.S., or non-U.S. citizens in offshore transactions, in connection with a Pre-ICO event starting June 10-July 10. These securities represent a SAFT for the Item Banc Token and are further described in private offering documents identified by Form D filed with the S.E.C. relying upon the exemption from securities registration pursuant to Rule 506(c). The SAFT can be transferred into the Token on May 1, 2019 or converted after this date into common stock in Item Banc, Inc. Item Banc is a currency valuation technology based on Basic Human Need (BHN) Products.
