What does that mean if cgminer is rejecting all shares and simply says its "Above or  out of range"  ??

Hard to say without any information about anything at all other than "cgminer".
If you're mining SHA256 on a Scrypt server, you'll get all rejects. Or expired.

Im mining  stratum.bitcoin.cz:3333 slushs pool with same credentials I use for GUIminer which work fine...
