While most states require a for-profit corporation to have at least one director and two officers, Delaware laws do not have this restriction. All offices may be held by a single person who also can be the sole shareholder. The person, who does not need to be US citizen or resident, may also operate anonymously with only the Listing Agent with whom the company is registered with Delaware named. This proves advantageous in civil suits as the owner or owners cannot be disclosed under Delaware Law and thus are safe from being sued alongside the company. However, this does not apply if the civil suit is in regards to having committed a criminal act which the business has been found guilty of in court.

Would love to know if all those options were purchased or removed? Was going in for more!

Options on AMC?  Not mine.  Love options. Smiley)

Options table has been active today Smiley  Would be good if Bitfunder displayed these trades Sad

kslaughter > Could you tell us how many of the 40M shares issued have been sold ?

20 Million are for the growth and expansion fund and will collect dividends to buy more mining equipment from VMC or others.  This shares most likely will not be sold, check our description on bitfunder.com for details.

20 Million are "Early Adopter Shares" and the first 5 Million of those shares are being sold now.

3,036,23 remaining of the 5 Million shares of the first batch as of the writing.

I finally get it (I think)

Quick thread recap:

60,000,000 shares are owned by AMC and can be used for anything including salaries. They may not be sold and will not receive dividend payments until the other shares have received dividend payments of at least 0.0005 BTC/share.
20,000,000 shares will most likely be left untouched, so new equipment can be bought with the BTC received from the dividend payments.
18,000,000 shares may be sold as low as 0.0005 BTC/share and are released over time on Bitfunder. (IPO)
2,000,000 shares have been sold to investors on Bitfunder. (IPO)

The batches of 500,000 shares you can see on Bitfunder right now are for the most part owned by AMC and part of the remaining 18,000,000 IPO shares.

Mining Operations have not started yet. 6 Units from Avalon should arrive soon™ (two weeks) and the first real dividend will be payed after they are set up.

VMC will try to develop their own mining hardware and sell them at a reduced price to AMC later this year.

Edit: I forgot to add, there has been some controversy on how shares where released on Bitfunder and then pulled again to pump the price.

Thats how i broadly understand it Chrono. There's also a possible royalty payment, in the mix also.

Since the floor is .0005, and its a new share, and we currently have strong momentum, this is a low risk bet for the next 4 weeks.

How is the floor .0005?  That's more like the ceiling - any time any significant volume of orders are above that the issuer is going to sell into it (not least because if he doesn't then those with shares will sell and put up bids at .005 themselves to get their shares back cheaper next time issuer dumps a load).

That's why opaque selling policies are horrible.  There's nothing wrong with changing the price (and it SHOULD be changing - downwards as it happens - due to effectively being a USD-denominated security) but any price changes and/or new sales should be announced in advance.  Not least to prevent any suspicion of insider trading (Issuer or someone he knows can fill bids over .0005 and buy back with certainty if they know, and noone else does, that another batch will be dumped on the market).

My definition of floor is, if it trades for 48 hours below 0.0005, its all over for the share, as far as im concerned.

The scenario you paint is valid, and i trust Ken/AMC have taken note.
2306  Economy / Securities / Re: [BitFunder] AMC-The Official Active Mining Cooperative Discussion on: May 28, 2013, 12:55:16 PM
Still some good value options on the table, if you're quick.

They're instantly profitable, that is, if no more shares get dropped at .0005

Yes. Best value options ive seen for a while.

Consider this. At the moment you could bet 1.2btc, that 10,000 shares will/will not exceed 0.000570, sometime from now and the next 4 weeks.....and its there now.

Since the floor is .0005, and its a new share, and we currently have strong momentum, this is a low risk bet for the next 4 weeks.

Edit: I also have no problem with the fact, that Ken/AMC may have placed those options there. However, if i see the live order book manipulated like it was again, im out, and i trust Ken/AMC now understand that that strategy, is a wrong one.

Edit edit: Option price corrected upwards.

Oh it seems you are their new scapegoat coinseeker. I'm glad I got rid of that role actually,

No scapegoating here. It's just that most of us in here agree that 99% of Coinseeker's posts are not worth our time, just because they are very low quality.

Also it's amusing to poke fun at people who take themselves too seriously and/or think they're smarter than everyone else, or have delusions of "accuracy" and "objectivity" Cheesy

Its amusing, up until the lizard clinic appointment!

I've pressured Ukyo repeatedly to allow on-site accounts for Bitfunder. I think he's cracking, but I can't be sure Wink

What is his reasoning for keeping the integration with Weexchange?

It's more secure.

It also allows Bitfunder to operate separately from the bitcoind wallet application, making BitFunder very fast at orders & balances.

In these times of wholesale hacking, i welcome the fact that my Bitfunder account cannot send out to any address, other than my Weexchange address. Im sure a smart hacker is working on a workaround, but its a welcome layer non the less.

Angry no I did not have two-factor authentication enabled - I have been naiv
thinking that funds on Mt.Gox would be safe

yes - I have used the same password on my windows live account
maybe that is why it was easy to find out....

So even if I can find out who stole my BTC I can't do anything about it Huh

Well Mtgox is safe but you need to be secure from your end too.If someone found your password you can't blame mtgox for that but yeah their security sucks, they don't have much options to secure peoples funds.

Never use online wallets until you are damn sure that you are using a strong password /new username and your pc is really secure and clean.

In your case, probably they found bitcoin related something in your live account and tried to log on mtgox and got your bitcoins.

but main thing is, how they got password? Either your pc is infected with some malware or someone knew that you have bitcoins in mtgox account.

Btw how do you know he's from china?

People are reporting that trojans etc. are coming from Altcoin clients, and dodgy click throughs, where the API on Gox is activated to send coins to the hacker. People are also reporting that the two factor log in, is still not secure enough to deal with this threat.
Check your API's.

Hello,

WeExchange had an unusual issue with Bitcoind being connected to peers and not accepting updates.
This basically left it isolated and was not getting new block data or passing withdraws into the network.

Was this an attack? No. It only connects to a set of peers that we specify. The peers were not at fault.
A system was setup to monitor for block desync and correct for it and notify someone.

Has WeExchange been hacked? No
Are all the funds in the hot/cold wallet safe? Yes

The same Bitcoin TXN id's that were given to users at time of withdraw (And is available by clicking the withdraw details button),
which never appeared in the network have now appeared.

I apologize for this interruption, and it will be monitored.

I haven't come across a single person who has had anything positive to say about WeExchange and I've spoken to numerous people who have flat out refused to create an account. It's time to realise that the baby is dead and remove it from you teat. It's just damaging your credibility at this point.

Whats the negative criticism?

Just lost 50% of my btc.  Cry

Was that you selling down to 0.2000?

Yes unfortunately that was me.....when I saw my btc falling from 11 to 7 I panicked....
And tried numerous times to wihdraw.....

A rookie mistake......

Well, that was a lesson in understanding an order book wasnt it?  Wink

Hope you are able to understand what compelled you to do that, and recover.

Some recent change seems to have changed something so that if you have graphs disabled you can't access any tabs other than the trade one for securities.  e.g. you can't look at trade history, options etc.  It was fine until maybe a week ago - then broke.  If I re-enable graphs then all tabs work - if I disable graphs then it stops working again.

It's because the Javascript crashes cause Highcharts (the charting software) isn't defined. Roll Eyes

It looks like this has sort of been mentioned before, but BitFunder crashes Safari on my iPad nearly every time. Whenever I go to view/trade a particular asset, it first hangs while loading, the charts never quite appear and then Safari completely crashes.

While I don't really expect you to make every browser on every device work perfectly with your wonderful web site, could you at least make *mine* work?   Cheesy

Well, anyway, thank you for giving me the option to disable the charts in settings.

Ditto here on my Android phone.

I would also like the 24hr and 48hr highs and lows to update correctly.

Edit: would be nice to see the option fee displayed in the options panels, as well as the strike price, so you dont have to navigate to 'Transactions'.

2316  Economy / Auctions / Re: **auction - series 1 casascius coin with error ** on: May 25, 2013, 09:39:49 PM
Do you want more, or are you done being a smart ass?

Actually I was genuinely interested to see your auctions, as eBay pulled mine when I listed 10 of these (I have several). Lots of dubiously ebayesque non-descript reasons later it turns out it is probably because eBay is gradually shunning bitcoin sellers.

With your statement saying that you are selling them 'daily' for the kind of price you are asking I wanted to see the last weeks sales to see how the trend is going. And wondering what you are doing differently to me that stops your auctions getting pulled.

Can only think they are ignorant of the physical coins, and as usual will not enter into a reasonable discussion. Alot of scamming going on with BTC on Ebay.
Had an ad on Gumtree selling BTC, that was pulled 2 weeks ago.

I saw your ad's Bob, and was waiting for feedback to come in.  Sad
2317  Economy / Securities / Re: [BitFunder] AMC-The Official Active Mining Cooperative Discussion on: May 25, 2013, 09:21:24 PM
It was so bad that it was almost as if there was a conflict of interest. As if they owned a competing security and were trying to put it down... but I regress.

Is there a due date, waiting line, or tracking# for the 6 Avalons?

I believe there was a conversation Ken had with Mr Avalon at the conference, where delivery may take place this coming week. You would have to take that as a stock response, as im sure they would have been asked the same question from many purchasers.
2318  Economy / Securities / Re: [BitFunder] AMC-The Official Active Mining Cooperative Discussion on: May 25, 2013, 07:08:08 PM
(...) The offering price will be 0.0005 Bitcoins (...)

100 million shares at 0.0005 BTC/share - does that mean that a month-old company whose only apparent tangible assets is a non-delivered order for 6 avalon machines has a value of USD 6.6 million?

No, the capitalization is the number of issues shares times the share price.  This would be 40,000,000 * .0005 = $2,640,000

http://en.wikipedia.org/wiki/Market_capitalization

Understand.

Company: established 2 months ago, assets amounting to one non-delivered order of 6 avalon machines (and some plans about future growth). Market value: USD 2.6 million.

Correct?

Yes, that is correct.

CEO: liar and a manipulator

1) Liar because he made a public false statement that he had shares at 0.0005 when in fact he did not. He subsequently claimed it was a mistake, that he had shares there just a few minutes ago, but this is impossible to do by accident, because he added exactly one share for sale at 0.0005 upon making his statement, and would thus know exactly how many he had there, and since he had moved his ask away from 0.0005 minutes beforehand, he would also know that piece of information. Impossible to do by accident. This is verifiable by anyone with the channel logs and the bid/ask history (which unfortunately would only be bitfunder). The reason I know is because I was the only other ask at 0.0005.

2) Manipulator because he successfully sold shares above 0.0005 and then down to 0.0005 over and over again. Upon discovering this practice, we see that people are feeling tricked and cheated. What looked like an open market was being sold into repeatedly down to 0.0005 by someone with over 39 million shares to sell. This is fact and can be corroborated by the trade history and by the reduction in share counts in the assets list.

So, you may argue the lie was small. You may argue that the manipulation was permitted by the contract. Both plausible positions to take. But it's not plausible to argue that Ken slaughter is trustworthy. On that basis, the asset is worthless.

You are right, you were trying to frame me and you did, so congratulations on your plan.  You are just a speculator that got caught and now your're mad.  Any LONG TERM investor in
AMC will be way ahead on their investment in the LONG RUN.  AMC, in its actions, were trying to raise funds to purchase more machines from VMC to make the "LONG TERM INVESTORS" more return on their investment.  Also you may notice that this is a self-moderated thread, but I did not delete your comments.  The reason for not deleting your post is that I believe in Freedom Of Speech; however, you must be 100% truthful in your comments.

Caught in a lie, and still trying to carry on. I wasn't trying to frame you. I stated you had no asks at 0.0005 because I was the only ask at the time. You added one share at that price, and then stated that you did have shares  at that price. Which was a lie. Framing you would mean making you look guilty for something you didn't do. But you did this, and you've acknowledged it. You are the CEO of the company and you are publicly lying about your share selling activity. And the IPO isn't even over yet. And you dare suggest that I am the one who needs to be 100% truthful? Hey, I'm not the liar here.

Can you please continue this conversation in PMs. We know what you are saying and have heard you say it repeatedly. I personally don't want to hear about it anymore. The dog has been beaten, beaten, and beaten again.

I'll second that motion.
2319  Economy / Securities / Re: [BitFunder] AMC-The Official Active Mining Cooperative Discussion on: May 25, 2013, 11:50:11 AM
It is sad to see history so quickly forgotten.

Quote
http://en.wikipedia.org/wiki/Initial_public_offering#Pricing_of_IPO
Historically, some IPOs both globally and in the United States have been underpriced. The effect of "initial underpricing" an IPO is to generate additional interest in the stock when it first becomes publicly traded. Flipping, or quickly selling shares for a profit, can lead to significant gains for investors who have been allocated shares of the IPO at the offering price. However, underpricing an IPO results in lost potential capital for the issuer. One extreme example is theglobe.com IPO which helped fuel the IPO "mania" of the late 90's internet era. Underwritten by Bear Stearns on November 13, 1998, the IPO was priced at $9 per share. The share price quickly increased 1000% after the opening of trading, to a high of $97. Selling pressure from institutional flipping eventually drove the stock back down, and it closed the day at $63. Although the company did raise about $30 million from the offering it is estimated that with the level of demand for the offering and the volume of trading that took place the company might have left upwards of $200 million on the table.

Your point being? I'm not in this to flip anything.

Was wondering what your flipping point is. You've highlighted that an order book may have been manipulated, and your pissed off because you feel deceived. Thats an understandable, reasonable human reaction, but also quite pathetic, given the context and whats trying to be achieved here. Have a think about what you are trying to achieve, and if your expectations will ever be met.

Widows and orphans, rikur. Widows and orphans.
