If an attorney provides confidential legal advice (in the form of an opinion letter for instance) and if the client then reveals that confidential advice with a third party (shares the opinion letter), the privilege can be waived as to that subject matter (document). Few things 1. If GAW hired Carol, good on them. Should have done it months ago. 2. If she told them to shut down the miners because they're being sold as illegal securities (or some other reason) and they followed her advice, also good on them. 3. I doubt Carol would be too thrilled about the way this was announced, which gives me some doubt. Maybe they have a first meeting scheduled (just a guess based on nothing but personal experience in knowing how clients/prospective clients sometimes speak w/o the appropriate precision). 4. Carol is a banking/payments/transactional attorney, not a litigator (this gives me some doubt about #2 - I don't think she's a securities attorney). She would not be helping GAW sue anybody - another attorney in her firm might, though (none of their litigators seem to have a defamation/first amendment practice, but I haven't looked that closely). One of Gaw's biggest mistakes is banning customers and investors from hashtalk. You take their money and then shut them down when they ask questions or make comments you don't like ... hello.
Nothing like adding fuel to the fire. These unhappy campers have no choice but to vent and discuss in other venues like btctalk, gethashing, reddit, etc.
They complain about btctalk over at hashtalk but they created their own monsters.

Heavy handed and draconian modding and suppression of legitimate questions serve only to create a hidden swell of resentment that will ultimately break out and be X times worse than if the problems/questions/issues had been handled at the earliest possible point. Let's also look at Garza's little brother, Carlos. It could be argued he did a lot of Josh's dirty work for him in regards to the B2B/reseller base. The screen grab below from October 29th, 2014, which is already within the public domain, set the stage for why the bulk of the resellers bailed on GAW after being left with no viable price protection "after the fact". It also plays in to the period GAW first showed signs of money troubles and their need to move on to the next phase of the scheme.

Ya know what, stop me if I'm getting out of hand, but here's my scoop after think big pictures. Homero said payouts were partially coming from day trading. Zencloud used to offer a program where if you would just KEEP money in there, you would be paid a % of that in HashPoints. That makes sense now that you think about it right? I used to trade stocks, and the more money you have, even if the market is going against your position, you get more bulletproof as you have more money to take your average price down. This is where things get interesting. Bitcoin goes tits up. Homero, who has been trading Bitcoin to enable payouts, gets absolutely hosed. He has to cancel Hashlet payouts. His mining farm from Bitmain he was buying or renting is absolute garbage now. He liquidates the mining farm. He said on twitter he was selling his "farms" right when the Bitmain Christmas deal went up for 1.9 ph/s and then he deleted his twitter post about it. A company needs money. Selling the farm gave him some breathing room to come up with another plan to save this "business". Insert Paycoin2 scam here. Instead of getting no returns mining 1 satoshi for 24 hours, you can mine this "store credit HashPoints". The only thing HashPoints could be used for is Paycoin2 (code name Hash Coin). Gaw buys some more time, meanwhile probably making back some money he lost in the market by being an idiot. The HashStakers are a great sell to noobs and idiots who think they can buy them and then resell them for more like they did with Hashlets early on. They cost nothing. Uh oh, some looming lawsuits are coming from all the fraud I've been committing lately hyping this paycoin2 shit. Need to liquidate more money to pay for expensive good lawyers who tell me to scrub all the evidence of my stupid mouth off the internet. Meanwhile, GAW has employees that need to be paid. Eric and Joe knew that this was coming down fast and they all knew of the investigation coming. They jump ship. Too bad the captain can't. I'm sure I missed something but that is a pretty good speculation.

One thing I am comfortably saying publicly, is that nobody in the company had all the pieces to the puzzle except the one who envisioned it all. It's as if that was the intention all along, only share the bare minimum with whom and of what was needed to build it. Even those of us in the "upper echelon" were totally in the dark on many of the "finer details". I am prepared to show any authority who asks, it was immediately upon learning those finer details that moved my hand on resigning. The only regret I carry is how long it took me to see the big picture. My leaving had nothing to do with rumors of pending investigations as I had already resigned before that was even a topic. I am not a fool, if there is an investigation underway, my leaving doesn't waive my past involvement. I also know that I can confidently answer to anyone who asks that I always stood by what I felt was right. Hope you guys are having an awesome week. Not going to argue the truth or falsity of eric's statement. For those of you who were not around for the HashFast situation, I'd encourage you to look over that history (there are a few good threads on this forum). You might find a direct way out - it may not make you whole, but it might make you better off than waiting for someone else - including gaw/paybase - to make the next move. Remember, he definition of insolvency is the inability to pay debts when they become due. There appears to be a lot of debts that are currently due (i.e., customer claims, missing coins, etc.) and they also appear to be unpayable.

If you don’t already know me, my name is Adam Matlack. I have been a customer and investor in GAW since week one of its launch. I’ve participated in every single product release GAW has offered; Gridseed 5chips, Blades, Zues, Vault Breakers, Hashlets, and Hashtakers. With every product I’ve ordered from GAW they came through and managed to either fulfill the order or make it right through reimbursement.
In September along with some close friends I launched the reseller You Can Mine. We tried to offer the best support possible and help get outsiders involved in Mining. Obviously this didn’t last too long due to the discontinuation of the VAR program but I truly hope we were able to offer a solid service to those who purchased from us.
Then along came Paycoin. I’m tired of reading all of the FUD over the fact that no investors have come forward stating that they participated in the ICO of XPY. Let me first say that I don’t blame any individual who wants to remain anonymous when it comes to their finances and I totally understand why most are choosing to stay silent. So just to be clear, I participated in the ICO with GAW for a substantial amount, along with also acquiring a Prime controller. I have not sold a single Paycoin on the open market since its creation.
Now brings us to today. As regrettable as some aspects of this coins launch have been, I still have complete faith that this coin and the community that surrounds it can help the world realize the vast potential of crypto in general. On a personal note, as I’ve come to know Josh and the GAW family more extensively it has only been made more clear by the day, that they are a unique group of hard working individuals who definitely have flaws (just like the rest of us) but they believe in their projects and the work they put into them. And if my level of investment doesn’t show my obvious belief in GAW and Paycoin I want to insure you that I absolutely believe in this coin and this company.

Look around and all the same names pop up linked to each other via GAW. It's as if they don't and never had many other friends. Many are from Texas. By the looks of the pictures, Clearpoint Church looks like a mega-church. And Pasadena Texas is a suburb of Houston which is the 4th largest city in the US.
