To that point though, we were nearing a little conundrum... Section 12(g) of the Securities Exchange Act of 1934. While the JOBS Act did address the threshold for security registration we currently estimate as many as 400-450 of our investors of the ~500 are unaccredited. If we extended, and reached our Reg D goal it's feasible that we would have 500 unaccredited investors in addition to total assets in excess of $10 million.

This would prevent us from using an exemption from registration, instead requiring us to register our security. This would be a massive financial burden on the company.

I assume you mean "reached our Reg CF goal" not "reached our Reg D goal".

That is an ugly reality, which is why I assume you are going Reg D 506 next for accredited only.  Then you will take your <500 unaccredited + X accredited and file for an A+?  I assume that the non-accredited investors gained in the A+ do NOT work against the 500 limit?

So chances are another amend to extend is on StartEngines dime. We're in talks with CoinList.io about our Regulation D 506(c)

Heard from StartEngine that the functionality is still potentially over a month away. Very disappointing.

So you aren't going with CoinList for your RegD?  I've heard they are a tough nut to crack regarding platform... very selective regarding which coins they will list.

My understanding is that StartEngine will allow crypto for Reg D and the A+, so why move platforms?  Is it to access a "different" list/set of investors?  If so, I guess that makes sense.

Regarding ending the CF, I guess I'm not sure why you would unless:

1.  The SEC frowns upon having two different types of offerings happen at the same time for the same entity

or

2.  You are looking to free up the 6% holdback for chargebacks, which in your case is only around $30k...

Just seems like leaving the door open might yield some additional investment... but looking at your progress, it seems that the bulk of the funds were raised in the first 30 days...

Happy to hear you decided to invest! I've heard good and bad from people about the KYC process, including annoyance at having to constantly reconfirm investment.

We've also -finally- received an 'official' update on crypto investments... April 20th... *groan* StartEngine has offered to cover the cost of us amending our offering to extend, and I believe we will take advantage of that offer to allow non-accredited cryptocurrency investors a chance to get in at this most advantageous stage.

Edit: If an investment hasn't cleared prior to a close the money will get disbursed to the 3rd party escrow account, then to us after the clearing period.

Just a quick followup.  The investment cleared.  All in, it took around 8 days from credit card authorization to confirmation from Start Engine regarding the funding clearance.  They really didn't do much in the way of KYC, basic name, address, stated income, etc. 

How did you do from a crypto payments perspective over the last 7 days?  Any takers?

We are not a calendar, list, ... We track ongoing crowdsales (payments) and try to build analytics. (graphics, graphs, parameters)

We've been able to run Facebook ads after contacting Facebook and supplying them with our Form C offering documentation filed with the SEC. (Proving we're a real company, with a regulated offering)

Ah.  Good to know, sounds like you’ve got a very proactive team.  I invested; though I wonder if the funds will clear prior to your anticipated close... looks like the funds take 10 days to clear SE’s automated clearinghouse and you might be closing in <5 days.

What happens if the timing is not aligned?  Also it took <3 min to invest... pretty quick.  I was also a bit surprised that the subscription docs weren’t sent by start engine or even linked to the payment page... maybe a bit TOO streamlined?

How long will you keep the offering open?  Until you hit the $1m+?

So, what docs does someone get if they invest?  Whitepaper?  Subscription agreement?  Offering circular?  Deck?

Or do they just watch an explainer video and swipe their card?  Why can't you take crypto instead of fiat?  When will this change?

Hm.  Interesting that you would have gone CF before the Reg D 504 from family & friends.  So, if this wasn't the ICO, then StartEngine didn't charge you $25k, their fee is only $5k.  I would think that the KYC / AML checks that they are doing on the investors alone is worth the rake.  Are you also doing the 5% advertising reinvestment through their captive ad company?  Seems like you are getting some great interest of FB, which is typically a pretty fickle crowd.  Props to you for getting back to them on all the questions, I think that is half the battle.

Regarding office space... it's interesting that RIOT Blockchain is in Castle Rock too... such a small town for two notable Blockchain entrants.

The CF has to be profitable for you.  Figure $28k in rake, another $30k in ads, $5k legal and maybe $5k accounting and you are still up $332k.

Are you getting most of your investors stateside or international?

In rough numbers, how much have you raised thus far?  How has start engine been?  Worth the $25k + rake?

Have you had any questions about using your home address as your office address in your collateral?  I just wonder because it looks like a nice home, and I wonder if it's been a net positive or if it is throwing red flags?

No one buys a LEGENDARY level account for "educational and social purposes." You can post as much as you want at the Jr level. There's literally no difference between a Jr account and a Legendary account when it comes to posting (except for IVORY tower posts.)

But then again, anyone can look into Ivory Tower, they just can't post unless they're above some rank (idk what, but I'm dang sure it's not legendary).

That said, you were keen enough to lookup the ranks and picked Legendary, I'm not going to believe that you aren't aware of signature campaigns or the Chip Mixer spam.

I honestly am leaning toward you wanting to buy a Legendary account for some kind of monetary purposes. You're not going to drop 1.6k USD on bitcointalk.org just for prestige.

But whatever. I'll believe your words because the top peeps believe them. And so, you were buying a legendary-level account just to hang out on bitcointalk and learn... mhm.

Yeah, it's hard to believe that some women will buy a $16,000 purse and some men buy $300,000 cars; but at the end of the day, their functionality is 90%+ similar to a purse that is $20 and a $30,000 Honda Accord.

I have literally had bar tabs more expensive than the Legendary account asking price.

What I've learned is just because something is out of my experiential reference grid, doesn't mean it is impossible, or even unlikely for someone else with different economic resources and a different psychological make up.

That said, I don't care if you believe me or not!

Though, I have contributed pretty heavily to other knowledge spaces like Quora.  I hope I can be as accretive here.

That is just renting out space in their signature space. People put an advertisement or something in their personal signature space, so the ad shows up under each of their posts. Some accounts have a few thousand posts, so thats a few thousand places where the ad can be seen. It could potentially be seen as an issue if the person advertising was to try to scam people with the advertisement, but a bit of due diligence on the owner's part can negate that risk.

Tbh, if someone is selling an account above Jr, then I wouldn't buy it.

There is no point for someone to sell such a high-level account now that the merit system is in play.

A member-level account can earn the same amount as its sale price in a month of sig campaigns.

A legendary account can earn $500 per week or more... look at those Chip Mixer signature payouts! They're insane!

For someone to ask for a mere B0.15 for a legendary account... you already know it's too good of a deal. There must be something wrong with the account -- like the account has been red trusted or hacked or something.

#1) Great! Welcome! The problem isn't you, its the spam bots and account farmers. Put up with it for a little bit, and it'll get easier.

#3) What are you talking about? Signature advertisements?

#4) No... I don't think any moderator would buy an account. It is OK based on the rules, but people will probably think its untrustworthy behavior and give you negative feedback for doing so.

The Rest) Use escrow to avoid scams, and walk away from any deal that seems too good to be true, or requires you to do anything you don't feel is right or safe. There is no reason to trust someone with your money, especially when you are using a semi anonymous non reversible currency.

What mods are acting sketchy? Also, no we can't see any IPs, and even if we could the scammers in third world countries you are talking about are probably using Tor or VPNs, so it wouldn't help regardless. Just don't trust anyone sketchy to begin with, and you are all set.

I would have given you 3 merit to show support as you have now following the right path and abandoned the wrong path.

But personally, I don't like peoples who have nature to underestimate, criticize and those who have racism issues. So that's why I have given you 1 merit.

Since 2012, I got scammed several times online. The scammers were from 1st, 2nd and 3rd world. Just I'm trying to say that scammers are not only belonged to 3rd world but also belonged to 1st and 2nd.

Scammers are very smart and they are out there to scam you, just don't fall into their traps. If you fall into the trap then it's your fault, just don't complain later.

And another thing is, when you will try to play with fire, most probably your hand will burn. That's what happened to you maybe and you paid a huge fee for the lesson.

I joined this forum in 2016 since then I've learned a lot of things. So in last 2 years I haven't got scammed a single penny.

You know what, you're right. 

I wrote that post angry and it may be unfair.  Believe it or not, I've actually started a non-profit corporation to combat racism and inequality as the issues are near and dear to my heart, though we view the issues through a corporate-equality lense for equality in pay, etc.

I hold to the standard that most people are, at their core, good people with good intentions.

Thank you for holding me to a higher standard and much appreciation for the kind welcome to the forum (and the +1 merit!).
