Well for both the OEIC / mutual fund and media companies they will be registered in the UK under  supervision of commercial law experts and  third party [i.e. not mine] chartered accountant firm. auditing is something i would consider for a more involved vehicle that holds things like precious metals etc. This is what I have been recommended as to best suit either the investors or the clients of the second, respectively.  I take the technical advice in good faith from seasoned professionals who are qualified to give it.

The fund will be followed by a UK property fund aimed at foreign investors, provided we can find a sound legal basis to buy and sell shares based on this collection of asset types.

I was hoping for IPO guidance from another firm  like CPA that might specialise in shepherding IPOs and write indemnity for security. broker the the IPO etc.

we are working hard on a prospectus to release for all interested parties.
IMPORTANT: we are in no rush for an IPO or even are firm that this is right for GLBSE . the fund will go head because right now GLBSE stands unparralled in access for individuals

when i mentioned crowdfunding - things similar to kickstarter etc which also markets the business products and gauges customer interest where appropriate.

[I appreciate that GLBSE does away with a registrar but since we are going to offer shares on other $$/GBP OTC exchanges we will also maintain  an account with an electronic registrar which GLBSE investors can opt into- we are weighing options between compushare and and equiniti - while redundant it might offer better protection though it is my understanding the small individual outside of online has no voice unless  part of some kind of class action suit Sad ]

TELOS
fund a. is a growth/value fund which will be extremely conservative and stable. buy and hold is the order of the day.
(fund b. will be more liquid and use HFT techniques and go for riskier securities but our technical aims are a year away)
we will always be emulating the low fee companies

MORTY BRICK@telos
possible property fund. Real estate in london is fantastic and almost immune to boom bust cycles due to the government and private investment institutions owning most of the land [90% of the uk]. I do not wish to go into detail because we have no firm details and until we can locate the specialist advice we need [its very very expensive] I am just running my mouth off.

Our near term goals is to prove this can work and then moving to our long term roadmap which is investing in asia and middle east as well as  establishing advanced private banking in dubai/hamriyah based around a distributed bitcoin hybrid model

TELOS foundry
===========

we are splitting our media endeavours from IP ownership/generation and actual production.
this offering is
Virtual production facility only using freelancers - almost zero overheads. our biggest costs have bee nsoftware but we lareayd had bought it all our selves and the rest we code for ourselves when needed.
we have a good relationship with asian and US distributors
we also will be publishing accounts  every quarter
[we are finding that streamlining the discovery process of new talent and new ideas against the closed gatekeeping is extremely lucrative, having worked where this is done routinely- we think there might be a way to offer IP speculation to individuals but this will take some time to work out the mechanics to manage risk and ensure we offer ALOT more than indiegogo and kickstarter so
basically right now a piece of the pie but no risk of failed production or box office /tv cancellation]

we have 2-3 productions in pipe which are paid for and are to debut with buidgets as prestige projects to hsow we are capable indneptly
we will havea roadmap for IPTV/internet
we will also be offering individual projects for MINIMAL* investment through this which will have excellent tax liability structures for both americans and europeans and ZERO risk. this is how the film industry is financed and is very legal but will be the perk of owning part of our film and TV  business.

*MINIMUM AND MAXIMUM SHARES = 1share @ 1$  PER INVESTOR

please feel free to ask more questions.

9  Economy / Securities / GLBSE new IPOs on: September 10, 2012, 04:09:32 PM
Looking to float my startup firm and investment vehicles via crowdfunding

it's beena few months of me getting to understand bitcoin deeply  [which i love] and GLBSE/ricard/.etc

was hoping a company like CPA would be able to broker the IPO process.

but all this fuss with pirate ponzi and

our three initial offerings would be as follows

TELOS FUND
a legally incorporated and transparent series of low cost mutual style  uk/hk OECD/ICVC specialising in US securities for non-US investors who may be prohibited from investing in USA politically by repressive regimes. while i doubt this applies to anyone here , GLBSE remains a brilliant entry-way for people to invest in the western markets who don't have private banks devoting whole department to their fortunes.

middle east and asia special investments consortium with an emphasis on secondary industry for polymers and manufacturing. these would be government subsidised businesses that we have personally inspected and and made effort to invest in not random securities we like the look of.

TELOS Foundry
VIRTUAL  MEdia STUDIO with phased private offerings and eventual IPO

Anyone on this forum is here, not because of money and greed (i hope) but because they recognise the old ways are dying and that is an exciting time for smaller organisations and agile minded individuals looking to exploit niches and opportunities not previously available. Apart from the obvious death of dinosaurs imagery, this has implications for tv and film artists looking to break into new markets via internet distribution

10  Economy / Securities / Re: securties pegged ot dollar not btc possible? on: August 30, 2012, 08:48:37 PM
There were ideas in the past of making cryptocurrencies that would try to somehow stick to fiat prices, but the idea tended to get shot down.

The Brits and the Canucks, however, actually tried it, with UKB (United Kingdom Britcoin) and CDN (Canadian Digital Notes).

Unfortunately though it did indeed fail to work. It just didn't turn out to be practical to try to push the value down to be one to one par with fiat, maybe because fiat can be printed in arbitrary quantities whereas UKB and CDN, like BTC, are limited to only 21,000,000 total quantity of each.

I think if people want to specifically hedge against, or long, or short, a specific type of fiat the Long+Short baskets idea might work, but where the concern is really about volatility rather than the exchange rate versus a specific individual fiat currency, simply using something a lot less volatile than BTC, yet that is not fiat, might suffice?

that is a fascinating answer thank you.

i take it you use your own transaction server for minting your own digital certificates for in game currency in your MMO?
11  Economy / Securities / Re: securties pegged ot dollar not btc possible? on: August 30, 2012, 08:45:14 PM
Yes you certainly can.  It isn't on GLBSE but we have a Line of credit denominated in dollars.  BTC is used as a payment processor for funding, interest payment, and eventually principal repayment however the obligation is in USD.  For example if the interest payment is $100 USD it is always $100 USD however the quantity of BTC to make that payment will change.

the most plausible situation i can see is bond contracts with a promise to  buy back at initial dollar face value ?
Just to be clear everything should be dollar denominated.  The IPO should launch at BTC equivalent of dollar face.  The interest should be issued in USD equivelent based on the dollar face (yes that means if BTC quadruples the interest payment is going to be 1/4th).  All the terms, the par value, the buybacks, and any bid/ask "walls" should be in USD equivalents.

However an investor who has BTC but purchased an asset denominated in USD is essentially taking a BTC short position.  If the asset yields 10% but BTC rises 20% the net-net the investor made less compared to simply holding BTC.  This limits its appeal.  There are investors looking to either hedge or take a BTC short position but it isn't going to be as popular (mass appeal) as a BTC denominated one.

thank you for reply, i often times feel a little dumb around here.

so is your recommendation not to offer dollar backed/pegged IPOs?
i just think it's unfair to my potential investors.
12  Economy / Securities / Re: A BTC stock exchange for high-risk, unverified securities? on: August 30, 2012, 08:09:56 PM
one look at the various levels of pink sheets OTC
OTCBB and GXG markets is full of pump and dump penny stocks

and theyers lots of hooops to jump through on a laot of those sections to be listed
these guys just manage to pay off enough people[massive listing fee, anointed brokers paid ot consult and given wholesale access to IPO etc etc] and are letter of the law legit [but not SEC]yet rip off millions $$$ from poor dumb "investors"

i welcome any effort a nice guy like you who wants ot protect investors BUT how hard will you have to work to be even more effective than the toothless SEC? i would say it's hard to watch but at the end of the day spend your time and money protecting GLBSE's ass not the investors.
i am beyond angry at the people who enabled pirate40 through their blind greed and idiocy and have the temerity to whine about it. not you.
13  Economy / Securities / securties pegged ot dollar not btc possible? on: August 30, 2012, 08:04:38 PM
since btc is so volatile it doesn't really make sense to measure most performances in btc?
because in a way the investor speculator is making two bets on long positions.
1) the security will go up
2) bitcoin will not go down and maybe even go up.

the perverse implication is that when BTC is riding high trade volume shrinks and investors cant bear to look at your IPO.

would it be possible at all to have a security in dollars with BTC merely being the transmission medium to the virtual brokerage? [glbse]

what about issuing shares in Real life on otcbb and having equivalent contracts on glbse?

the most plausible situation i can see is bond contracts with a promise to  buy back at initial dollar face value ?
