exchange btc from business income into dollars

my business was paid money in another virtual currency which was later exchanged for btc... now i need to change it into dollars to pay some bills for the business...

my company is located in california, but i do not want to use coinbase because the rate is bad

if i find a private person who is willing to exchange dollars for btc does either party need to register or breaking any law with this??

does that 1000/day threshold apply? i want to do the right thing here, and not step into some legal hell hole simply for trying to pay our business expenses....
