The ICO
What is Onasander ICO?  It is the first decentralized investment bank ICO that we are planning to make legal in United States of America.  The plan is to collect funds through crowdfunding.  Next, we will open up an investment fund.  The fund will trade and invest the ICO money using our Asset Price Analysis Software, until we are ready to turn the fund into an investment bank.

The Offer
Our offer is simple.  We use crowd funding to open up an investment fund backed by world assets.  We trade those assets, and profits from the trading go back into the value of the company, value of the token, and back to the original investors as dividends of 10%.  With time we turn the fund into an investment bank

10% Dividend
Onasander will pay dividends to our token holders.  The value of the dividend is 10%.   It will be paid every quarter with the following rules:

• The 10% payment is based on Onasander quarterly profits.
• Token holders must own tokens at the time of dividend payment.
• Dividends are paid only for quarters in which Onasander made profits.
• Onasander tokens must be owned by the token holder during the quarter for which the dividend is being paid.
• In case our investor holds different token amounts during the given quarter, the smaller amount will be used to calculate the dividend payment. This includes the number of tokens owned on the dividend payment day (which will fall outside of a given quarter).
• For investors not being vested (holding tokens) throughout the full quarter, the dividend will be prorated for the amount of days it was held during the quarter.

How Will Company Gains Benefit Token Holders?
Only limited initial investors will end up with our Onasander tokens.  Everyone else will be a client of our company.  The company will make revenue from trading, investments, and from client fees.  Our revenue will fuel the price of the token.

Ways Investors Will Make Money with Us:

• Dividends will be paid to token holders.  Every quarter, percentage (10%) of net revenue from trading will be divided and distributed among all token holders.
• Higher value of the company will be reflected in higher token price on the exchanges.
• As successful trades by Onasander become publicly known, and the company starts to have consistent revenue, people will jump to buy our tokens on the open market, driving the price much higher.
• Once we establish an investment fund, and later on an investment bank, the profits from our clients will also become part of the dividends that will be distributed to token holders.
• As the wealth of the world grows, our token supply will stay fixed.  This deflationary nature of the token will automatically grow its price.

Technical Details
Onasander tokens are cryptocurrency ERC20 tokens based on Ethereum technology.  Below you can get familiar with the technology and review how the ONA tokens will work, and how to obtain them in the ICO process.  The Onasander token will work just like a Closed-End Fund.  The number of tokens will be fixed.  The tokens will be traded among investors on an exchange.  Just like stocks, the token price will be determined according to the laws of supply and demand.  It means it will often trade at a wide discount or premium to the net asset value backing the token.

Can you please expand on your question?  Are you referring to $50 million being too much for fees?  If that is your question, I fully agree.  The $50 million is not for fees, even $20 million would be way too much.
The amount that is to be raised is about 95% for investments.  The other 5% would be for fees.  Once we multiple the holdings (95% of raised funds), we will be able to attract major wealth funds, and average investors.  

As far as fees going, anything over $3 million would be a waste of money.   In that $3 million we must be able to build a company with:

1.  Multiple office locations on global basis
2.  Sophisticated company management software
3.  Management team
4.  Financial advisory team
5.  Decentralized investment portfolios
6.  Decentralized investment contracts
7.  IT team
8.  Legal Team
9.  Marketing Strategy

The rest of the funds will go straight into investments, and all ongoing expenses have to be paid with our own profits.

Gslgroup, Yes, Onasander token is a security token.  We are a financial company, and we promise financial gains and rewards for our clients.  That is a classic example of a securities token in United States.  All investment banks and investment funds operating in U.S.A. have to obey the U.S.A Securities Exchange Act.  For the most part, the rest of the world is not guarded by similar laws.

As far as legal status:
The company for now will be registered as an LLC.  The plan is to be a United States company, fully compliant in United States by the end of the PRE-ICO.  Hence the $50,000,000 Cap.
In case we can not become fully complaint with the SEC by the end of the PRE-ICO, the company will become a European company, and be registered in a country that will have least amount of restrictions
for us and for our investors.    

Why are we undecided?
In the current moment, countries are rewriting their ICO law.  Therefore, we want to give ourselves as much time and flexibility as possible until the law becomes more stable, so we can plan ahead.
For example: As of right now, all tokens sold in any ICOs, and later on resold on a crypto exchange trigger U.S.A  Securities Exchange Act by default due to "promised" gains on a token price from the time of ICO to the exchange.  Since we sell our tokens in ICO and promise to trade them on an exchange, we can be questioned by the SEC based on that promise alone.  In order not to cause any disruption in our ICO, and wanting to have United States as an option, we decided to wait as long as we can on the finalized legal structure.

The Offer
Our offer is simple.  We use crowd funding to open up an investment fund backed by world assets.  We trade those assets, and profits from the trading go back into the value of the company, value of the token, and back to the original investors as dividends of 10%.  With time we turn the fund into an investment bank

10% Dividend
Onasander will pay dividends to our token holders.  The value of the dividend is 10%.   It will be paid every quarter with the following rules:

• The 10% payment is based on Onasander quarterly profits.
• Token holders must own tokens at the time of dividend payment.
• Dividends are paid only for quarters in which Onasander made profits.
• Onasander tokens must be owned by the token holder during the quarter for which the dividend is being paid.
• In case our investor holds different token amounts during the given quarter, the smaller amount will be used to calculate the dividend payment. This includes the number of tokens owned on the dividend payment day (which will fall outside of a given quarter).
• For investors not being vested (holding tokens) throughout the full quarter, the dividend will be prorated for the amount of days it was held during the quarter.

How Will Company Gains Benefit Token Holders?
Only limited initial investors will end up with our Onasander tokens.  Everyone else will be a client of our company.  The company will make revenue from trading, investments, and from client fees.  Our revenue will fuel the price of the token.

Ways Investors Will Make Money with Us:

• Dividends will be paid to token holders.  Every quarter, percentage (10%) of net revenue from trading will be divided and distributed among all token holders.
• Higher value of the company will be reflected in higher token price on the exchanges.

Well, we will not fail.  We poses decades of market trading and analysis.  Everything is in the Whitepaper. 
The dividend will not be a problem that could prevent us from being listed on exchanges.  The dividend has nothing to do with the trading of the tokens.  The 10% will be paid from a separate money pool,

To answer your questions:

1.  About the 10%.
The 10% will be paid every quarter as long as we make profits in that quarter.
That will go on forever, but client fees and other company businesses will not be part of the dividend.
Only money from the ICO will be part of the dividend.  In case the company makes money using funds from private investors (NON ICO), then that money
can not be paid to ICO investors.  It's fair.  

2.  Officially registered?  
If by officially registered you mean being incorporated, then NO, we are still not sure about SEC registration. In case there is a chance to be
compliant in USA, we will wait a bit longer and see if we can submit the application.  Once we incorporate we will post all incorporation documents and attach
them to the Whitepaper.

The Offer
Our offer is simple.  We use crowd funding to open up an investment fund backed by world assets.  We trade those assets, and profits from the trading go back into the value of the company, value of the token, and back to the original investors as dividends of 10%.  With time we turn the fund into an investment bank

10% Dividend
Onasander will pay dividends to our token holders.  The value of the dividend is 10%.   It will be paid every quarter with the following rules:

• The 10% payment is based on Onasander quarterly profits.
• Token holders must own tokens at the time of dividend payment.
• Dividends are paid only for quarters in which Onasander made profits.
• Onasander tokens must be owned by the token holder during the quarter for which the dividend is being paid.
• In case our investor holds different token amounts during the given quarter, the smaller amount will be used to calculate the dividend payment. This includes the number of tokens owned on the dividend payment day (which will fall outside of a given quarter).
• For investors not being vested (holding tokens) throughout the full quarter, the dividend will be prorated for the amount of days it was held during the quarter.

How Will Company Gains Benefit Token Holders?
Only limited initial investors will end up with our Onasander tokens.  Everyone else will be a client of our company.  The company will make revenue from trading, investments, and from client fees.  Our revenue will fuel the price of the token.

Ways Investors Will Make Money with Us:

• Dividends will be paid to token holders.  Every quarter, percentage (10%) of net revenue from trading will be divided and distributed among all token holders.
• Higher value of the company will be reflected in higher token price on the exchanges.
• As successful trades by Onasander become publicly known, and the company starts to have consistent revenue, people will jump to buy our tokens on the open market, driving the price much higher.
• Once we establish an investment fund, and later on an investment bank, the profits from our clients will also become part of the dividends that will be distributed to token holders.
• As the wealth of the world grows, our token supply will stay fixed.  This deflationary nature of the token will automatically grow its price.

Onasander tokens are cryptocurrency ERC20 tokens based on Ethereum technology.  Below you can get familiar with the technology and review how the ONA tokens will work, and how to obtain them in the ICO process.  The Onasander token will work just like a Closed-End Fund.  The number of tokens will be fixed.  The tokens will be traded among investors on an exchange.  Just like stocks, the token price will be determined according to the laws of supply and demand.  It means it will often trade at a wide discount or premium to the net asset value backing the token.

Onasander will pay dividends to our token holders.  The value of the dividend is 10%.   It will be paid every quarter with the following rules:

• The 10% payment is based on Onasander quarterly profits.
• Token holders must own tokens at the time of dividend payment.
• Dividends are paid only for quarters in which Onasander made profits.
• Onasander tokens must be owned by the token holder during the quarter for which the dividend is being paid.

How Will Company Gains Benefit Token Holders?
Only limited initial investors will end up with our Onasander tokens.  Everyone else will be a client of our company.  The company will make revenue from trading, investments, and from client fees.  Our revenue will fuel the price of the token.

The Investment Bank
There are only handful of investment banks in the world.  Opening up an investment bank is not an easy process.  Onasander strategy is to open up the bank in multiple steps.  First, the goal is to execute a successful ICO.  Then, using the ICO money, setup an investment fund and make it similar to a hedge fund.  With time, growth, and experience, the plan is to turn the fund into an investment bank.

How Onasander Works?

The Offer
Our offer is simple.  We use crowd funding to open up an investment fund backed by world assets.  We trade those assets, and profits from the trading go back into the value of the company, value of the token, and back to the original investors as dividends of 10%.  With time we turn the fund into an investment bank

10% Dividend
Onasander will pay dividends to our token holders.  The value of the dividend is 10%.   It will be paid every quarter with the following rules:

• The 10% payment is based on Onasander quarterly profits.
• Token holders must own tokens at the time of dividend payment.
• Dividends are paid only for quarters in which Onasander made profits.
• Onasander tokens must be owned by the token holder during the quarter for which the dividend is being paid.
• In case our investor holds different token amounts during the given quarter, the smaller amount will be used to calculate the dividend payment. This includes the number of tokens owned on the dividend payment day (which will fall outside of a given quarter).
• For investors not being vested (holding tokens) throughout the full quarter, the dividend will be prorated for the amount of days it was held during the quarter.

How Will Company Gains Benefit Token Holders?
Only limited initial investors will end up with our Onasander tokens.  Everyone else will be a client of our company.  The company will make revenue from trading, investments, and from client fees.  Our revenue will fuel the price of the token.

Ways Investors Will Make Money with Us:

• Dividends will be paid to token holders.  Every quarter, percentage (10%) of net revenue from trading will be divided and distributed among all token holders.
• Higher value of the company will be reflected in higher token price on the exchanges.
• As successful trades by Onasander become publicly known, and the company starts to have consistent revenue, people will jump to buy our tokens on the open market, driving the price much higher.
• Once we establish an investment fund, and later on an investment bank, the profits from our clients will also become part of the dividends that will be distributed to token holders.
• As the wealth of the world grows, our token supply will stay fixed.  This deflationary nature of the token will automatically grow its price.

Technical Details
Onasander tokens are cryptocurrency ERC20 tokens based on Ethereum technology.  Below you can get familiar with the technology and review how the ONA tokens will work, and how to obtain them in the ICO process.  The Onasander token will work just like a Closed-End Fund.  The number of tokens will be fixed.  The tokens will be traded among investors on an exchange.  Just like stocks, the token price will be determined according to the laws of supply and demand.  It means it will often trade at a wide discount or premium to the net asset value backing the token.

I agree with your statement.  The project can not foresee future.  That is impossible.  No one can.  What our trading software can predict into the future is price Bottoms and Tops for crypto coins and other asset prices.
That is actually not that difficult.   Many were able to calculate the business cycle through out history.  Most popular would be: Kondratiev who invented the Kondratiev cycle, and Martin Armstrong's Business Cycle.  We do not necessary agree with those 2, but we respect their findings.

Crypto prices as a whole, are no different than any other asset prices.  As a matter of a fact, the behavior of prices in every asset class in this world is the same, since we the people drive those prices through greed and fear. Most people on this very forum will disagree with that statement, and we are happy to disagree.  Our edge comes from having our own views and analysis, which have proven to be spot on through out decades.

price movements and eventually you would have a bigger correction or "run up" and the call would fail.  On a short term scale our software would become just like any other Technical Indicator.  Good, but not good enough to trade, unless you would use other trading software on top of it. 

Yes, I knew the Gold prediction would raise eyebrows.  I was even not sure if I should post it.  Gold is very misunderstood as an investment.  It's kind of a religion in itself.  People get attached to it.  Gold was a buy
before September 11 2001.  Now it's simply expensive.  It could go up, but mostly in nominal terms, not in real terms.  Unless we have a currency crisis, but even than we stay with our call on Gold.  There are simply better deals out there.  If Gold over the next 2 decades (this is how long it took for Gold to correct last time) goes below $400, it will be a buy on our charts.  Otherwise we simply ignore it.

The idea is to offer the exact financial products as other Banking Institutions in the real world, and offer simple block chain investments to global investors.  It would be a hybrid.  We would try to accommodate everyone. 
We are big fans of what the blockchain offers in terms of capital formation, since right now anyone with a Crypto address can invest in anything.  This is great for investments as it breaks down lots of unnecessary barriers.

Dividends? I don't think this will be listed in any U.S. based crypto exchange. It fails the Howey test. I'm not against crypto securities but I'm sure it won't pass Bittrex or Poloniex. Maybe in the future when governments accept the fact that crypto can be about securities.

To answer your questions:  We have to disagree with you for the most part. At this point, you can't know if we will be listed on any U.S. exchange.  There is nothing indicating we won't be.   Yes, our project fails the Howey test.  It should fail.  Howey test is for utility tokens only.  Our token is not an utility token. We are a company that promises financial gains, therefore, we are not even thinking about applying for the Howey test, but here is what we are trying to apply for:

We are applying for SEC Regulation A Tier 2 as a nice bonus to our business plan.  It is not a requirement for our ICO to succeed, but it’s helpful.  The SEC approval will allow us to raise $50,000,000 per year in United States of America from non-accredited investors. That and only that. With the SEC approval we would operate just like any other company that issues tokens/securities/dividends in U.S.A. It remains to be seen if we will be able to get approved.  Then and only then we can talk about being listed on USA based exchanges.  Please note, we value the U.S.A. market, but if the regulation is too difficult to obtain we will take the same route most other ICO take and operate without United States.  US based non-accredited investors are a small portion of the market.  We can execute our ICO successfully without U.S.A investors and U.S based exchanges, just like most ICOs.

Now to answer your comment about governments and crypto.  The truth is the governments do accept the fact that crypto can be about securities.  They allow you to apply for their license since offering securities for sale in United States is regulated.  More, U.S government is actually very liberal as far as crypto goes.  You are able to list your tokens on U.S based exchanges and trade them, even though that clearly violates the The Securities Exchange Act.  Sure, no one was stopped, or prosecuted for it, but it does not mean selling tokens or coins does not violate the ACT.  Selling crypto is no different than selling stocks as far as US law is concerned.  You are allowed, but you must be approved for it.

Well, we are running a PRE-ICO in order to obtain funds for that license.  We will give it our best shot.  The success of this ICO is not going to be based on US SEC license, but we would like to be approved.  The plan is to be open with them:  Collect funds in PRE-ICO from outside of United States and see if we can make the ICO legal in USA. Very simple. 

You are correct, US is fragile if you do something illegal there.  They have the Securities and Exchange Act that gets violated every time you sell securities without a license.  On top of that regular citizens can not simply invest into companies of our crypto nature.  So long story short is, we will see after the PRE-ICO.

I'm going to be honest.  We have a very small team but real.  Most of the people on our Team are consulting for us and could/will become full time once the ICO finishes.  The other part of the team joined on a Bounty basis.
We do not have a ton of advisors like most other ICOs.  We do not believe in that.  It's mostly for the show.  I know that's how ICOs get ranked these days, but it does not mean the company will be successful at all.

There is no way, and it's not economical to hire an army of employees before the ICO.  Truth be told, mostly valuable people won't commit for tokens only (except friends), and paying them up front before the end of ICO would not be economical.  Don't take to your heart what you see and read about ICOs.  We ran it long enough to see how it really works.  It's all about the buzz, almost 0 about the essence/potential or true value of the company.

We concentrate on one thing and one thing only: Successful Business Behind the ICO.  That is what is important to us, and that is what will make our investors happy.  Anything else is for the show including most popular

Sure, we will have to do Reporting and limit ourselves to $50,000,000 USD per year if we ever get SEC approval, but that's as far as "extra" regulation goes. 

Again, United States and SEC approval is just an added bonus, it's not a requirement for us.

The name of our Asset Price Analysis Software is called Onasander, hence the name for the investment bank.  The software itself is over 15 years old and has been forward tested since the beginning.  It has been backwards tested for about 300 years on some asset classes.  

How Onasander Works?
Our trading software collects prices of all the assets we are tracking.  Based on those collected prices, it calculates if the asset is overbought or oversold.  It analyzes those prices and creates investment plans for the most optimal gains.  This is a dynamic process.  As time goes on, the most optimal investment plan changes since prices of assets change.  Trading team monitors the Onasander market calls and adjusts the portfolios, and trading positions so that they are aligned with the most optimal plan.  

Onasander market calls provide us with the exact price for the trade entry and exit, along with precise timing.  Knowing correctly what to buy, at what price, and when, is our most valuable, and unique part of the company.  Our software can also predict trade entry points into the future for decades.  Knowing when and what will be a price of assets in the future helps us to position our investments accordingly, so that not only we make money currently, we will also be ready for future trades.

The Offer
Our offer is simple.  We use crowd funding to open up an investment fund backed by world assets.  We trade those assets, and profits from the trading go back into the value of the company, value of the token, and back to the original investors as dividends of 10%.  With time we turn the fund into an investment bank

10% Dividend
Onasander will pay dividends to our token holders.  The value of the dividend is 10%.   It will be paid every quarter with the following rules:

• The 10% payment is based on Onasander quarterly profits.
• Token holders must own tokens at the time of dividend payment.
• Dividends are paid only for quarters in which Onasander made profits.
• Onasander tokens must be owned by the token holder during the quarter for which the dividend is being paid.
• In case our investor holds different token amounts during the given quarter, the smaller amount will be used to calculate the dividend payment. This includes the number of tokens owned on the dividend payment day (which will fall outside of a given quarter).
• For investors not being vested (holding tokens) throughout the full quarter, the dividend will be prorated for the amount of days it was held during the quarter.

How Will Company Gains Benefit Token Holders?
Only limited initial investors will end up with our Onasander tokens.  Everyone else will be a client of our company.  The company will make revenue from trading, investments, and from client fees.  Our revenue will fuel the price of the token.

Ways Investors Will Make Money with Us:

• Dividends will be paid to token holders.  Every quarter, percentage (10%) of net revenue from trading will be divided and distributed among all token holders.
• Higher value of the company will be reflected in higher token price on the exchanges.
• As successful trades by Onasander become publicly known, and the company starts to have consistent revenue, people will jump to buy our tokens on the open market, driving the price much higher.
• Once we establish an investment fund, and later on an investment bank, the profits from our clients will also become part of the dividends that will be distributed to token holders.
• As the wealth of the world grows, our token supply will stay fixed.  This deflationary nature of the token will automatically grow its price.

Technical Details
Onasander tokens are cryptocurrency ERC20 tokens based on Ethereum technology.  Below you can get familiar with the technology and review how the ONA tokens will work, and how to obtain them in the ICO process.  The Onasander token will work just like a Closed-End Fund.  The number of tokens will be fixed.  The tokens will be traded among investors on an exchange.  Just like stocks, the token price will be determined according to the laws of supply and demand.  It means it will often trade at a wide discount or premium to the net asset value backing the token.

Please note the above-mentioned wallets change pretty often.  Always research your best wallet options.  In case the investor does not have a wallet, he can simply fund these wallets using FIAT currency (real money), and purchase Ethereum on an exchange. He then sends the Ethereum into the crowd sale Smart Contract address.  It is very important not to send your Ethereum tokens straight from the exchange to our address.  You need to send your Ethereum tokens from the exchange to your non-exchange Ethereum wallet first, and then from that wallet to our contract address.
