2a. Run and close the wallet so the initial files get created
2b. Edit/Create %APPDATA%\PandaCoin\pandacoin.conf

3. Run the wallet (pandacoin-qt.exe)
4. Then run your miner with 127.0.0.1 as the server and use the rpcuser and rpcpassword from pandacoin.conf.
(You can connect to a wallet running on your local network as well by using for example rpcallowip=192.168.0.* instead of localhost)

AMD: cgminer --scrypt -o 127.0.0.1:22444 -u anyuser -p anylongpasswordok
NVidia: cudaminer -o
