Title: [Ver 2.0] R14x: Intl. Robocoin GB ATM Launch in EU, N America, Feb '14. PMs only
Post by: DyslexicZombei on November 03, 2013, 08:07:34 PM
11/4 pm update: This Group Buy is on INDEFINITE HIATUS. The legal morass is too much for this Group Buy approach at this time.

Legal counsel and our board of directors have said this is too risky for our startup at this time. We're doing a smaller, internal run as our proof of concept and hope to come back to offer you BTC ATMs with outright ownership if/when legal issues are sorted out.

============

11/3 PM update: due to the murkiness of US Laws, at this time, we are delaying a US launch until we get further clarification from Washington DC. Instead: we're launching our ATMs in Bitcoin friendly countries in the EU, Canada, Central America, South America, Africa, and Asia!

OP and Title has been reflected to update these changes. I personally apologize for getting anyone's hopes up about a US Bitcoin ATM. I'm determined to be part of the US launch but will hold off until we get better legal guidance and clarification from our law making bodies.

Here's the latest update on target markets for our new corporation's pro activities for launching Bitcoin ATMs. This list is subject to change but is most likely 99% set.

This Group Buy is meant to give you BTC payments from net profits of the co-op's Robocoin Bitcoin ATM!

https://robocoinkiosk.com/

Yes, the same Robocoin ATM that just launched in Vancouver to great success is now available...to you! I know that the term: "a once in a lifetime opportunity" gets tossed around with abandon, and although I'm not your lawyer, financial advisor, or your mum, I think that this offering qualifies for that trite, overused term: "A once in a lifetime opportunity."

For example: the first ATM that launched in a city of 600K residents, appears to have made annual project ROI goal of 9

months, in only 2 days!
[Correction: ROI may not have been met quite yet. Per Robocoin CEO (edited for grammar): "We've done $50K in transactions, not in revenue." Also: "We still don't have enough data to present accurate pro forma revenue assumptions" ]

My at-cost and below-cost ASIC Miners Cooperative specializes in getting Group Buyers the very best deals and exclusives
anywhere. Following in that tradition: I'm proud to announce the forum's first Group Buy.... for the first group purchased US Bitcoin ATMs!

We're a group of likeminded IT and Finance experts, and we've put a lot of time and effort into getting to this point. The DZ Miners Cooperative makes a perfect Robocoin Network Operator, as we provide free expert marketing to Robocoin, free expert in-house product support from our veteran IT troubleshootersand Finance Pros, while offering their 5 digit product at only 3 digit USD price points.

We bring the high costs of a BTC ATM down from "sky high" to "within reach!"

============================================================================================================================

===========================================

200 shares will be issued per ATM sold by the DZ MC, valued at $26K for the total value of this ATM Group Buy. Your share will cost $130 each, which will entitle you to 1/200th of the net profits of the Bitcoin ATM, paid out every 2 weeks minus a 3% Hosting/Management Fee (this portion helps pay Robocoin directly).

This ATM will be located in a *very* highly trafficked area, in a very large city in North America. Any other ATMs purchased by this Bitcoin ATM Cooperative will also be located in similar areas. We will be selling these ATMs in blocs of 200 shares for each ATM, first paid, first served.

The miners normally cost $20K, but we're adding estimated values for the shared costs of:

- business insurance
- armed guard services
- GPS services in the ATM
- wifi or network connection(s)
- power, shipping
- misc. related costs
- a small markup for our services and value brought to this: the world's first Group Buy for United states Bitcoin ATMs
- and for the requisite "bank" of BTC required for each ATM, in order to service customers.

If it turns out that we need to keep a bigger "bank", for compliance reasons, the share price will need to be post-adjusted to reflect this.

The CEO of Robocoin does *NOT* officially support this Group Buy, but he has listened to my entire marketing and project management plan, and is impressed with both our co-op and my entire plan, which takes advantages of the diversity of skills, and the strengths and verticality of our unique Miners Cooperative.

============================================================================================================================

===========================================

Why should you trust me?

- I founded and co-run with thomas_s. one of the largest if not the largest Miners Cooperative on the Group Buys forum:

Dyslexic Zombei's Miners Cooperative.

If we're not the largest co-op, we can claim without hesitation the title of the most active (and diverse) democratic miners coooperative on the GB forum. We're have about 11 co-op creators and contributors so far, and about 85-90 members living on 5 continents (N. and S. America, Europe, the Middle East, Asia, and Australia) and 2 island chains (Hawaii and the UK).

This co-op was founded on August 15, 2013, upon the principle of rock bottom costs at the very best values combined with the highest ethics and highest quality customer service.

We just finished up our 14th Group Buy for an Industrial Class ASIC Rig in only 10 weeks for a total combined sales amount of about $129K. This has happened without a single incident of a co-op member complaining about the way we handled their BTC/ID/Fiat/Hardware/Owner interests, as we run our co-op in an open and transparent manner where the buyer's interests are looked after even if they're not around. While trying to pass on to as many miners as possible, many of the world's very best values in ASIC mining and pre-orders.

A good percentage of our sales are repeat customers and/or veteran forum members, so we seem to be doing something right!

You're welcome to contact any of the public mem bers via PM, from any of our 14 fundraising rounds in order to see how well we treated them, so far.

- I am a John K. Escrow vetted Group Buy Coordinator. He is currently the #1 name in Bitcoin Escrow. He has seen my real ID, address, and LinkedIn account with associated 50-60 professional contacts in the Aerospace industy, top Research Labs, Civil Engineering companies, Information Security Pros, VCs and top IT companies around the world.

I've designed multiple prototype systems and networks for various projects often using the very latest cutting edge tech or trying to push the boundaries of new tech. I've designed and installed at least 4 different Research Lab server rooms and designed this co-op as a mesh network, using  my experience and knack for building contacts and getting things done.

- The US Govt. has trusted me to defend and advance some of our country's top Research & Development projects in advanced technologies for nearly 10 years as both a Sr. Electronics Technican, and as an IT Network Engineer. My past and present professional client list as a contractor or sub-contractor includes the DoD (sans the Marines), the Dept. of Energy, NASA-JPL, MIT, Stanford, Lawrence Livermore Labs, Sandia National Labs, other world class Research Labs, Hawaii DOT, Kauai DOT, Kauai DOW, the local Electrical Cooperative, AECOM, Unlimited Construction, Kiewit Construction, Hyatt Regency Kauai, and many more.

- Along with fellow co-op members, we've brought to the GB forum a number of innovations and best in class values found nowhere else including at-cost and below-cost deals with all kinds of co-op bonuses, found no where else. This is an example of the community that I helped co-build:

https://bitcointalk.org/index.php?topic=323827.msg3469240#msg3469240

- I've worked hand in hand with DoD Project Managers in charge of billions of dollars in funding and with manufacturers across the ASIC mining industry from small custom manufacturers to the industry's largest players, and I treat them all the same: as a person that deserves respect but a person that also has to put their pants on in the morning like everyone else.

- I tested as a genius as a child, which I don't make a big deal of, and was offered the option of moving forward at least a grade, which I declined.

- I'm a voracious reader in a variety of subjects. I am interested, involved with, and curious about out world and the human condition.

- I'm ambitious but ethical in my dealings with others and conscious that we are all interconnected. I intend to be the first or among the first groups to bring a legal Bitcoin ATM to the United States (and many other countries). I intend this Miners Cooperative to be *the (or one of the) 900 pound gorillas in the Robocoin Operator Network.

If you're bullish on the future of Bitcoin, then my team and I, are an easy way for you to invest in the easier adoption and widespread mainstream adoption of Bitcoin, all while making a profit from both sales and purchases of Bitcoin (as well as normal ATM services).

- I appear to have a knack for innovation and ambitious project management in this space, collecting together a merry band of Bitcoin Kool Aid drinkers who TCB (Take Care of Business) with a minimum of fuss and egos involved. The best person for the job does it, as no woman or man is an island.

- I founded this democratic co-op on the concept that I, and anyone who helps run the co-op, must treat customers as if they were my own (or their own) family or friends: you don't gouge them, and you treat them with the respect that family and friends deserve.

I live this truism to heart (unabashedly stolen and paraphrased from a British WWI vet holding a Reddit AMA earlier this year):

"We're all the same people, simply separated by different flags."

- Karma. I'm a big believer in in it.

Here's some typical posts from me and my endorsements if you're interested on performing more Due Diligence on the

The Team: DZ Miners Cooperative Roles in this BTC ATM Group Buy

We're in the process of going pro for this! That's right! The DZ MC is growing up! These ATM GBs are for-profit deals (small

markups) as opposed to our usual at-cost or below-cost ASIC miner deals on the GB Forum. We share the load (and the profits)

so that we all succeed together without any one person having to carry too much of a load.

- Dyslexic Zombei - Co-op Founder and Overall Coordinator of the #1 GB Co-op. Co-leader with thomas_s for the day to day

running of the co-op and for future planning. John K. Escrow Vetted. Renaissance man: Win/Win Deal Maker. Group Buy

Coordinator and Escrow Coordinator. IT Network Engineer / IT Information Security Pro. Amateur US Historian with ~85% of a

Bachelors History Degree. First National E-sports Internet Football Champ in 1997. I specialize in designing prototype

networks, IT systems, and a world spanning Miners Cooperative (and soon to be US and Intl. Robocoin BTC ATM Operator).

- thomas_s - Head of Finance and Robocoin operations. Co-op member since Round 2. Vetted Co-GB Coordinator for Rounds 3 and

4. Lead Group Buy Coordinator for Rounds 5-12. Please contact thomas_s. for questions related to this GB or your order.

Works in Finance.

- (???) - Vetted new GB Coordinator. He does not have a forum user account yet, but he is a VP of his own oil company in

Texas, and a veteran of the oil/gas industry. He will be our head of financial aspects of deals and contracts, as our

veteran contracts expert. Also, head of arbitrage opportunities.

- bobsag3 - Head of Mining Operations for DZ MC. Veteran IT Pro. Offers the world's lowest hosting fees for business

insured, vetted ASIC miner hosting. We will have the unique advantage of both being able to stockpile and replenish our own

ATM BTC inventory at lower costs than competitors. I won't go into details too much about what an advantage this gives us

compared to other Robocoin operators.

- -Redacted- - Head of Software Support and Hardware Administration. DoD IT Consultant.

- jungle_dave: Software and Network Design and Support. Retired EE / Network Engineer.

- You! That's right, we can't do this without you.

You can help kickstart the American launch of US Robocoins by teaming up with us! You are not an owner in the company, but

simply share in 1/200th of the net profits of this ATM, for every share you own in that particular ATM.

===

Advantages of Robocoin ATM

They've launched. Everyone else is either thumb twiddling IMO or not KYC/AML compliant.

Advantages of joining the DZ MC Robocoin Operator Network

We're arguably the #1 Miners Cooperative on the Group Buys Forum as far as Industrial Class ASIC mining rigs. We have

multiple

===

How will you know that product will even ship?

Preorders in the Bitcoin world haven't always gone to plan. However, this product has already successfully launched in

Canada, and several more Canadian cities are set to follow.

This product was built from the ground up to be FinCEN compliant no matter how the US Congress eventually sets up laws

relating to Bitcoin. These ATMs are both KYC and AML compliant and are 100% legal for use in the United States.

Am I a part owner of the ATM?

No, for legal reasons, you are a backer that shares in 1/200th of the *net BTC profit* of the particular GB.

You will be rewarded with BTC deposits every 2 weeks to the wallet address of your choice, upon start of operations minus a

hosting/management fee of 3%.

So I'm not an owner. How can my voice be heard?

This co-op was designed by an IT Network Engineer who also happens to be an amateur US Historian.

We're a democratic direct representative democracy, except we're a decision making body that actually gets stuff done. If

something is important, we take direct public or PM private votes for all important Round decisions.

We pride ourselves in running this co-op in an open, transparent manner, and I have no intention of changing something that

works, anytime soon.

In voting:

- the DZ MC Co-op leaders will only vote at the end of a voting period
- will not attempt to sway votes (however, pros/cons will be pointed out among options available)
- may control the votes of inactive Group Buy backers who have passed on their voting rights
- Hold tiebreaker vote(s)

===

Caveats

It's groundbreaking, we're talking about what could be a controversial and very public launch of America's first Bitcoin

ATMs, so potholes may lie ahead as lawmakers wrestle with this cryptocurrency.

They must ask themselves: Is it worth anything? Is it a currency? Is it a commodity? How do we tax it so our roads and

bridges are maintained and our lights and water stay running? How or do we even want to regulate it?

Govt. can seize ATMs and all funds within. We may have no recourse if all of our ATMs are seized by the Federal Govt.

Business insurance may not cover such a condition, in which case, we may lose the ATM and the fiat within.

Congress could make Bitcoin illegal in the United States (in which case, we simply move ATMs to BTC friendly locations such

as Canada and Germany).

This risk is offset by the fact that this appears to be a deadlocked and historically unpopular congress that can't even

agree to pay the bills in a regular manner.

Payment Details

You agree to the terms above before sending any payment. You agree that you are of sound mind and body, and have the

patience and fortitude to let investments mature over the course of months or even years.

[Your mileage may vary, but for what it's worth: the Vancouver ATM met annual projected ROI in only 2 days. For that ATM in

a city of about 600,000 residents, they're apparently in the "black" for the rest of the year.]
[Correction: Updated info listed above, ROI may *not* have been met quite yet.]

In addition: ** By agreeing to participate in this Group Buy, you agree that this is considered a high risk investment compared to traditional investment vehicles. You agree to NOT use your money that was primarily meant for: food, clothing, rent/mortgage, short term emergency funds, car payments, insurance, 401(k), IRAs, or children's college funds. These are considered HIGH RISK purchases of hardware, with funds tied up for months, and are NOT meant for those trying to "get rich quick." **

Title: R14X Payment Details
Post by: DyslexicZombei on November 03, 2013, 08:08:41 PM
Round 14x Payment Details (Similar to R7-R11, for the most part)

========================================================================

R14 Orders should be placed here: http://www.dzminercoop.com/?product=r14-robocoin-atm

BTC Payments will be directed to thomas_s via our site for R14x but I will have co-admin to this wallet for auditing or for payments if we're in a rush. We've worked together on 12 different Group Buys with great success including 2 of the fastest GB sellouts in the forum's history for Industrial class Rigs.

For US Customers: for a 3%  fee for USD conversion to BTC, we recommend: www.cashintocoins.com a FinCen compliant MSB who can get BTC sent to the wallet address you want in as little as 15 minutes to an hour.

For Intl. Customers: We are still exploring suggestions for inexpensive BTC conversion but I can recommend www.bitstamp.net at this time as that's the exchange rate used by our payment processor.

PayPal payments (UPDATE): If payment is being made by Paypal place an order on the site and place a note on the order when you place it saying you're paying by paypal...then give whoever you are buying BTC from the order # and the payment address. Please make sure to send it as a gift to "friends and family." This helps keep your share prices as low as possible (no PP fees) and well as protects us against illegal chargebacks after BTC deposits have already been paid out in November. Sorry, this is no longer available. This payment method is "sold out."

If there's any concerns about registering your payment, please follow up with a PM to Thomas or a support ticket. There's two methods to resolve this:

A. Send a support ticket on our website www.dzminercoop.com

OR

B: PM to thomas_s on this site

Subject: DZ HF GB R14x, x shares, x BTC
Details: Please include Tx ID, your wallet address for payout, and any concerns you may have about your transaction(s)

==

thomas_s -  Primary GBC for Rounds 5-12. Co-GBC during R3-R7. R2 member. Send BTC payments and questions for R14 to thomas_s . Set up Online Auto Reservations for the co-op!

DZ - Need escrowed Group Buy shares? For a 2% extra fee you get 3rd party fund holding, dispute resolution, and $500 insurance per transaction at BTCrow. [DISCLAIMER: I, DyslexicZombei, am an approved Escrow Affiliate at BTCrow.] Please PM Carbon Copy thomas_s please prior to escrow payment.

===============================================================================================================

NEW! 10/18 UPDATE from Thomas:

"Bobsag3 will be accepting wire transfers (for 20+ shares) and chase quick pay (any quantity of shares). and credit cards by Square https://squareup.com/market/miner-hosting-llc/share-r-bitfury-gh-s-min-ups-backup

10/21 Update: Square decided apple bobbing is better than providing service to their customers because Bitcoin = Scary = Eating Square's lunch. They'd rather be run over by the BTC train instead of hopping on to take advantage of a much cheaper remittance infrastructure.

CC payments are currently suspended; we're working on something more long term. Fortunately, Thomas S. works in finance.

Thomas_s will be accepting TD bank and CitiBank (USA) checks (any quantity of shares). At this time no other banks checks are being accepted.

*These payment options are only available for Rounds that don't need BTC conversions. (At the moment the only open Round(s) are 8 and 11)

===

Thomas is handling questions and collecting payments for R14x via our site (unless you require Escrow, in which case you can PM me). He set up the automated reservation site and the GB with my input. Great work Thomas, and it's definitely an improvement over me trying to keep up w/ an avalanche of PMs and payments.  :P

I will still handle or assist in:

- Ordering
- Shipping details
- (Optional) Escrowed GB shares for those that insist on Escrow Protection from a 3rd party for: holding BTC funds, post-sales dispute resolution, $500 insurance per transaction at 2% extra cost to share price. Semi-automated Escrow is done thru BTCrow.
- Remote miner setup
- Remote troubleshooting/
- Incremental overclocking
- Payouts or assist in payouts
- Auditing hashrate vis-a-vis payouts
- Dispute resolution and arbitration, if necessary. [Should be rare as we're all adults that don't need to yell. :P]

Refunds: If we can't raise the funds to buy the full 800GH/s, we'll just order smaller modules with less hashrate. Refunds are discouraged because of the chaos caused in Group Buys, but if necessary, you will be refunded before the miner ships, at a 1.5% restock fee. After the miner ships, no refunds are available.

By sending payment, you agree to these Refund terms before purchase.

===============================================================================================================

NEW (10/21) Share Ownership Transfer Fee: There is now a 0.75% Ownership transfer fee if you're buying someone else's DZ MC co-op shares. We put a ton of time, money, and BTC to offer the GB community many of the world's best at-cost and below-cost deals. Refunds and share transfers cause chaos and extra work for us.

This 0.75% share transfer fee *MUST* by paid by the new owner before we will transfer share ownership.

Another thing: reservations are not allowed in the Round.

If you need more time: You can send a small BTC payment as a placeholder to your assigned payment wallet address.

We plan on buying a few ATMs so, there's plenty of shares to go around.

One thing I did not like when I watched that video - Said the Bitcoin would be sent to the address in about an HOUR

Edit: even a tiny, tiny BTC payment will hold that wallet address to keep it from being recycled in 24 hours.

Does purchasing in this first round guarantee that we will be receiving fund from the profits of the first ATM that goes live in the USA?

Each ATM will be issued its own spreadsheet, based on first paid profits for that atm will be given to those listed in that sheet, if we sell out as fast as we've done in the past we may simply open it up as a full investment where profits are split between everyone from every machine.

Usually we like to take the payout address in the order notes right before you go to check out if you didn't its not a big deal when the order is entered into the spreadsheet you will get an email requesting one, just reply to that (preferably leave the old email there, the one with all the order details to easily match you up on the spreadsheet)

Heading out the door for a few hours but, as a correction.

The profits from each ATM are separate for now. We may pool them all later, but no fair to punish some ATM backers because some ATMs see less business.

I'm super-excited about this and a part of me shouts 'I must be part of this!'. But I have a couple of remarks:

[Your mileage may vary, but for what it's worth: the Vancouver ATM met annual projected ROI in only 2 days. For that ATM in a city of about 600,000 residents, they're apparently in the "black" for the rest of the year.]
The Vancouver ATM is (one of) the first Bitcoin ATM ever and has had a great coverage in press and was being hyped before launch. Will you be doing anything regarding promoting the placement of the ATMs? So that people in the neighbourhood of the ATM know about it or that people will be drawn to it?

Govt. can seize ATMs and all funds within. We may have no recourse if all of our ATMs are seized by the Federal Govt.
Business insurance may not cover such a condition, in which case, we may lose the ATM and the fiat within.
What does the Business insurance cover? I expect insurance companies to be wary of this high-profile, high-risk business.

- armed guard services
Seriously? Isn't this a bit over the top? Wouldn't fixing the ATM into place be more cost-efficient? I assume the ATM itself is break-in resistant, so we should only worry about someone taking the whole ATM.

What about delivery/installation date?

Also, I'd like to suggest to place (one of) the first ATM of this GB in germany, considering bitcoin's succes in germany.

Besides these points, I'm very interested :D.

I would love to put some of these down here around Las vegas and then give small kickbacks to shop owners who will accept bitcoin

One thing I did not like when I watched that video - Said the Bitcoin would be sent to the address in about an HOUR
The hour is  based on the blockchain, the ATM isn't like coinbase or similar online services where you have an account with the ATM and its simply transferred to you it is actually sent across the blockchain.

I believe the ATM can print an address with a private key if you choose, but I haven't read any problems from the Vancouver launch.

And we plan on having more than one putting one in LV is something I'd love to do.

Yes we plan on promoting each of the ATM's at launch, and will be actively looking for the best placement of the ATM's

Business insurance usually covers the machine as well as whats in it, as this is like any other ATM we don't feel that an insurance company will think it to high risk.

Armed Guards are regularly used to restock ATM's cash, this isn't to protect the ATM during the normal course of the day but only when the inside needs to be serviced, would you prefer that someone goes opens the machine up and gets robbed while filling the ATM or emptying the deposited cash?
Banks use these services for outdoor ATM's where someone can pop up behind the fillers when filling it, we may not need this service depending on the location of the ATM if we feel that it can be restocked at the close of business when no customers will have access to it.

---
Forgot to address your last few points
The ATM can be bolted down (it comes with the necessary equipment to do this)

Delivery/installation is expected in January / February '14

We would love to place one somewhere else, if someone from another country is willing to find out what legal issues need to be addressed to operate it there I'm sure we can get one out there.

I don't mean to label the ATM machine as high risk and I don't think the insurance companies consider an ATM itself as high-risk. But the whole financial world is wary of the bitcoin-phenomenon. I can imagine insurance companies asking astronomical fees just because of it's relation to bitcoin or downright rejecting insurance.

Anyway, if it receives a lot of (local) press coverage and is installed in a highy-populated and bitcoin-friendly environment, I guess I'm in.

For the insurance they would be insuring the ATM not what we do, most of the insurance we would need is for the physical machine and cash that it holds.

Also from the OP we are currently looking for a location if you know someone or own a business that is BTC friendly and would like to be the home of one or some of the ATM's send me a message.

And we are offering institutional prices for people who want to own entire machines and have us maintain them.

I will definitely be picking up a few shares.  Do you have any thoughts on specific cities yet?  I'm guessing San Francisco and New York City are obviously high on the list.
Yes these two are fairly high on the list, but we are open to other suggestions (our plans are for a few machines) as well as locations within those cities, and if you wanted to purchase a full machine guess who can decide where it goes.

On a completely different note I'd like to just post some quick statistics in under an hour we have sold around 50 shares (paid) and for an ATM that will be launched in the USA there have been far more shares belonging to people from the EU than the USA. Shall we turn this into a contest?

It doesn't really matter where you are from everyone that puts up money for these units will receive a payout even if you're not from the USA.

I would like to also point out 1 thing about this ATM have you ever gone to another country and had to convert your currency to theirs? How would you feel about just going to that country sending your BTC to an address the ATM gives you and getting the local currency back (if you needed some local currency) rates would be much much better than going to an exchange or bank.

To people that may be wondering what the BTC price is to prevent a mass of orders to check the BTC conversion price at the moment it is looking like

0.601000599 BTC per share, this price doesn't change frequently because its based on an average BTC price.

Also this round qualifies for fiat purchases. What does that mean for customers.

We are accepting
CitiBank (US) and TD Bank checks
Postal Money Orders (USA)
Wire Transfers
Official / Bank Checks
Western Union Money Orders

We are still working to get credit cards as an accepted payment method but we are unsure of when this will happen.

To use these options please send me a PM.

This is an illegal offering of securities AND you want to operate in the US! Ha! Do you know what the remedy is for every single purchaser of these securities is? Rescission, not to mention the fines and penalties. So you're essentially giving your shareholders zero-cost options. Not smart.

Guys I have some background in taxes and this post may be correct.   a btc may be a stock and or a security .  selling a btc from an atm machine on usa soil may not be legal. We may need a brokers license to own it.

I love the idea of doing this , but I am a bit leery of the fed laws that involve selling of stocks and or securities.

I don't know if we can do this legally.  I am not so sure I want it to be under the DZ coop umbrella..

I am pretty sure the other buys are fine as it is pooling cash to buy  mining gear.

I do not want the feds going after the gb 1 -gb 13 mining gear  as a punishment for  the atm.  I used to do collections for the IRS back in the 80's you would be surprised what can be done under fed laws.

If these ATMs are bound for the US, then this poster has large bank hurdles and head aches they are approaching. The post even mentions bank off-the-cusp, but this is the largest issue by far. If anyone is interested in a larger investment into our group buying machines in Las Vegas, please message me ($10K minimum). We are approaching it more as a business from an investment perspective and brand in Las Vegas. We will be additionally going to Macau and Singapore next.

I wish you guys best of luck, but you should really consider figuring out the bank thing first.

We have rethought the launch in the USA and feel that at this time it will not be in anyones best interest for the first ATM(s) to be in the USA.

We will be moving the launch into a more BTC friendly / open country, looking at the EU.

If you don't like this change and would like a refund of your funds it will be issued at no cost to you. (Most of the funds have been raised by the EU as well)

Mining operations are not affected by the ATM and have been working on incorporating to keep separate.

So let's say I place an order for a share, but then it turns out that the company isn't actually compliant due to an obscure law. Everyone who contributed will get their funds back or the funds will be used to purchase another miner/another ATM that will be compliant, correct?

BTC AMT's have already been announced for deployment in the EU, but we are still making sure that our company is in full compliance.

So let's say I place an order for a share, but then it turns out that the company isn't actually compliant due to an obscure law. Everyone who contributed will get their funds back or the funds will be used to purchase another miner/another ATM that will be compliant, correct?
Yes, and worst case scenario we can put one in Canada where they are already up and running.

OK, that's good. Now, let's assume that this sells out tonight. Would the ATM be ordered immediately or would there be a bit of a wait until a suitable city could be found? Also, I'm sorry if this comes off as pestering, I just want to make sure that everything's accounted for, since this is a whole different ballgame from the mining that we've been doing.

ATM #1 will more than likely sell out tonight if it goes the rate it has been within 24 hours

There are multiple planned and they will just automatically flow into the next, we don't plan on ordering immediately and are talking with Robocoin almost every day from about Thursday.

Hi everyone,

Wow, this Group Buy has escalated quickly. Thank you everyone for your input, your concerns, and pre-orders.

I can report that the we've filed for Corporation Status in the state of Nevada. We expect to have the paperwork in place in 15 business days. No funds will be moved (except for refund requests) while this is moving towards completion.

For liability reasons, Mining operations (and co-op GBs) will be shielded in a completely separate company under the same umbrella, most likely to be incorporated in Texas, for this child corporation.

==

UPDATE: After further review of the legal challenges in bringing this to the United States, we've decided to launch in the EU first and South America soon after.

The first EU locations will be in countries that have expressly stated that they have no issues with Bitcoin. If you would like a refund, there is no restock fee due to this update in plans.

We are doing are best to stay on the right side of the law, and we're setting up 4 child corporations in order to shield different arms of our operations from one another, legally.

==

BTW, 94 shares sold so far. 24 shares pre-reserved by Co-op leaders. 118 shares accounted for.

82 shares available in first pro Group Buy for the ATM arm of our co-op's pro activities.

I am  lot more comfortable with it being separate from the miners.  I am going to wait a day to decide if I want a share of this.  I know mining and I know selling gear on ebay.

I don't know as much about this as the above. Looks to be that we are more linked to the dealer after the fact then we are with mining gear.   Boy this when I still want to be 20 something and single .  rather then 50 something and married for 30 years.   I think I am going to pass.  Don't want to pass as I see this as the best upside investment I also see it as the  biggest risk so far.  Good luck to those that jump on it.

Honestly, the reason I invested is because of a) the assurances that the miners/ATMs would be separate, and b) I feel that the future of Bitcoin (at least in the near future) is in financial services. As much as people would like to be in a world where everything is done via BTC, we simply aren't there yet. This gets us one step closer to that reality, as well as making a small profit on the side.

Team USA - 1
Team Europe - 0
Team Asia - 0

Most shares sold to
Texans

I really thought Team Europe was going to win the first ATM's sales.

Who's going to win the second.

Yes, I am 100% aware.  Believe it or not, there are actually people out here who ARE aware of State money transmitter laws, permit applications, and bonding requirements because they've been-here and done-this before.   The starting point for all states is registration as a FinCen MSB as a prerequisite.

Can people from the US participate?

Heading to dinner in a bit, working behind the scenes all day. US residents can *definitely* participate.

I live in Hawaii, Thomas is in NY, -Redacted- is in Minnesota, bosag3 is in Missouri, and our contracts expert/business consultant/oil VP is based in Texas and works on oil and gas contracts for a living. Payments sent via BTC will have taxes paid for as part of the costs of business and have business service fees while doing business in a legal manner.

The recipient of BTC payouts will be expected to pay relevant taxes on BTC earned from their participation in this GB Round. We want to support lawful tax payments, and contributions to our society and the infrastructure we all rely upon every day.

I admit to moving before we were ready as there was a East Coast site I was keen on securing, that I've been dissuaded by our business consultant to launch (not quite yet) at this particular region.

Working on the prospectus, sorry, I'm awful. I promise to have a bare executive summary up tonight.

BTW, the CEO of Robocoin loves this GB and loves the primary location we suggested for the EU. I'm meeting him via skype in a few minutes with the team (or parts of it).

We will have an update on this in the next 24 hours. Which will define what we are raising funds for as not a security. What the company will be doing is just like what coinbase is doing online but in a physical location and not in the USA at the moment.

The problematic part is not the selling of bitcoin at a physical location. It is going to be the paying out your investors part.

PP is currently very BTC unfriendly (no thanks to some bug still being a worm) but as a fully incorporated Corporation, we will have the usual ecommerce options available for our business operations.

BTW, I guess I should add that as of today, I am the CEO of this X (To be named later when PPW is back) LLC. We've filed incorporation papers in Nevada but will likely move registration to an international location shortly (while still paying full US taxes).

I had no idea 3 months ago that I'd be a CEO of a mover and shaker in the Bitcoin economy and Miner industry. I'm also going to be working 2 weekdays, the entire day/night, for our new corporation starting this week.

Correction from Jordan, CEO of Robocoin:

"the first ATM that launched in a city of 600K residents, appears to have made annual project ROI goal of 9 months, in only 2 days!"
[6:47:27 PM] Jordan Kelley: - that statement is incorrect
[6:47:42 PM] Jordan Kelley: we've done >50K in transactions
[6:47:45 PM] Jordan Kelley: not in revenue"

Updating OP to reflect information.

==

Also as to whether ROI has been met or not for the first BTC ATM, per Jordan: "We still don't have enough data to present accurate pro forma revenue assumptions"

Here's the latest update on target markets for our new corporation's pro activities for launching Bitcoin ATMs. This list is subject to change but is most likely 99% set.

Round 14A: Düsseldorf, Berlin, Germany (SOLD OUT in 6 hours, a GB Forum record by ~100%)
Round 14B: Amsterdam, Netherlands (OPEN)
Round 14C: Mexico City, Mexico
Round 14D: Brasília, Brazil [Home of Summer Olympics 2014]
Round 14E: Caracas, Venezuela
Round 14F: Shanghai, China
Round 14G: Tokyo, Japan
Round 15H: London, UK
Round 14I: Sydney, Australia
Round 14J: Stockholm, Sweden
Round 14K: Johanessburg, SA

Please give us your suggestions and preferences as to where YOU would like our next ATMs to be placed. We're a democratic miners cooperative and for purposes of general direction, we'll yield to public forum sentiment (and accommodating business laws in various countries).

Round 14A: Düsseldorf, Berlin, Germany (SOLD OUT in 6 hours, a GB Forum record by ~100%)

I like both of those options, I´m actually close to Düsseldorf and could check it out personally. :)
But to be honest, I think Berlin is even better a location, lots of tourists/international traffic... maybe in Kreuzberg (http://www.theguardian.com/technology/2013/apr/26/bitcoins-gain-currency-in-berlin)?

How about Singapore? There are growing number of people that uses Bitcoins in Singapore. Bitcoin is even in the news last night. If theres a Bitcoin in Singapore, it would certainly help some people. Singapore also have a great number of tourist from all around the world.

I liked Singapore when I visited it  back in 1980 as a USN Sailor.  It has an added attraction it is a low crime city.  No Idea if it is BTC friendly.

Theres are a few merchants which are starting to accept bitcoins in Singapore. The number will probably grow as Singapore is known for being tech-savvy.

Regarding Germany: Are you planning to put up an ATM in Düsseldorf, in Berlin, or in both cities?

How did you decide for Düsseldorf? That might be a rather poor choice. Berlin or Munich would make the most sense both economically and marketingwise.

Good idea to place the first ATM in berlin, I was going to suggest that. Berlin has been in the news a lot regarding bitcoin thanks to the bitcoin-friendly neighbourhood.

Might I also suggest placing an ATM in Brussels, Belgium. The goverment here is very much of the wait-and-see sort, I don't know if that's a good thing per se. But that means the ATM won't run into any regulation problems in its first few months. Also Brussels is somewhat the capitol of the EU and the centre of many international organisations like the EU and NATO. Read a wiki. Also placing an ATM in Brussels will guarantee a few regular customers, wink wink.

Edit: Does anyone know if Robocoin or any third party will be publishing and maintaining a list of locations of all the ATMs? If people can see locations of ATMs they will be more aware of BTC in their enviroment. It might also draw extra tourists to the ATM for exchanging currencies.

Round 14A: Düsseldorf, Berlin, Germany (SOLD OUT in 6 hours, a GB Forum record by ~100%)
Hi, I bought some shares when ATM was still going to be in USA. Are my orders in limbo or just moved for ATM Germany? Also, how long do I have to pay if I sent the micro payment to confirm my order? I run to some problems buying BTC. Orders the little payments are paid for: #447 and #448.

I also took places #433 and #422, which I am probably not gonna take. Can I auction these or are you just going to resell them?

EDIT: and this
Hi! If I buy a share, how long will I have commissions? Till machine's life?

What will be the major differences between R14A and R14B orders? Besides the chosen locations?
Also how likely are you to pool ATM rather than keep them separate?

Here's the latest update on target markets for our new corporation's pro activities for launching Bitcoin ATMs. This list is subject to change but is most likely 99% set.

Round 14A: Düsseldorf, Berlin, Germany (SOLD OUT in 6 hours, a GB Forum record by ~100%)
Round 14B: Amsterdam, Netherlands (OPEN)
Round 14C: Mexico City, Mexico
Round 14D: Brasília, Brazil [Home of Summer Olympics 2014 2016]
Round 14E: Caracas, Venezuela
Round 14F: Shanghai, China
Round 14G: Tokyo, Japan
Round 15H: London, UK
Round 14I: Sydney, Australia
Round 14J: Stockholm, Sweden
Round 14K: Johanessburg, SA

Please give us your suggestions for Bitcoin friendly countries for our ATMs! Your feedback really does count.

Better yet, why not host one and make some BTC? ;D

Only problem I have with Round 14F (Shanghai) is that the Chinese government is friendly to Bitcoin because they see it as a potential competitor to the USD. If people in China start using BTC to get around government imposed currency controls, the government is going to shut that thing down real quick. Why not either move it to Hong Kong, or at least have a separate machine in Hong Kong? I still think that putting an ATM in Rio for the World Cup would be better than putting it in Brasilia, although depending on how long it takes for the government down there to approve the ATM, it might make more sense to put it in Brasilia. Also, I agree with others who have mentioned Singapore as a potential place for a machine, like Hong Kong they are financially friendly and free, so it would be a good place to expand to.

Edit: Let's say we bought shares in the ATM's and decided to use one to either buy BTC or exchange BTC for cash. Could we get a discount on the fees?  ;)

I just purchased a share, too.

Someone mentioned a 3% fee to use the ATM. We don't know how much of that will be split amongst the shareholders, but at max it would be $300 for $10k or $1.5/share. Assuming that this is for the life of the machine it won't take long to make back the money - especially if they can turn BTC into (local) fiat.

Title: COMPENSATION DETAILS - UPDATED
Post by: DyslexicZombei on November 04, 2013, 04:08:51 PM
Stopping by for a short while, Thomas will answer your inquiries when he gets caught up (and gets off his job job, instead of his fun job).

Here is the updated compensation plan for our backers, calibrated to keep us out of hot water. After reaching enough funds to cover our first machine we feel we need to clarify the terms of this deal:

============================================================================================================================

- 300% ROI is Guaranteed within 2 years, after which the ownership of the machine reverts back to us.
[For legal purposes: even with these terms, backers cannot own the ATM, but can receive net profits from it]

- BTC net profits paid to you will be calculated as part of your compensation for backing the International Launch of GB Robcoin ATMs.

- Our trade is 100% of the cost for 80% of the net return.

- ** Payment is considered as acceptance of these terms. **

Basically we are guaranteeing 3x return on your investment within 2 years or less, then it truly and fully belongs to the corporation (for comparision: no miner mfg. in the industry can offer this guaranteed return).

- The 2 year payout period is the maximum time needed to pay back our backers; this time frame could be even lower depending on cash flow and our ATMs revenue.

You pay 100% of the machines cost and receieve 80% of the profit. The machine gets 20% (goes to our Corporation) until you are paid 3x the price you paid us (priced in USD).

============================================================================================================================

The terms above supersedes previous compensation terms. You may ask for a no restock fee refund at this time, if these terms are unacceptable.

The terms above are meant to keep us out of legal hot water, while guaranteeing you a 300% ROI in 2 years or less on a Robocoin ATM or ATMs.

We have had two orders cancel due to the delay of the US launch, but those slots were instantly filled.

Also, as of this week, as CEO of this new corp. I will be splitting my weekday workweek 40/60: 40% on this new corporation, 60% at my Research Lab.

If things proceed well, I may have to resign from the lab, to take up this work full time. I'm sure you guys wouldn't be too upset about this news.  :D  ;)

Also, please keep your ATM suggestions coming! Now is an amazing time to truly be on the groundfloor of this opportunity. Your suggestion could literally make the difference in an ATM being installed in Hong Kong instead of Shanghai (a suggestion I'm implementing), or to add ATMs to Singapore or the Czech Republic (noted and added to list I'm working on).

With a good Bitcoin ATM placement recommendation: You may be able to brag to people that *you* were the one that helped get your country's first (or among the first) Bitcoin ATMs (and point them to the proof here if they don't believe you).  ;D

And if you're in a target market, with a high traffic area under your control, please consider hosting one of these Bitcoin ATMs in your country to help Bitcoin's mainstream adoption, and make a profit via hosting fees while you're at it.

Is there a way you could make a survey via SurveyMonkey or Qualtrics for people to vote on where they would want ATM's installed? It would be a way to cut down on the clutter here in the thread. Heck, give me the names of the cities you're thinking about and I'll make it. Also, glad to see that we're both like minded about replacing Shanghai with Hong Kong, and adding Singapore to the list.

Thank you! We're a community and one of our strengths is the community itself, so community support / input is always appreciated here.

This early in the game, it's not an exaggeration to say: "the world is our oyster."

I've been told by the CEO of Robocoin, that at this point: we can place our pieces as we see fit.

===

These are the variables I'm seeing which affect our decisions with regards to launch markets.

First criteria: a Bitcoin friendly govt. and business environment. Preferably, there is an official friendly policy in place regarding cryptocurrencies.

Second criteria: A large, technically literate population that is favorable to the adoption of cryptocurrencies.

Third criteria: I'm favoring a nation's capital, whenever possible, as these tend to be the hubs of Intl. flights, in which case, these ATMs are going to revolutionize money remittance and business/personal travel fund transportation (the container of the cryptocurrency funds is either in your head or on a slip of paper).

Fourth criteria: our own business contacts in these various countries. We need reliable operators, contractors, and hosts anywhere we launch.

===

You and any others are free to start up a thread or continue the thread here, WRT to BTC ATM placement. I've used Survey Expression before, but my time seems to be at a premium lately, and I def. don't have time to set this up, if you'd like to be a community lead for this.

Legal hot water. We understood that the new terms may upset some people. As miners just like you, it would actually have been our preference to give you straight ownership for the life of this, but our hands are tied at the moment.

However, this is a guaranteed triple payout on ROI in two years or less.

[Disclaimer: Not your lawyer, financial advisor, or mum.] There is *nothing* going on in ASIC mining anywhere that is giving out these guaranteed ROI estimates. Please check FCTaiChi's chart and see how well this compares. This may be a semi- apples to oranges comparison, but the comparison is valid, as the same funds in consideration for a miner may also consider backing a GB ATM.

Also: this is both a self-serving and a noble venture, as it increases widespread adoption of BTC, which will only benefit us all in the long run. We are going to be saving so many families and individuals a lot of money in remittance and CC fees, all over the world.

==

Also, people who do back this launch will be given special considerations that are exclusive, just for our BTC ATM backers. I can't go into detail about this yet, but if you ask any of our veteran co-op members, we always go above and beyond to help and service our customers.

Well, it seems like they have done ok so far raising funds ;)

In terms of ROI how are you calculating?  Monetary value in terms of USD, or 300% in terms of BTC invested?  Because a large swing in the BTC price either way could make that a short or long term proposition.

Hey madpoet,

for purposes of pay back calculations, this is calculated in USD (which hugely simplifies things). However, during bi-weekly payouts, your payouts will be paid to you as BTC (calculated at USD values to pay you back over time at 300%) in order to compensate you for helping us with our International Launch. The calculation for the bi-weekly payouts are calculated at the current exchange rate of Bitstamp.

There may be changes...as legal advice becomes more clear and laws/policies come to fruition. We will be giving a no restock fee refund option if the terms have to change yet again. There may be minor tweaks to the wording but the details of this compensation just listed is to be considered as binding and in place as the structure and language we will be using for the foreseeable future. As in: if you buy in now, you should expect a 300% ROI within 2 years or less.

We're more than willing to raise awareness so that local governing bodies can stimulate economic growth by adopting Bitcoin. We would have preferred to have given you outright partial ownership, but to do this at this point could get us in big trouble and stop us in our tracks.

My promise to you: If it becomes legally feasible for this US based Corporation to give Group Buyers outright partial ownership in the near future then we will go down that path immediately (and any funds already spent backing this launch would be applied to this, if possible).

==

Also, its Germany, then Amsterdam. I'll likely fly over to the EU for this. We'll spend a few days in Germany, then launch in Amsterdam.

Sounds fair,

Complications may arise a little further down the line as laws will vary from country to country,  Some may allow ownership others may not so if ATM's are pooled as things develop further down the line how would that work?

Is there any chance that this will change at a later date once more legal decisions get worked out? Also, will the German ATM will be installed before the Amsterdam one, or is the German ATM included in the April-June window?

Can you go down the path of say Asicminer and others where you're not "really" selling shares in the ATM, but rather simulated shares that you deal with on the back end? Eg., you're the sole owner and you distribute the funds to the "shareholders?" That would seem like the best course of action.

Do I understand this correctly?

If I put in 6 BTC (approx. $1200) now. And the price of Bitcoin rises to $1000 within 2 years, that means you may only pay back 3.6 BTC (which would then be $3600, aka 300% ROI in USD)? This way I would lose 2.4 BTC..

This would mean that if Bitcoin itself rises more than 300% within 2 years, I might lose BTC due to this investment.

Sorry, but you should NOT promise the ROI in USD...

(and how come you are saying this now after having already received investment for the first ATM?)

Im interested in a few shares, will decide on cities and make a order

Wanted to throw a middle eastern country in the ring...maybe Dubai or Abu Dhabi? Plenty of oil money floating around and very safe in terms of security/insurance costs etc
Im looking into Oman right now, have friends who are getting the information for me.

Awesome!! One or two of these guys would help get ROI pretty quick :D http://www.youtube.com/watch?v=G8-QkQpIj-8

Dont think its that simple as payments are made fortnightly by bitcoin so will fluctuate with bitcoin value.

Yeah I know but the ROI of 300% is not "guaranteed" this way, it's still possible to lose BTC on this investment if Bitcoin goes way up.

Im interested in, actually would be interested in buy share of all possible ATMs, but however im not in for fast roi or 300% guaranteed return. I would like to be in for long term steady income and now with these new terms it seems impossible as payments will stop after x time.

If US laws makes it impossible to offer contracts / shares which continue, you can sure set up bahama / panama etc. IBC or equivalent which is owned buy your new llc and still pay all taxes etc., but offer also permanent shares as most of people might be looking for. Maybe makes things a bit more complicated, good lawyer can help to do this easily and also make sure that all applicable laws will be honored.

Just my two satoshis. Please consider.

Agree with the above,

Also who guarantees the 300% return, if bitcoin were made illegal tomorrow with all ATM's seized who would be responsible for the reimbursement?

A bit disappointed here too with the updated terms and conditons, you would think in 2 years time Bitcoin would be more mainstream and popular than ever hence more turnover at the ATM's give us a greater return.

Kind of works opposite of a miner where returns diminish over time, the ATM's return should grow over time.

Lifespan of atm is about 5-15 years with maintance and upgrades.
Your offer is only 2 years...

As I understand it: if it says on-hold that means that the site has yet to detect your payment. Processing means your payment has been received but it needs to be reviewed/handled by staff manually (have you entered your payment address?). Completed means everything is ok.

I'm also not to keen on the time limit here. Also, a guaranteed 300% ROI is very nice... Unless bitcoin is worth more than 300% of its current value when two years have passed, which I think will be true. I am considering pulling out. I would very much like to be part of this, unless it means never reaching ROI in BTC.

The best way to handle this is to create a business either per atm. The LLC would own the ATM and then the shareholders would be the group buy members and get paid dividends.

It is obviously easier to have less members of the goup buy.

cheers for reply. i think you are right about the process.

im not to sure if its worth it. i kind of wanted to be part of the ATM thing u know, get more ATMs out there, but also diversify my investments a bit.

imo holding BTC might actually be better for investment but again you can never be to sure.

Honestly, the way I read it was that payments wouldn't stop once the ROI hit 300%, just that it was a guaranteed ROI of 300% over 2 years. So theoretically, depending on how popular these are, we could get a 300% ROI in a year or less, and payments would continue until that 2 year period was up.

With that being said, I am curious to see how they react to people who are unhappy about these terms. Here's hoping for the best.

Refunds will be processed later tonight (lunch break not able to do them if we even have any more than the two requested late last night)

don't hold me to this but I'm in the process of talking with RoboCoin to see how exactly the fee's are generated (either in BTC or in fiat) from the talks its looking like its a mixture of both, we MAY be able to amend the payments based on this. But at this time I'm unsure. On another little side note if we promise to pay 3 times in BTC and BTC drops we can technically buy you out.

We've selected the list of cities / areas based on what we've been told could possibly work based on the environment of the location.

We are open to suggestions on how you would like to see compensation however giving ownership of the ATM to each person could run into problems later, maybe a higher return + longer time period, if we can offer partial ownership we will.

And this is a business so if we go the way of tripling your BTC invested (or tripling what you invested) and then that goes down to a point where the business can buy you out in full by tripling your investment in a payout it comes back to us. But give us suggestions were all ears.

For those that don't want to participate anymore a full refund will be issued.

The way we currently have the terms set up is you will get triple your investment ($123) within 2 years. After you get triple your $123's ($369) the ownership of the ATM belongs to the company.

300% ROI is guaranteed within 2 years -> 3 times your investment will be returned within the time frame of 2 years.

After which the ownership of the machine reverts back to us
After you receive the 300% ROI the machine reverts back to the company.

To be clear, I'm not asking for a refund right away. I would like to see where this goes first.

What does 'buying out' mean? Does it mean once a share has been paid back (or in this case the promised 300% ROI) that the company re-acquires the share?

Official partial ownership would be great, but if that is not possible the company could assume full ownership of the ATMs and the profit could be distributed to the investors behind the scenes as was suggested somewhere earlier in this thread. That way you couldn't possibly run into any obstructing regulations and such, right? (I don't have any clue about financial/business law, so forgive me if this suggestion isn't of any help).

I was also under the impression that the 300% ROI was a guarantee, not a limit on payout after which the ownership would revert to the company even before  the 2 years are up.

Now that the term ROI has been clarified, does it remain at 300%?

Please don't feel pressured because of questions, assumptions and misunderstandings. We're just hoping for clarification and correct information in order to make a wise decision regarding our 'investment funds'.

I'm pretty sure this would result in the ATM's being seized and any hope of getting our money back would vanish. While this works for ASICMiner, that's only because they're mining and are only selling mining equipment (although that may change in the future). Here the company has to abide by a whole different set of laws that are very strict (Know Your Customer/money laundering laws). However, I'm hoping that I'm wrong and you're right.

So now you explain that i only jumpstart your own business? I have to donate my part of the ATM to you after 2 years? So that its not only the 20% you earn as the organisator you get 100% later for all the ATM.

Why is that needed? This doesnt have to be a security. I dont need to own a company. I own a part on a machine. I doubt thats a security. And if it were, then i dont own a part on the machine, i would get bounty since i brought the company a good thing some time ago? Bounties are paid out all the time.

Anyway... with Asicminer i knew friedcat will get his fair share and i will take part the whole time. Im not sure that i want to see ATM's being a big success over time and then i have to donate everything like it became the next google type of success.

And the ROI over 2 years? I bought shares in USD. So i hope that doesnt mean i get revenue in USD. Since when i look at the developing of the bitcoin price it would be laughable it bitcoins would be only 3 times as costly in 2 years as they are now. So if your ROI is calculated in USD really it would be a sure way to make a loss.

When i invest im in with my money as risk and i want to be in with my money with the success too. Not being the donator that donates someone other a big business.

I hope you find another solution since i dont like this.

I didn't buy into this to get 300% ROI, I bought into this to be a part owner in a global network of bitcoin atms. Now we are just fronting the cash to make you guys multi-millionaires.

I tend to agree with this sentiment, the main attraction to an ATM over a miner is that there is no concern about unpredictable future profitability. It should be able to run for the full life of the hardware and produce income for investors over that entire timeframe, rather than operate as financing of a longer-term investment for the corporation's owners.

I'm not particularly interested in becoming the corporation's lawyer, but if the main reason for the two year/300% ROI timeframe is legal compliance concerns I would be willing to put my expertise to use in overcoming that concern so this can become a life-of-the-ATM type investment rather than a bond-financing situation.

Oh, do tell? We are all ears. We have an oil/gas contracts expert on-board, but honestly, any help to navigate this legal international morass is greatly appreciated. We may be able to work out a BTC compensation for your services.

We really, really wish we could just give you guys partial ownership for life. Believe us: if there's a way to give you guys partial ownership for the life of the ATM outright, we'd take that option in a NY minute.

We are still reserving this option as our first choice, if this becomes feasible.

FWIW, for those worrying about the legality of an offering running afoul of SEC laws, there is an exemption for "offerings of limited size."

"Not all offerings of securities must be registered with the Commission. Some exemptions from the registration requirement include:

    private offerings to a limited number of persons or institutions;

    offerings of limited size;

    intrastate offerings; and

securities of municipal, state, and federal governments.

By exempting many small offerings from the registration process, the SEC seeks to foster capital formation by lowering the cost of offering securities to the public."

Digging through it again, I could not find any clarification as to what size of an offering will trigger mandatory SEC registration.

Pertaining to ROI payback: if you invested $123 in a share, with a 300% ROI guarantee, you will receive the BTC equivalent of $492, or 4x your original investment.

Again, our first choice is to give you outright ownership if we can legally square this away, with this 300% ROI guarantee of 4x your original investment as our 2nd option we *really* don't want to take, but may be forced to at this early stage of our startup's operations.

I really hope that you guys can work this out. Is there a possibility of retaining a lawyer if beavertank can't help? Also, I have a question about payment. I can send in enough coins that I will only have about .04BTC left, however Coinbase apparently took away my ability to purchase BTC instantly, and my BTC will come in on Friday. Is this acceptable or should I just bow out? I am order #451 if that helps.

One ATM is limited size for sure.

But when i read the ROI... turning $123 into $492 might be 300% ROI but only if the bitcoin price freezes now. If the bitcoin price goes from $230 to $690 in 2 years it would be the same like keeping the bitcoins. If the bitcoin price is higher thatn $690 in 2years!!! then it would be a negative ROI for me instead keeping my bitcoins. And i highly doubt that the bitcoin is at 690$ in 2 years. If he is lower or even dead then the ATMs would be dead too.

So thats not for me. I dont see why the ROI is calculated in USD but maybe the numbers are correct from the first ATMs results. Where are the numbers of that ATM? Maybe these numbers are not real and in reality higher?

Hello,
I would like to see a business plan written up or full disclosure. Such as a prospectus. Guaranteeing a certain ROI is a bit worrisome. I think of the show "American greed". Everybody guarantees a certain amount and we know how that turns out..
Just some random thoughts

my 2 satoshis to OP:
1. denominate the shares in BTC or some call it XBT now. ( don't use USD )
2. hire lawyers
3. hire an auditor
4. get an escrow to act as trustee and distribute the dividends.

my 2 satoshis to potential investors:
1. let the buyer beware (Caveat emptor)
2. do your own due diligence
3. there's plenty of other XBT investments out there. (just like the ones we in BitAngels see on a daily basis)

...

So to be clear, at the end of this agreement we will have received the BTC-equivalent of $492 calculated at that time? In other words, we will not necessarily receive BTC2.46?
(1 share = $123 = BTC0.615 at $200/BTC - 4xshare = BTC2.46)

I'm a bit disappointed..

Was looking for a long term investment.  I don't particularly fancy being used to front these machines for you guys to keep after 2 years.

unless there is long term dividend on profits, I'm sorry but I'm not interested.

Getting Bitcoin ATMs into some capital cities via crowd-funding is a great idea, but this is more like a 2-year USD-Bond with 300% interest, than an invest into BTC cash machines.

They refunded a large order on my part. That is a good sign about their intentions at least.

i am a bit disappointed it only lasts 2 years or as soon at 300% ROI is reached and then they get to keep the ATMs but thats what they want to do it's their choice i guess.
i got my full BTC refund back no problem at all for my order #460, thankyou for the refund, i hope everything goes well in the future :)

I was interested until I read the 300% cap.  Doesn't make sense to do this, let people get in at the ground level and stay in for life.  PS, more machines in Canada!

I am so sorry but this offer is CLOSED INDEFINITELY. We are refunding everyone as soon as orders are confirmed on Thomas's spreadsheets.

This will be done in batches and you *will* get your refund back.

After conferring with legal staff and our board of directors, I have decided that we (I) jumped in too early and that this is much too risky for a startup.
We actually had a lot of legal counsel today offsite. It turns out that *no one* has attempted to do this so far. There's zero case law to refer to.

We are refunding everyone and freezing sales. The legal morass is just too much to deal with right now for a small startup.

If you're willing to buy a machine that needs management services, please talk to us.

We are looking for Qualified Investors. We are also looking for potential locations for said ATMs. Please contact us for discussions if you'd like to work with us.

We are looking into our public proof of concept. We still intend to come back for the US launch, it all depends upon Washington DC and what state governments decide as far as laws/policy.

For those that sent partial payment the site doesn't keep track of this by default if you did send this I will need your order# and refund address and I can look up your bitcents and send them back to you.

Hey everyone,

Thanks for being patient thru the manual refund process.

Unlocking this topic and updating this thread in case you're wondering what became of our ATM management offering: https://bitcointalk.org/index.php?topic=330662.0

For legal reasons we had to retool it as a Services offering. Unfortunately, you or a group will need to buy a Bitcoin ATM or ATMs outright to take advantage of our new Service.

If you (or your group) do proceed, you own the Bitcoin ATM(s) forever, which is much better than our modified terms of 3 years from R14x, Ver. 1.0. In fact, you can even replace us as your Services company, if you'd like.

We're still planning to launch in those first 5 locations we listed (except #1 will be Berlin). What's different about this retooled rollout is that as customers contact us, this will modify our rollout plans based on actual demand.

Also, we're buying ATMs from Robocoin with internal funds and customer funds before the 18th; it's just a matter of how many we're buying.

P.S. If you're already a co-op member who was keen on R14x and you don't have the funds for an entire ATM, please send me a PM to discuss your situation.
