Yes, anyone wishing to purchase a property which is held by the Fund will be able to purchase
them through ELES platform. If the buyer is a non-holder of ELES tokens, he will be able to pay

Acquiring ELES
Users can first acquire ELES tokens during the Initial Coin Offering period. The company will also be offering a Private Participation Period for users before the Pre-ICO period is launched. ELES tokens are then used as payment means for all services and properties over the Elements Estates platform.

Standard
ELES token will be based on the ERC20 token standard and will be deployed on the Ethereum network. By using the ERC20 standard, users will be able to see all transactions, which have occurred, ensuring transparency with the fund and the users of the ELES platform. Hi! Russian authorities banned ICOs and token sale at the moment, so we can not accept Russian participants unfortunately.

In first stage there will be only properties from our portfolio. Later in the second stage we will offer listings also for external owners but they will have to place their real estate in platform management. For that they will receive tokens on platform (something similar than in-kind investment). After that all payments will go through platform – that’s the case we can control lock down of tokens. And owner of the premises will receive payment lowered for platform fees.

Regarding crypto wild west with prices this year and volatility, will Elements Estates run ICO no matter what will happen on market? How much is softcap and hardcap and what, is scenario if softcap would not be reached?
Yes, we are still determined to run the ICO this year. This volatility may even “run water on our mill” as crypto community is more and more in search of projects that can be more resistant to such general volatility.

In accordance with our whitepaper, we set the soft cap at 2.5 million USD and hard cap at 50 million USD. As we have already announced at the beginning, and this was our today’s’ big announcement, we already reached softcap within private period which is still not closed as we are running more discussions with interested parties.

Could someone explain point of Property acquisitions & development in SEE region?
There are two major points of acquiring real estate in SEE region. First one is that there is a lot of non-performing loans (NPLs) sitting in banks in this region. Banks have to get rid of them, clean their portfolios and focus on their core business of lending money. Moreover, this region is very interesting from a touristic point of view and also from business side as it is developing more and more to catch up with the rest of EU.

The other point is that our team has a lot of experience in this region and knows very well how to operate in SEE.

What real estate will you be able to rent let’s say for touristic purposes? Will this be Elements Estates real estate or from outsourced providers? I would think that Elements Estates at the moment does not have any real estate to offer for rent so…?
At the moment, we do not have any properties to offer. However, we are already bidding on some projects and when approved and contract signed, you will be the first to know ☺. Before finishing the crowd sale, or even before starting one, we will have some properties to offer and exchange ELES tokens after crowd sale for an ownership of real estate. Moreover, we have many properties, including hotels or campsites on the table and they already operate. If we can acquire, reorganize and upgrade them, we could offer them for rent through our platform. You can use our token in the future for these touristic purposes, mainly located at the seaside, Adriatic and Mediterranean Seas, which are one of most beautiful in the world.

When real estate on Moon? Will your first real estate project be in Slovenia?
We don’t want to speculate around the (crypto) “Moon thing”. We trust we have a good project with development plan we tend to follow. So, in our opinion, you will be able to witness the gradual growth of the token value over a longer period of time.

Slovenia is one of the countries in the SEE region we will acquire properties in. Only time will tell if our first real estate project will be in Slovenia, it might be as well from Croatia or Greece. As we are in a bidding process currently, we cannot give any more information.

Can you tell us a little more about Peter and yourself? Why blockchain?Well, we both have extensive experience, knowledge and know-how in finance and real estate industry, me personally mostly in the banking industry, restructuring and development of real estate and Peter mostly in financial and distressed assets. With blockchain we can deploy smart contracts and make processes much more transparent and efficient. We want to play this game with open cards, for all of us to be able to benefit from it. This also reflects towards the ease-of-use regarding participating in real estate projects for our non-EU community members. Blockchain makes it possible to participate in our real estate projects, even when you are from a non-EU country.

From who will you actually buy it? From banks? Or from owners? Or Both?
We will buy it mainly from the banks and Financial institutions.

What are similar projects to yours? Are you following them? Where you differ from them?
Of course we follow other projects from our industry, like Propy, or others, and whole crypto/blockchain community as such. I would say that we differ mainly on how we will spend the raised funds and on the source of the real estate we plan to acquire. In our case, only smaller amount will go for development of the platform, majority goes for acquiring real estate projects behind, so our token will have for underlying assets different real estate, which means an intrinsic value. Because our main objective is also to buy from Financial Institutions NPL/distressed assets, we can come into position and acquire this projects with great discounts, and through restructuring much increasing the value of project as such, and portfolio on the whole.

Our buffer is distress purchase price in first line. So we have time to react. Every crisis takes some time to evolve to its maximum and reaches its full impact. Because of mentioned buffer we have time to detect it after it starts. In such scenario we would sell RE in the markets that could be impacted, very fast. We would be than able to invest in RE in areas that would start its growth cycle and prepare to enter again to the areas hit by the crisis, after they are at the bottom and RE prices reaches bottom, therefore providing again best potential.

Wery interesting answer.
Because of mentioned buffer we have time to detect it after it starts. In such scenario we would sell RE in the markets that could be impacted, very fast.
What if nobody want to buy house and you can not sell the real estate what than ?

Then there is always the option to make the property available for renting

Hey, as you can assume we can not look into the future - so a real expectation can not be made.

At ElementsEstates we are focussing on distressed assets. The main reason for this situation is due to the economic crisis in this countries.
The figures although shows that upcoming years the real estate market in this countries are expected to grow significantly.

In this article, you will read the top 7 questions + answers from the session. Read how Mr. Silič explains the Elements Estates project, expresses the importance of the ELES tokens and reveals the recent new big step toward our goals. Dear all, before I start answering your individual questions, I have written a short intro.

Let me first share some light on our journey for Elements Estates project. Since the beginning of summer 2017, when the idea was born, and from September 2017 onwards, when core team started working on business model, legal set-up, getting right people on board and external partners, reviewing and testing different solutions, we finally achieved a unique project and product as such. We have reached many milestones for which personally I am as well very proud on. At this moment I will put emphasis on one of them:

I am happy to announce that we have already reached our Soft Cap goal of $2.500.000 participation in private sale.

Now let me start with answering your questions.

When will the Whitelist and KYC (Know Your Customer) be available?
For every KYC process there is a lot of demands to be met in order to be in accordance with legislation and rules. We took care of this, developed the system to make the whitelisting and KYC process possible and made a partnership with trustworthy company for this process.

So now that we did all that, you may expect the whitelist to be opened within 2 weeks’ time.

How will we be able to monitor the investments of the real estate fund in separate phases?
Well, we have a classical infrastructure and profile of people behind. What we do is we first analyze potential real estate projects, we make thorough due diligence (static, dynamic with cash flows, risk analysis, etc.), different scenarios weighted and investment decision. Later on it will be presented on Platform for voting. After decision and acquisition of project a skilled project manager takes over, a set-up of external partners and supervisors is done and a start of the monitoring process etc. Projects will constantly be monitored, timelines and costs re-checked. We will have 5 phases on projects and final date on finish of the projects, like you can already see in beta platform.

I think ELES tokens will be very valuable someday and can I (in the future) rent a place on your platform, (for the holidays) in fiat money? Who will do the transfer? Will you also have some kind of crypto/fiat gateway?
Yes, that is the project. You will be able to exchange your tokens for an ownership of a certain house, villa, property, or go for holidays, where you will rent different facilities with our token. In other words, for buying or renting you will pay in ELES tokens, where ELES will act a currency. In case of Fiat, we will have on our platform a partnering exchange that will have a very easy way to exchange different fiat to our ELES. That is also a very good question, and I thank you for it, because we see a lot of demand for nice real estate from classical markets.

For touristic purposes we have different projects on the table, from houses, villas to hotels and camping’s.

Did you consider going for security tokens instead of utility tokens? I don’ understand the utility of the token right know?
With regards to utility, we will not do any dividend or rental payments out, but we will reinvest up to 80% of profits back to platform, liquidity pool and real estate projects, which we will develop. Because our main objective is also to buy from Financial Institutions NPL/distressed assets, we can come into position and acquire this projects with great discounts. By restructuring, we increase the value of projects as such and the portfolio as a whole.

On the other side, with every transaction on the platform, half of the tokens will get locked through smart contract for 3 years and therefore effectively taken out of circulation, which will have positive effect on value of token. On one side increase in value of the portfolio and on the other decrease of token circulation.

And with regards to going for security tokens instead of utility tokens: Yes, this is an option for the future, no decision yet. We however have an infrastructure behind that will quite easily allow us to transform into security. It is a serious option for the future, also when legislation and regulatory will be clearer for security tokens.

What will be the difference in project development between the soft cap $2.500.000 and hard cap $50.000.000? Or mainly, how many real estates from the pipeline can be bought?
We have for more than $100.000.000 in total of projects on the table, coming from different countries of South-eastern EU region (SEE), which was in last years left behind in comparison to western countries in terms of distressed assets restructuring and sell-off of NPL from Financial Institution. We are targeting projects between $2.000.000-$8.000.000, depending on the final amount that we raise, we want to get best projects inside and as well diversification among assets class and countries. With a single project it is meant a complex of houses, villas, apartments, or flat (each unit will cost much less), or hotel, comping place, building with business offices, etc.

As most projects struggle in fundraising, can you tell us a little more than soft cap reached? How far are you right now and are many discussions ongoing?
To be honest, it is not an easy market:) We are still in private sale and there will be many meetings with potential participants in the near future. I am also within next two weeks time in London, later on this September at congress from Agora Group in Dubai together with Peter, and so on. Just in general, I can say that we are already bidding on some real estate projects as we want to have some properties on the platform before the start the crowd sale, or latest before the end of crowd sale.

Will it be possible if two customers buy a house on your platform, let us say in some kind of auction or something, and then you ‘flip’ the house and make it beautiful and fully functional. And then me and my ‘partner’ sell the house with profit and you get a commission or something. Will that be possible?
We will have one token for the whole portfolio, we are not doing tokenization of an individual property. If you and your partner, for instance, will want to buy a house, half & half, you will each transfer half of the needed tokens through a smart contract, and you will then become owners together. We however will not do more than one, or two different signing to land registers in respect to many different ownerships, at least not in the beginning. In case of security token, tokenization would be possible.

At first, we will be in restructuring and development of real estate on our own as this is also our great advantage in know-how and experience. Later on, we will as well offer brokerage services for properties not in our ownership, especially when land registers get digitalized and bring blockchain to its full use in terms of smart contracts.

To remain profitable, banks must keep their NLP at a bare minimum and in some cases, are prepared to sell high-collaterals to clean up NLP and inject capital into their operations. Herein lies the opportunity that sets Element Estates apart from all other “real-estate-on-the-blockchain” platform

Sure. Non-performing loans are a big problem for most banks at the moment. The main three problems with NPL's, are:
- NPLs tie up bank capital without providing return
- They reduce bank profitability and threaten business models
- They erode a bank's liquidity.

Regulators have put considerable pressure on high NPL banks to produce robust and detailed NPL strategies and demonstrate their ability to deliver operationally on those plans. This oversight is having a considerable impact on banks as they work towards meeting the requirements of the regulator.

. There are still a large number left after the financial crash of 2008 and the banks have a level of urgency to remove these from their holdings, they will usually do so at an under-valued rate as even this is more effectively as if they step out of their core business and start the construction finalization processes by themselves.

The development of the ELES platform will take from 6 to 9 months after the Initial Coin Offering (ICO). Decisions on projects, which will be used as an underlying base, will be based on all standard analyses (quantitative, qualitative, static and dynamic with cash-flow projections), checked with our real estate advisors from CBRE, Colliers, or others, and on an algorithm developed by the Elements team that considers the level of risk and the associated rate of return

As per now the token economics and ecosystem will the same, the team is following all developments on regulatory and business aspect.
So if there would change something significantly, we can easily adopt the necessary changes, but we will always discuss and share this within the community!

When you take a loan from a bank, the bank expects the loan to yield interest and be repaid under specific conditions. This is a performing loan.
