Our next upgrade, DNotes 2.0, which we will have a 1:1 coin swap will be POS. POS is better aligned with our philosophy of shared stake, those that have an invested interest in the coin will benefit the most. Additionally, on top of the staking reward structure, we will have CRISP built into the blockchain reward system. Those who store their coins for 30 days or more in the same wallet will earn .166% (2% annual with monthly compounding), and those who store their coins in the same wallet for 365 days or more will earn 4%. As a result there will be no cap in DNotes 2.0.

We all should make our own investment decision based on our comfort level and risk appetite. As a rule, never invest more than you can afford to lose in case of a total loss.  

It is a good practice to maintain a balanced investment portfolio and not put all your eggs in one basket, no matter how promising it looks. Additionally, it helps to gain a good understanding of the business model applicable to the specific investment. I generally would take the “highway” and move on if the business model is not cohesive, incomplete, or one that I do not understand. Unfortunately, many of the offerings in our industry fall under this category. That is a little troubling.

The current DNotes model is capped at 500 million, which will not max out for generations as a Proof of Work (PoW) coin. Moving on, DNotes 2.0 is a Proof of Stake (POS) coin. It is best suited in the fulfillment of our commitment to encourage long-term savings and making it accessible for everyone to participate in the most meaningful and rewarding way. This model is pro-savings and pro-stakeholders’ interest verses getting rich over-night. It is consistent with out long-term push for DNotes to gain mass acceptance. Most importantly, it will work just as well today, as it will 500 years from now.

We have no doubt that this model, coupled with DNotesVault and our fully integrated ecosystems, will be proven to be far superior for our stakeholders than other models more tilted towards speculative trading. In addition, DNotes Global will be a significant contributor to DNotes intrinsic value. Our cross-ownership model will also be beneficial across a board spectrum collaboration and partnerships using DNotes as the digital currency of choice.

“No Cap” may be misleading. The rate of growth is actually capped, based on the issuance of new DNotes for payment of staking reward (2% per year) + monthly CRISP reward (1.66% every 30 days or 2% per year) + annual CRISP reward (4% every 365 days.) The annual total is approximately 8%. That is the annual growth rate and in proportion to your ownership of DNotes, if you participate in full. If we cap it there will be a time, generations from now, we will not have the DNotes to support this program. Consequently, the reward program will end or corrected with a new fork, which can be challenging as we have seen with Bitcoin.

I have read through a lot of postings yet and I am really impressed by those believing and holding DNotes all the time. Since last year I am in DNotes as well and I would like to know, in what way - perhaps just for marketing reasons - DNotes could be related to Ripple? As I understand, DNotes is not only about a payment system but a whole ecosystem including its own bank. In a way, Ripple also bridging the gap between centralized institutions ... on a centralised blockchain tech.

In business as well as in life, it is wise to recognize that greatness prevails not by individual efforts alone but through the efforts of many working together. We all have our strengths and weaknesses. At DNotes,  we always focus on our strengths and humbly include others to compliment and build on our strengths. To that extent, DNotes could be related to Ripple as a strategic partner in the future. As of now Ripple is just one of my small investments dating back to early 2014.

Ripple is not a pure decentralized entity but one of the earliest to recognize the power of the blockchain in the transfer and settlement of currencies and assets of value around the world between parties in a fast and efficient manner. In terms of a global payment and settlement system, they have done an amazing job. Being managed as a business with centralized leadership they have achieved remarkable success in working with major banks and corporations around the world.

One day, as part of our fully integrated ecosystem, we will have our own exchange, bank, partner-banks and global payment network linked with other networks. I envision that our system will be designed to always use the best route and means in getting the best exchange rates for our customers in the most efficient and expedient manner. I believe that Ripple will be a part of that equation.

Compared to Ripple, DNotes is casting a much wider net. Strategically, we have a strong focus in building a trusted brand and very committed to mass acceptance of DNotes in global commence. To that extent DNotes must one day be conveniently accessible to everyone, including the corporate world and females. By definition, mass acceptance should mean that no one is left behind; including those with little means today. Meanwhile, education and getting the words out in the most informative manner is important to us.

No one can achieve greatness individually, but as a group working cohesively to achieve common goals that are mutually beneficially to all.  And being the smartest guy does not guarantee success in life or in business, since we all have our strengths and weaknesses. It is not enough to be great in just one or two areas and assume that everything else will take care of themselves. So, I am not surprised that, “STEM (science, technology, engineering and math) expertise comes in dead last. The seven top characteristics of success at Google are all soft skills: being a good coach; communicating and listening well; possessing insights into others (including others different values and points of view); having empathy toward and being supportive of one’s colleagues; being a good critical thinker and problem solver; and being able to make connections across complex ideas.”

Furthermore, “the company’s most important and productive new ideas come from B-teams comprised of employees who don’t always have to be the smartest people in the room.” One doesn’t have to be the smartest but the wisest to out-smart the smartest.

I wonder how far next Gen.(i.e. 2.0) has been developed and the exact date when the gen will be released.
Also I wish you to share your plans about contacting any exchanges and if you are already doing, please let us know the progress of the marketing. In my opinion, all of dnotes owners or to be owner are really interested in the prediction price of the coin.

Thank you, Pete.P. I will comment on what I can. However, it is important for our community to understand that because we have chosen the route of a compliance Reg. A+ Mini-IPO Title IV Tire 2 where securities can only be sold after being “Qualified” by the SEC, we are constrained by certain disclosure rules.

We will be significantly more guarded on what we post and be committed to disclosing information of material impact through multi-channel at the same time, so that no one can gain an unfair advantage of “insider” information by trading ahead of others based on early information received.

Having said that, I can confirm that our partnership with Geneca in the further development of DNotes 2.0 is doing extremely well. We are confident that it will be launched in the 1st Quarter of 2018. This is a multi-year project that will continue to expand and require significant investment.

Limited efforts have been allocated to secure the listing of DNotes on additional exchanges at this time, in part because of the impending technology upgrade to DNotes 2.0. However, I have developed an extensive contact list and introduced myself to some of them. In the case of Binance, we have submitted a substantial proposal with an indication of paying them for support and promotion. They have not yet responded.

I had wanted to take it easy for a couple of days but so far it has not been as planned. Instead, I have been actively responding to many LinkedIn connections of fairly high-level contacts. That could be a great sign that DNotes is finally being discovered. Or perhaps, more people are beginning to realize that our selection of Reg. A+ Mini-IPO is the smartest and best legal alternative to funding our projects, instead of joining the popular ICO phenomena.

DNotes Price Prediction to 2018?

We do not make prediction. But, personally, I believe that it is important for us to share as much information as appropriate and be as transparent as possible so that investors can make their independent informed investment decisions objectively. As a result, we have been making every effort to support this forum and answer every question, as time permits. They are often done with great consideration to convey a consistent and cohesive message of our vision for DNotes to be the trusted digital currency of choice accessible for everyone worldwide to participate.

DNotes is uniquely different, since the day it was launched on February 18, 2014. Like many in our industry, we became addicted to the many world-changing implications this new decentralized world could bring forth to the betterment of humanities. We quickly came to recognize the ingenious consensus system, the unbreakable double spend solution, and the enormous power of the blockchain.

 No doubt, we are witnessing the greatest technology revolution since the Internet. And from my prospective, significantly bigger and far more wide-reaching worldwide. There are real possibilities to change the world by helping those with little means today to climb the social economic ladder.

However, we can choose to keep on dreaming about those possibilities or do something about them. We have committed ourselves to the latter. That is the beginning of the DNotes Story as to why we have been doing things so differently. DNotes2.0 Solutions and Interfacing with Blockchain IP groups

After hearing the great news that DNotes Global Inc. has found a great fit with their software development partner Geneca, I realised that they are very likely to develop new solutions to the existing problems faced by cryptocurrencies. So I had a look at how the blockchain sector is handling intellectual property management.

As I understand it, DNotes Global Inc. express their commitment to providing financial systems that benefit all people by intending to open-source the results of their software development. I'm curious to know more about how DNotes Global Inc. intend to manage ownership of solutions developed in partnership with Geneca, and how they see their role in networking with existing organisations to participate in the protection and sharing of intellectual property.

Regarding our philosophy on open-source software, it is best not to get ahead of ourselves at this time, especially, now that we have a software development partner, as well a formal Board of Directors for DNotes Global in the near future. We will take time to study this critical issue with formal discussions before releasing specific policy decisions in the future.

What I can say at this point is that I personally support open-source software development to facilitate collaborative development, testing and debugging at some point. One day, our users by choice, could seek to be treated like co-developers with full access to the code of the software.

DNotes will most certainly remain open-source. However, it is highly conceivable that some of our proprietary software will be managed as closed source and only available under licensing and non-disclosure agreements. The software development of our exchange in the future will fall into this category. In this case, security is our number priority. Open-source may allow hackers to pinpoint every weaknesses and loopholes and exploit them to their advantage.

I've had some dnotes coin from May, Poloniex and now Cryptopia cause of delisting.

Isn't there any news about listing on other exchanges such as bittrex or Korean exchanges?

Yes, we are pursuing listing of DNotes on various exchanges worldwide. That will happen after DNotes 2.0 is launched to the satisfaction of those exchanges that DNotes 2.0 is stable based on their evaluation.

We have no intension of selling the DNotes any time soon. There are many reasons for the ownership. Strategically, it gives DNotes Global strong self-interest to make DNotes an immense success. Because of that it creates shareholder value for DNotes Global and stakeholder value for DNotes. And since DNotes own 25% of DNotes Global (subject to dilution) a more valuable DNotes Global also makes DNotes the digital currency more valuable with more intrinsic value in support of it.

The business models that we have been building are simply amazing. They are viable for our industry to follow one day, though not easy to replicate.

The whole DNotes model is extremely complex in many respects. As we attempt to merge the old world of centralized control with the leaderless decentralized new world there are many challenges we seek to overcome. We intent to be as transparent as possible and trust that we all can learn together.

I'm assuming here that there is a difference between 10,000,000 DNotes Global shares and 10,000,000 DNotes (the coin). The shares would essentially be created similarly to any other company stock once your registration filing is qualified by SEC, or are they also on a block chain? The 10,000,000 DNotes Coins you plan to keep indefinitely.

If DNotes, the coin, owns 25% of DNotes Global how will that ownership be demonstrated? Are there shares that will automatically show up in your wallet based on how many DNotes you have, or do the coins themselves represent a type of share as well?

I think I'm mentally falling over the logistics...

Just a brief response. DNotes is a “C” corporation. All its authorized and issued shares are common stock shares just like that of Google or IBM. Blockchain is still an experiment, so we do not plan to have the shares on the blockchain any time soon.

DNotes, on the other hand, are sometimes labeled as crypto-shares of a Decentralized Autonomous Organization (DAO). The 25% (subject to dilution) will most likely be held in a trust for the benefits of all DNotes stakeholders. We are still working with our Attorney to determine the best option. This ownership will remain the same with no planned distribution. It is meant to provide DNotes currency with some intrinsic value. In an efficient market, the value of this ownership will be reflected in the market price of DNotes. It should have a positive impact on DNotes’ price stability, essential in mass adoption of DNotes in Global commerce.

That is a valid question. If we use the 10,000,000 DNotes as a token sale to raise money for DNotes Global before being qualified by the SEC as registered or exempted that would be illegal under U.S. security laws. I would not be surprised that we need to file a disclosure statement with the SEC in the future if we intent to sell any of the DNotes.

Would it make any difference how you were to sell those DNotes? For example, would dumping them on an exchange at market price be any different legally than putting them up for sale directly to investors, most likely for fiat money?

I'm thinking that putting them up on an exchange would be legal, though not recommended at this time. You own the coins. You have the right to sell them.

But promoting the coin directly to investors as something that could be profitable would then qualify the coin as a security which means you'd better be properly registered and vetted first.

What if you put the coins up on an exchange *and* also promote it?

The SEC takes issue when someone pre-mined an amount and sell them for money without SEC registration or exemption.

My relentless commitment to help DNotes succeed by doing the right things is to ensure that DNotes can benefit a lot of people who do not have the means to participate in investments that are designed for accredited investors. So, we share a lot of investment sentiments in favor of the small investors.

Does this mean that DNotes Global Inc. would be seen as breaking SEC regulations if it ever sold any of the potentially postmined 10,000,000 DNotes2.0 being considered?

Now, to answer your question, based on our current thoughts (subject to change), at the launch of DNotes 2.0 an amount equal to the then current supply of DNotes plus 10,000,000 additional Notes will be mined for the 1:1 coin swap.

Wiser, I completely agree with you and would love to see a 1:1 spend on financial education : financial regulation.

I believe that more proactive and consistent enforcement of existing laws would also solve a lot of the problems. When an ICO posts a whitepaper that claims it has a team of 10 programmers with a combined 100 years of experience. I'd like to see some complaint against them when it all falls over taken seriously and an investigation into the real number of year's experience of the programming team. If it doesn't match the information in the white paper, jail the participants for fraud. If a whitepaper claims they've completed the working software and they're running the ICO for marketing funds, then it turns out that they don't have working software, jail them for fraud. Not so hard and no new laws required. Same goes for creating or falsely embellishing identities.

And finally, I don't see why filling out forms to provide concise information about your organisation or ICO should incur an expensive fee. Maybe they should offer a two tier system. Tier 1 would gather and publish information after verifying it was signed by an identified responsible party. Then tier 2 could charge a fee for having their claims checked by the SEC and marked as verified. Investors could then decide on the risk they are willing to accept.

That is a valid question. If we use the 10,000,000 DNotes as a token sale to raise money for DNotes Global before being qualified by the SEC as registered or exempted that would be illegal under U.S. security laws. I would not be surprised that we need to file a disclosure statement with the SEC in the future if we intent to sell any of the DNotes.

Wiser, I agree with you that “much lower entry barrier for those of modest means to invest in something that very well could improve their financial lives in a way that wouldn't be possible otherwise” is a wonderful thing made possible in our industry. However, that fact remains that it is possible with or without ICOs. For example, once an account is set up, anyone can invest $5 in DNotes - $1 today will buy you 20 DNotes. Of course, once it is discovered and fully valued the potential for appreciation is reduced.

The SEC has a mandate to promote capital formation. It promotes various legal crowdfunding platforms such as CF (crowdfunding) Reg. D - 506 (c), Reg. A+ Mini-IPO and others. I bet if our law makers can figure how to make the sale of ICO legal, SEC will promote it as a tool for capital formation.

Furthermore, it is important for us to understand that the required registration is their means of getting full disclosure and continued reporting information so that the consumers can make informed investment decision.

It is certainly true that the lower entry barrier for investing is true without ICOs. As you said people can buy DNotes or any other cryptocoin directly from an exchange. I've bought into one or two ICOs and for the most part I've learned that the coin tends to lose value as soon as it starts getting traded on exchanges. It may or may not appreciate in value later, but you have time to study it and watch the market to find a good entry point. So if I'm interested in a coin, I often will just wait until its ICO is done and it goes on the exchange and then wait some more. If I still want it, then I'll buy it, but I'll admit a lot of times I sort of forget about it.

Since a lot of exchanges host ICOs, my hope is that increased regulation (or crack down) of ICOs doesn't jeopardize people's ability to acquire ordinary cryptocoins on exchanges.

I appreciate that required registration is how you get full disclosure and continue reporting information. It can also be prohibitively expensive for new entrepreneurs. I can understand why some of those people are excited about the ICO concept. I'd like to see the best of both, where there is proper disclosure and information to help investors make informed decisions but the cost isn't prohibitive for the startup, and the investor can participate with amounts as low as $10 (and not be required to invest some prohibitively high amount), and where people of all means can participate, not just "accredited investors."

I don't think there is a law against anyone launching a new coin and making it available for everyone to participate in - the way our industry got started. The SEC takes issue when someone pre-mined an amount and sell them for money without SEC registration or exemption.

My relentless commitment to help DNotes succeed by doing the right things is to ensure that DNotes can benefit a lot of people who do not have the means to participate in investments that are designed for accredited investors. So, we share a lot of investment sentiments in favor of the small investors.
