The Elephant in the Room: Cryptocurrency’s Massive Bubble(s)

https://dnotesedu.com/2017/11/the-elephant-in-the-room-cryptocurrencys-massive-bubbles/

That's an interesting article. I have been personally puzzled by the rush to invest in lots of different ICOs or even a new coin that looks flashy. I picked some new coins to invest in back in 2014, including DNotes, and what's funny is that two of those coins I picked back then I'm still investing in now, and they're like old coins. I've picked up one new coin since then whose future is up in the air but other than that, I'm sticking with the tried and true ones, and trying to add to my holdings as much as I can.

One thing that truly puzzles me is the Ethereum phenomenon, and I'm wondering if anyone here would like to comment on it. I avoided Ethereum for the longest time because every time I heard something about it, it was bad. Smart contracts getting hacked, millions of Dollars worth getting lost or held up somewhere in the etherspace where no one could find them until they sort of wandered back home. I wanted nothing to do with it. If I heard of an interesting ICO, I'd look into it and as soon as I learned it was ethereum based I'd drop it like a hot potato. I recently got into the position where I own two different ETH based tokens (one because I thought it was a NEM token and the other because I was kind of forced to--long story). So I finally tried to get a wallet and my first attempt failed repeatedly, until I finally switched to a different wallet. It works, but is very clunky. I guess what I don't understand is how a coin that is so awful can be priced so high and be so popular per coinmarketcap. That's the part I truly do not understand. Why is Ethereum where it is, and not one of a half dozen other coins that do smart contracts and wallets far better?

Thank you, wiser. I always enjoy your posts – original, honest and refreshing. The fact that your picked two from years back that are still promising today, by itself, is quite amazing.

I have high regards for Ethereum, despite their occasional stumble. It is difficult to be perfect. There is a lot of untested ground and uncontrollable.

However, I am concerned about the potential fall-out of ICOs that SEC may deem “securities” that were sold without registration or exemption. Among other remedies, they can issue a rescission order to rescind or return the proceeds of the fund raised; much of the amount is still held as Ether and Bitcoin. A major case or a combination of a few could cause significant value adjustment. A wide-spread enforcement could be very damaging.

Thanks for the kind words. I like your perspective on Ethereum--focus on what that project has accomplished, which is considerable.

The two "new" coins I got into in 2014 are NEM and DNotes. With DNotes, it was the professionalism and dedication to developing solid infrastructure that won me over. With NEM, I kind of fell into it because I had been playing around with NXT, unfortunately not profitably, and some of their team decided to launch NEM and I got a stake figuring I had nothing to lose. Now I wish I'd gotten two or three. In 2015 I got involved with DMD, which by that time was already nearly three years old, and the longevity interested me. Early on I took a small writing gig with them and was very impressed with the thoroughness and ease of communication I had with the lead developer. That coin is now 4.5 years old and going strong, and paying a lot of my bills. The two newer coins I'm into now are STEEM--I really like the blogging for currency concept--(though right now I need to figure out if they're having growing pains or real issues), and VIVA, which I think is a great concept that will make it but at this stage is still a wild card.

Honestly, four or five coins is about all I can handle keeping up with, so I'm not even looking at the new ones coming out. One thing I love about DNotes is that if I'm not around for a couple months I don't have to worry that there will ever be some deal breaking piece of information that I missed that I should have acted on immediately (as in sell off all my coins). I can know that DNotes will still be there and making progress.

Thanks, wiser. You are very analytical and objective in your selections. Many investors in our industry can learn from you. There are always leaders and followers in any competitive industry, such as ours. And you are able to identify them.

DNotes has a lot of moving parts and only those who can connect all the dots can appreciate its true value. It is strategically designed to be a long-term player and positioned for the next wave of serious investors and professional fund managers who take their fiduciary duties seriously. I have no doubt that our relentless commitment to building a trusted brand with integrity will be quite valuable one day and we all can be proud of it.

Thanks. Excellent job, DNotesEDU.

It is progressing in a very similar manner to the dot com bubble, where a few blue chips will emerge to dominate, and the rest of the industry will be doomed to failure or relegated to over the counter markets.” Certainly, that is a good reminder. In the real world, unfortunately, 80% of businesses failed during the first ten years.

Our industry is a fast mover – going fast, furious, and wild. I would venture to say that over 90% of the blockchain cryptocurrency projects will fail in the next 3 to 5 years. It is very important to do your homework before investing and prudent not to invest more than you can afford to lose in the event of a total loss.

And remember this from Warren Buffet, “Be Fearful When Others Are Greedy and Greedy When Others Are Fearful”

Hi, @DNotes @Dyna. Great thanks for answering my newbie questions.

I see the the coin launched on 2014, the actual dev starts from April 2017. During 2014 and 2017 what DNotes focused is marketing.

I think it will be great to add some new technical improvement, for example: consensus protocol, lightening network, private sending and so on.

For me, I was a developer, making development thoughts and basic report are not complicated, actually quite simple and fun. Cause it's sharing the new ideas and progresses to everyone. I even write some to myself helping me organize the coding design.

If the developer could push the work to Github I'm sure this will gain a lot faith to DNotes holders.

Why not coding in the open source way? So that ppl can also contribute ideas, even code to DNotes2.0. Although I'm not a blockchain developer, but maybe someone in the community is good at this. For example the development of Linux and Bitcoin.

Since DNotes Global is not a none profit foundation, what the business plan to attract and convince investors to invest in the company?

No problem kopes18.

To see the projects we have been working on since 2014, please see our roadmap here: http://dnotescoin.com/dnotes-roadmap/
Quote from Alan above "For the first three years, we focused in developing our ecosystems, i.e. – CryptoMoms, DNotesVault, Family of CRISPs, DCEBrief and my book. We waited for the technology to mature and only started working on software development [of DNotes 2.0] on April 1, 2017."

Also see 2017 in the roadmap for our list of carefully planned technical improvements for DNotes 2.0.

As far as open source / github, please see my response above here: https://bitcointalk.org/index.php?topic=1924858.msg24964592#msg24964592
Our GitHub is absolutely open for anyone to contribute, but once the base code of DNotes 2.0 is completed we can more actively promote contributions along with bounties. There is the possibility some of the code will be radically different, so it doesn't make sense for us to promote it until DNotes 2.0 is ready.

DNotes Global Inc. is a for-profit company, for more information on this please see the DNotes story here: http://dnotescoin.com/the-dnotes-story-an-unfolding-big-bold-idea-of-global-scale/
http://dnotescoin.com/the-dnotes-story-an-unfolding-big-bold-idea-of-global-scale/
I still can't see the business model of DNotes Global as a company.

It is easy to get confused. DNotes itself is a decentralized digital currency. It is governed by algorithm. By itself, and I am trying to keep it simple, it has little capability of executing a business model or business plan. It is leaderless and it cannot be controlled by an individual or a group of individual like a real world business.

We recognize that as a short coming of a decentralized organization. We believe that it is important to have a group, such as ourselves and our community to have sufficient self interest to promote and protect the best interest of DNotes. DNotes Global is an addition to that efforts to carry out the proposed projects on our road-map.

Oh yes, I understand the currency part. But I think to attract Reg. A+ investment the DNotes Global inc should have a business plan for the company investors. I just don't see this part for now. Thanks!

We have a business plan/white paper on the standby that is 90% completed. TeeGee has put in a lot of time working on that. I have also contributed and reviewed his work. Depending on the situation and disclosure requirements it can be completed as business plan, white paper, prospectus, or private placement memorandum, relatively quick.

I am not in favor issuing business plan for general consumption, especially in our industry. It is often a wish list to fool investors; constantly subject to change. At this point, our Road Map is sufficient. Moreover, there is a massive amount of published materials about what we are working on and we are always here to answer any questions.

Additionally, in the case of A+ Mini IPO issuing misleading statements or claims could negatively impact our chances of getting approval. We have always been very conservative but will be even more guarded as we take a serious look at A+ Mini IPO.

Mobile Payments in China
One of the things about China that surprised me the most was the number of businesses accepting payments via a mobile phone app. In fact it was rare to see a business that didn't have a QR code sign displayed for this purpose. Even the small street-food stands all had them.

And it seemed to be about half the payments I observed were done using a mobile phone instead of cash. Sometimes the mobile phone was faster, other times the cash. When a mobile phone was used, the confirmation was usually made just by the buyer showing their successful transaction to the seller.

Of the options available, AliPay and WeChat seemed to be the top two choices. All of them seem to use a simple system where you scan a QR code with your mobile phone, type in the amount to pay, and confirm it with a button press. The verification seemed to be instant.

The ease of use, and adoption rate really interested me because at the front end, it looks just like how I imagine cryptocurrency payments will work. Of course the back end needs to resolve the speed issues but will have the advantage of much lower fees due to much simpler and more reliable infrastructure. After seeing this, I'm now of the growing opinion that between now and a dominant cryptocurrency option, we'll see a number of hybrid versions where the existing systems provide a wallet service that can be topped up using a cryptocurrency payment or emptied back into a cryptocurrency address.

WeChat is owned by Tencent Holdings Limited in China. And Alipay is also owned by a Chinese company, Alibaba Group Holding Limited. So while China is still forming its relationship with cryptocurrency it is unlikely we'll see a hybrid payment system any time soon. But if a mobile payment application becomes as popular as cash in the western world and implements a cryptocurrency wallet system, this will put a lot of pressure on China to do the same or risk losing their first-to-market advantage.

Excellent reporting, Tim. We missed you. WeChat makes thing so simple and user friendly it became a communication tool their rapidly growing network of participants can't do without. Mobile payment was their natural fit.

We have other ideas for the future, but perhaps should not get too far ahead of ourselves. Just a hint - your phone is an integral part of you in many respect.

Farewell, Poloniex!

We wish you the best and appreciate that you listed DNotes on your exchange when others skipped us because DNotes was just a new-born. I just wish that we know why you dumped us when we needed you the most – like a baby just learning to walk.

I have learned a long time ago, that if one must under-estimate the future of someone, it is far wiser to pick the old guy on his last leg and not someone young. DNotes is still in its infancy - for whatever reasons you may have, we may prove you wrong.

DNotes will cease trading on Poloniex exchange at any minute or any hour today, November 21, 2017. It is with deep regret that I am posting this reminder for DNotes’ stakeholders.

Hi, Dear DNotes Community, thanks for your reply I got much info about the current project situation. I fast skimmed a lot posts in this forum and read the news of DNotes on the website. Still have some questions.

1. DNote Global Inc, the company, is it already registered? If so can anyone provide the legal paper, anywhere can I validate this?

2. If DNote Global want to run a currency like business in the US. It will have legal problem in the future for sure if DNote do popular and has a lot users. Maybe consider moving the company to other countries.

3. I do read some news and posts, but really can't see any technical updates. That's my biggest concern. Can we have a details developers list? Can we also post tech development improvement in the blog with code and thoughts so we can follow at the technical view?
I found this github repo https://github.com/DNotesCoin/DNotes-2.0
Cause I was a developer, but never develop crypto currency, so I checked the commits. There seems no actual development, all the changes look like change some configuration and add some front end. It doesn't look like working on a newly upgrade,  but I'm familiar with crypto code so I could be wrong.
Two people has contributed to the code, not active.

4. About Regulation A+, crypto currency and blockchain actually is very hot in China now, you may already know some good projects like NEO and Qtum. For what I know VC only interest in projects having improved blockchain technology, but will almost not invest in a crypto which is common in the market, because DNotes for what I know is based on CryptoNote and many features are already exits in many projects and many of them are very successful. Most projects are open sourced, copying the code, do some minor change then create a new coin is very easy. For this part I think it's very very difficult for DNotes to get a VC investment.
If we can't get this investment, what's the future of DNotes and how to get development done?

5. From a technique view, including the 2.0 upgrade, what's the competitive advantage? For example Zerocoin and Zcash, people can clearly see the different implementation they made to achieve the transaction privacy. Bitsend(BSD) is fork of Dash, but BSD still do something differently, it has a higher version of Bitcoin Core. BitBean has a faster transaction and so on. I think people do value this very much. Can developers also provide this?

Sorry for asking so many questions, English is not my first language. I do like DNotes community, very kind and patience. Thanks!

Thank you, kopes18 for asking many relevant questions. Some of them have been asked and answered which I may not have time to go into any details because of my busy schedule today.

1. DNote Global Inc, the company, is it already registered? If so can anyone provide the legal paper, anywhere can I validate this?

DNotes Global, Inc. is incorporated in the State of Delaware on April 1, 2016 as a “C” corporation, File Number 6005128. It is listed on Bizapedia HERE: https://www.bizapedia.com/de/dnotes-global-inc.html

It is also registered with the Secretary of State in Illinois File Number 7063-3744 (doing business in the state of Illinois, as required by law). Additionally, we are registered with IRS and the Employer Identification Number is: 81-2092465.

Please understand that there are limited activities. The company was incorporated in anticipation that A+ Mini-IPO under title IV Tier II may be our best funding option. As it turns out our prepositioning was a wise move. We will be able to provide audited financial statements, as required, as a result the early incorporation.

It may be appropriate for me to stress the importance of my book “Improve Your Odds – The Four Pillars of Business Success”  https://fourpillarsofbusinesssuccess.com/

For purposes of raising up $50 million using A+ Mini-IPO the book could be the single most valuable contributor. Many serious investors value completed projects of substance. The days of raising $200+ million based on just a white paper with stunning graphics and outlandish promises are coming to an end. I have spent over a year writing the book and producing about 70 educational videos. A significant amount of money has been invested in the book project alone and it has been gifted to DNotes Global, Inc. 100% royalty free.

 2. If DNote Global want to run a currency like business in the US. It will have legal problem in the future for sure if DNote do popular and has a lot users. Maybe consider moving the company to other countries.

Having been here for 46 years, I am convinced that United States is the preferred country for DNotes Global, Inc. There are burdensome rules and regulations. In our case, that could be a competitive advantage and a benefit to our stakeholders because of the increased level of consumer protection as required by law. Don’t get me wrong. I have plenty to say about burdensome and duplicative regulations. Save that for another day.

3. I do read some news and posts, but really can't see any technical updates. That's my biggest concern. Can we have a details developers list? Can we also post tech development improvement in the blog with code and thoughts so we can follow at the technical view?

I will let Joe respond to this one but add. Yes, we are a small team. For the first three years, we focused in developing our ecosystems, i.e. – CryptoMoms, DNotesVault, Family of CRISPs, DCEBrief and my book. We waited for the technology to mature and only started working on software development on April 1, 2017. This marks the beginning of a very serious commitment. I always believe in doing the right thing, at the right time, the right way. I also believe in the most efficient ways of doing things. Sometime it is not wise to seek glory but instead use the time to do things of substance. That may explain why DNotes has so much accomplished. We are at the infancy of software development. There are many in our industry way ahead of us. We respect them and learn from them.  But that will change dramatically in 2018.

If we can't get this investment, what's the future of DNotes and how to get development done?

This is a multiple parts loaded question. I may not be able to address all the different issues.

Here is my take: DNotes is a decentralized currency and will remain as one. I am quite certain that DNotes cannot be qualified and approved under A+ title IV Tier II of the Jobs Act to conduct an IPO. We are using DNotes Global, Inc. to launch the A+ Mini-IPO. The time is likely to be in DNotes Global, Inc. favor in the mist of ICO legal struggle. I believe that the worse is yet to come for ICOs.

The beauty of using A+ Mini-IPO Tier II is that we are not dependend on VC funding. Once approved, it is legally available for global participation of both verified accredited investors and non-accredited investors; limited to 10% of their annual income or net worth – whichever is greater. We can legally promote and advertise worldwide involving multi platforms.

DNotes is not based on CryptoNote nor is DNotes 2.0. The current version is closest to Litecoin and DNotes 2.0 is closest to Stratis. As we evolve DNotes 2.0 will include unique contributions and will be open sourced.

Please refer to Joe’s response.

Everyone is welcome to ask questions. Your English is excellent. Great job.

Hi all. Just a brief post to let you know that World Funding Summit was a fantastic success. DNotes’ presence was felt - with respect and admiration. I just got home for a few hours, rather exhausted, without sleep for the last 36 hours. Joe should be home by now. He was a huge help. We will be providing more details later and will be providing some video clips in a day or two.

I have been to many industry conventions and was a speaker at many of them. This one exceeded my highest expectation. It was dominated by some of the brightest minds and surprisingly came to similar conclusions, by an overwhelming majority, on almost all issues discussed.

Tokens are securities, with no known exception. Utility tokens, while technically possible, are rare and perhaps nonexistence. Sales of securities in the United States that are not registered, or exempt are illegal. ICOs, in their current forms are very high risk to the issuers and investors.

However, there are viable alternatives as mentioned in one of my earlier posts:

Use Use Regulation A+ Mini-IPO of Title IV Tier II of the JOBS Act

I believe that this is the most viable funding option for DNotes Global, Inc. Reg A+, Title IV, Tier II allows a private growth-stage company like DNotes Global, Inc. to raise up to $50 million from American and foreign investors.

Like an IPO DNotes Global can offer shares to the public; domestic and foreign, and not just accredited investors. However, we will have to submit a filing with audited statements with the SEC and be granted approval before launching a mini-IPO. The complexities, cost, time, and reporting requirements will be significantly less burdensome than a traditional IPO. With the resources, I believe that from the time we make a commitment it can be done in six months.

A concurrent Reg. D & Reg S Initial Coin Offering

Reg D is a United States Federal program created under the Securities Act of 1933, and adopted in 1982. It involves a private placement memorandum designed to provide an exemption for companies to sell securities under certain rules to accredited investors without registration of the securities.

Regulation D consists of 9 Rules with 3 “Basic” exemption Rules. Reg D Rule 506(c) exempts offerings that are sold to investors who have been verified as accredited investors. Reg S exempts offerings made to non-US residents. They both allow for general solicitation and advertising essential to ICOs marketed globally.

We are quite certain that DNotes Global, Inc. will launch a Regulation A+ Mini-IPO of Title IV Tier II of the JOBS Act. It is now in our front burner. 2018 will be an amazing year for DNotes. It has been a long and demanding path that we have chosen but the right path. ICO debacle seems to make it easier for others to understand the DNote’s vision and while we stayed clear of ICOs. We are here for the long-term and the mutual benefits of everyone. “Where we are now matters far less than where we are going from here” Alan Yong.

Hi, wow $50 million is a lot money. I'm just wonder how people can give that much money to a crypto currency. How much evaluation of Dnotes Global inc?

Thanks you, Kopes18. You asked a great question. Please hold that question for later - may be months later. We should not get ahead of ourselves. I will be working with a number of professional in the appropriate fields to make sure that we are doing all the right things.

In the meantime, those who like to follow us more seriously as to why we have chosen A+ Mini-IPO please make an attempt to learn all about it by doing your research - Regulation A+ Mini-IPO of Title IV Tier II of the JOBS Act. Please feel free to ask specific questions that are relevant to the subjects.

Let us is be absolutely clear here. It is DNotes Global, Inc. (a Delaware "C" corporation incorporated on April 1,2017) that will be launching the A+ Mini IPO. I am currently the sole owner of the corporation with a firm commitment to give 25% of the ownership to DNotes' stakeholders using the most appropriate ownership structures as recommended by our legal professional. So far using a foundation is a preference. This is new and untested. It is best to wait and do it right. For the record, it is also important to note that the 25% ownership will be subject to dilution as we raise additional funding, including the proposed A+ Mini-IPO.

Please bear in mind that we have just created a brave new and confusing "Decentralized World" not that many years ago. It is an autonomous leaderless world that is self-governed by algorithm with no central authority. Yet, ironically, it must continue to interface with the centralized world. DNotes happened to recognize the new realities from day one and planned our road-map accordingly.

I came across a recent article written by Nick Ayton of Cointelegraph relating to IPOs. It is not exactly shocking to me, but still eye-opening. Since I am preparing for the World Funding Summit with little time to post, I thought that I share this with you.

What Lessons Can Be Learnt From Tezos ICO Debacle

Our London Correspondent Nick Ayton, the Sage of Shoreditch, explores the infighting at Tezos that reveals the ICOs structural challenges.
Some suggest the SEC might demand Tezos’ founders refund investors’ money...all $232 mln of it.

Apparently there are some deep seated personal and structural issues with how the token sale was structured, marketed and executed that will be a lesson for us all.

Why are being raised the suspicions that some investors allowed to exit with profits? How was the $150m valuation arrived at? What was Tim Draper’s role? Might investors have simply been misled and was there a role here for the hype and dumb people? And the big one, is the Tezos token really a security? And why was the token not registered with the SEC?
Tezos, a kick in the teeth for investors…

Tezos was intended to deliver a self-amending crypto ledger technology and improve on the Ethereum and Bitcoin networks, boosting security and trust. This is a bit rich given what appears to have been going on behind the scenes.

All these situations are showing that Bitcoin is going to well-liked very speadly owever I think popularity of Bitcoin in porno industries will give bad effect for the future of Bitcoin . Because I believe the participation of Bitcoin in porn like things will make Bitcoin as bad issues , So it might be feasible some countries may ban Bitcoin in their own individual nation .So we ought to use Bitcoin only for legit income and excellent work .Since this is our responsibility as an Bitcoiner to make Bitcoin like a reliable , obvious and from poor things .H

Something tells me you might be in the wrong forum.  None the less, trying to decipher your message, I would say 99.99% of people aren't in the porn industry, nor care.  In general, I suppose you could wrap this in with drugs, laundering, ransoms etc that the banksters would like people to believe is the only reason for bitcoin.  With better information now available, in part to DCE Brief, that notion is close to being gone.

To me, "porno" is not this industries problem, it's all the scam coins/scam "clubs" coming online.  I love this technology, and am always researching new ideas, platforms, etc., but these get rich quick schemes/forks/ICO's are getting out of control.  I have a feeling, sometime soon, this could be the catalyst that actually gets governments involved...unfortunately.

For these reasons and more, is why I believe in the Dnotes team and ecosystem.  The activity from the team in this forum alone, is better than any other project I've seen.  Integrity, professionalism, and a legit business model, will win out in the end.  Probably sooner than later, as more investment grade money enters this arena.  I know last week was rough, but now more than ever, I believe Dnotes is on the right track.  Thanks to the whole team who took time to answer some questions, and to share a little more detail about the funding aspect today.

Thank you very much, Denver Dan. That was an excellent response. It is respectful, balanced, and substantive. We are privileged to have your support and confidence.

We expected our industry to be very crowded and competitive since day one. Instead of being a “me too”, we decided to take a very different path by placing high value on trust, respect, and integrity. Those values are priceless in financial services.

Most people are decent men and women like us who work hard to make a living but struggle to build a more comfortable financial future. Most fund managers take their fiduciary duties responsibly. For those reasons I am in full agreement with your statements: "Integrity, professionalism, and a legit business model, will win out in the end.  Probably sooner than later, as more investment grade money enters this arena". Well said. Thanks.

Cryptopia has DNotes listed and it is a great exchange. I like it better than Poloniex personally so getting delisted there has zero impact to me. Take advantage of this lull as once new chain comes out things will improve drastically. DNotes is in a great position, trust me on this.

Thank you, HORT. Your confidence in DNotes is greatly appreciated. When I have more time next week after my trip, I will gear up to support Cryptopia. I have heard good things about them.

C-Cex has listed DNotes since our early days. They have treated me well despite our low volume. I did support them fairly actively for the first couple of years. Although there is some room for improvement, to me they have been great. Zero unresponsive or bad experience.

DNotes will come back strong. Together we will overcome and succeed.

This is a small step, but a positive one towards cleaning up some of the deception in many of the ICOs:

Celebrities under SEC's radar for endorsing cryptocurrency products - https://www.techspot.com/news/71718-celebrities-under-sec-radar-endorsing-cryptocurrency-products.html

It would appear that the SEC is keeping an eye on ICO's, which is much needed at this point. Reckless negligence is rampant in our industry; it harms investors and it harms legitimate players. SEC Chief Jay Clayton has said, “I have yet to see an ICO that doesn’t have a sufficient number of hallmarks of a security.” Which would make it necessary for these offerings to register with the SEC, prior to fundraising in the US. Another question I have is, would offerings conducted in another country, but accepting money from domestic investors, be required to register with the SEC as well?

The SEC ruling on ICO's this summer stated that anyone that sells securities (the majority of ICOs seem to fit the criteria) in the U.S., has to follow federal security laws. This would mean registration with the SEC, as well as following any other laws that securities are subject to.

I don’t like to play lawyer since I am not one. However, funding is a vital component of DNotes Global, Inc. but something I seldom discuss. You guess it – not until the time is right. But there is an obvious reason why DNotes Global, Inc. was incorporated in the State of Delaware earlier last year. (April 1, 2016) It is a strategic positioning to provide established records, including audited statements if necessary. At this point, I have provided 100% of the funding and legally control 100% of the ownership until such time when our legal team are certain of the best structure to transfer the 25% ownership to DNotes stakeholders – mostly likely to a foundation.

So here is my take on ICOs. I fear that the clear majority of ICOs are not just “tokens” but securities when come under close examination.  There are extreme risks and potential liabilities if not carefully navigated under the most able legal guidance. Consequently, I have turned down every request to serve as adviser.

Doing things right is always more difficult, takes longer, and cost more but better over the long-term. That is always the DNotes preference. In our case the price has been high, and at times frustrating. But surviving the test of time will pay off when the dust settled. I trust that, one day, more people will respect and appreciate the path we have chosen.

Among others, there are three funding options on our radar:

1.   ICO

Join the party. Using our new DNote 2.0, create a “token” to raise funds for a given project or all the projects. For reasons discussed and more – we are not likely to go down this route. In the United States, as in most countries, it is illegal to sell securities that are not registered or exempt.

2.   Use Regulation A+ Mini-IPO of Title IV Tier II of the JOBS Act

I don’t mean to bore you, but this is relevant to our road-map and the book. NextGenVC is one of our strategic building blocks to involve the corporate world. We are committed to assisting entrepreneurs to improve their chances of business success. Coupled with adequate funding it is also important to take full advantage of our emerging technologies - digital currency, blockchain technologies, and decentralized global payment systems. It is all part of the ecosystems we are building to gain mass acceptance. I know that it is not always easy to see the big picture and connect all the dots.

Meanwhile, we are looking forward to our participation at the World Funding Summit in LA this Friday and Saturday. We will be checking in  when we have a chance and deeply appreciate your support of this forum in our absence.

Ultimately number of coins doesn't matter, as the coins will find their value based on what the entire coin supply is worth. With that said, having a larger number of coins means that each coin will be worth a smaller amount and that could help keep costs of items purchased with that coin in terms of whole numbers. So Bitcoin has a limited supply of coins and each coin is worth over $6,000. That means that for the vast majority of ordinary purchases, it's going to be in decimals, like something will cost 0.001 BTC. That's not a problem, but just doesn't look as appealing. If you take a coin like NEM, for example, that has almost 9 Billion in circulation, and is currently valued at just under 20 cents, your average cup of coffee is going to be priced in terms of whole units rather than decimals, and overall that looks a bit better.

Thank you, wiser.

Why is there 128 million coins??? Isn't that a bit to much???

Sounds about right. I will let Joe confirm that later. We are expanding our team and Joe is very busy today with interviews. And I am also extremely busy preparing for my presentation at the World Funding Summit in LA later this week.

Maybe I'm stupid but I don't see the answer to my original questions why do you have so many coins? Why not something more fair?

Excuse me. You are right, I misunderstood your question.

There is no right answer whether 128 million coins is too many or too few. We all have an opinion and I respect that.

Too anyone who has doubts about DNotes:

I've been around this project since the beginning, long before I met the principles. I have bought, mined, received and, yes, sold DNotes in many ways for many reasons but I have never lost faith in this project. Unlike many, nay, most crypto projects, this one is not out to separate you from your money without giving back something more valuable. It is truly a shame that smart, visionaries, people who joined, and helped to build this industry, now only concern themselves with how much profit they can take from it. I suppose it's a natural evolution of the power of human greed and is to be expected but, it still surprises me non the less as my parents taught me to respect people with integrity and knowledge.

I see projects that were great and noble efforts at inception turn to pure greed over the short time crypto has been public. I have watched people who would have changed the world go down in smoke because they failed to get their message out. I have seen struggling inventors raise to fame and fortune by being in the right place at the right time and I have seen scam artists take millions from people who could ill afford to loose it but in all that, the promise of crypto currency survives.

DNotes is a survivor. Alan, Joe, Kevin and the crew are survivors. I have met them, discussed many issues with them and fully trust and believe in them. They will do more then survive, they will thrive and they don't have a problem sharing that with others. Success is a party that brings many new friends, failure is a lonely fate. As long as people believe in you and support you, there is no failure. When success comes, choose your new friends wisely.

But, business is just that, business. No matter how hard we try, it must remain impersonal. When it's good, everyone supports you, everyone is your friend. When it's not so good, the only ones still supporting you are the ones you take to the party later. Polo may be simply sticking to their rules, being business like and keeping the bottom line in view but, they won't be at the party.

So, I'm buying, care to join me?

PS: I have complete faith in the project and my name and reputation are still stamped on the Retirement CRISP, something I'm rather proud of by the way.

Thank you very much RJF. We are privileged to have great supporters who have been with us from the early days, like yourself, in our community.

Thanks RJF!

This conversation reminds me of a couple things I've learned from Alan. The importance of company culture and a shared vision by everyone in the company, from the top executives to the clean up crew and everyone in between. That shared vision is driven by guiding principles. DNotes is very much like a business in this aspect. Our culture, shared vision, and guiding principles are all important to the success of DNotes.

Thank you, RJF. Trust and integrity cannot be bought with money nor be demanded by imperial power. It is best when someone like you spoke from the heart. To me, below are the most worthy quotes from your post worth repeating:

“Unlike many, nay, most crypto projects, this one is not out to separate you from your money without giving back something more valuable.” True. We work hard every day for the best interest of all our stakeholders with a single purpose – for the best success of DNotes to the benefit of everyone.

“my parents taught me to respect people with integrity and knowledge.” They are wise – there are few with both, and even fewer that you can be associated with that may benefit you in one way or another. Treasure it when you are fortunate enough to have such an opportunity.

“I have watched people who would have changed the world go down in smoke because they failed to get their message out.” I am not sure that we can change the world, but rest assured that we are giving it our best shot. We are on track to leaving a positive impact for the next generation to continue our mission. We have been low profile and measured in getting our message out – waiting for the appropriate time to get aggressive. We are getting very close. We believe in doing the right at the right time.

“Success is a party that brings many new friends, failure is a lonely fate.” Very true. I have been there. I was once very success at Dauphin Technology with IBM as our manufacturing partner.  http://articles.chicagotribune.com/1993-05-20/business/9305200013_1_pen-based-dauphin-technology-risc-system

We were a media sensation with a tablet computer that competed with Apple Newton (early generation of Iphone) and others.  The product, DTR, was amazing but the market was not ready. IBM bailed out and wrote off $40 million. I lost at least that much on paper over a weekend. My “friends” who often showed up for parties were gone. Very few returned my phone calls. Such is life. My mentor C.B. Tsen, taught me in my early 20s, “When you help others, don’t expect anything in return – because if you do, you will be disappointed but if you don’t you could be pleasantly surprised.” I still take that to heart because I love to help others.
