trying to download blockchain using DSL modem.  Speedtest.net says 2.77 Mbps download speed.

is this why i'm not getting any connections or something else?

windows 7, 3.5GB RAM, UPnP enabled

try disabling any firewalls or internet restriction software on your computer, also try enabling DMZ on your router.

It is pitch black. You are likely to be eaten by a grue.

no restrictions on this computer.

Using a peers.dat from a working Bitcoin-QT, will it help?

Post debug log. (Note: may contain your IP or transaction IDs from prior transactions on your node)

Don't screw around with peers.dat. If it's not getting any connections it's either completely busted or you're somehow firewalled off, using a broken proxy or otherwise. The debug log will show all.
