1. Company

What is IOB LLC?
Legal definition: IOB LLC is an active investment holding company registered in Delaware, USA. IOB currently has two fully-owned subsidiaries: IOB Mesh Technology GmbH in Cologne, Germany and IOB Shanghai Ltd in Shanghai, China.

Business definition: IOB is a dynamic fintech company. Starting with its core “traditional” financial business line, the Smart VC™, IOB is evolving from a startup investment vehicle to an open-source, permissioned, and peer-to-peer financial network integrator of the ONE Finance Network (the IOB Mesh).

What does IOB do?
1. Now — Smart VC™: IOB invests in startups, with a focus on regulated financial, legal, accounting, tax services companies and dApps developers, with the help our Social Investment Platform (SIP);
2. Late 2018 — Adding Smart Trading: High-performance algorithmic trading strategies to take advantage of the volatility of crypto markets, and to protect existing holdings by hedging. We currently manage our own funds through our Smart Trading™ System;
3. 2019 — Adding Smart Exchange: P2P exchange trading platform built for sophisticated, experienced and qualified traders. Standard proprietary trading strategies are built-in for automatic trading. Traders can execute their own strategies on the software platform, and also mirror their trades with other ‘top traders’ or 3rd-party trading strategies;
4. Late 2019 — Adding IREN: A crypto business alliance of regulated, licensed and legal broker-dealers, trading systems and clearing agents in North America, Europe and Asia;
5. 2020 — Adding the IOB Mesh: It is a distributed, rule-based peer-to-peer network that enables all blockchain-based financial transactions fully comply with various local and international regulations.

What does IOB stand for?
The Internet of Bi. Bi is ‘money’ in Chinese.

How did all these get started?
While developing high frequency trading strategies with coders and IT specialists, Yale ReiSoleil discovered something called Bitcoin in early 2013. He was intrigued by it, but not smart enough to buy a load of it when it was dirty cheap. Yale’s conviction in cryptos came when he
published a post on Steemit titled “bitcoin goes to US$50,000–1,000,000 in 10 to 20 years!” in Jul 2016.

He later discussed things related to the venture capital business, cryptocurrencies, and China with JM. They registered ReiSoleil McAfee Zhu Ventures LLC. It was later re-branded as IOB LLC.

In October 2017, while chatting with investors online, Yale was deeply impressed by the knowledge, experience and local influence evidenced by Uwe Zimmer, a financial expert who was one of the earliest champions of cryptos in Germany. They got together and decided to form IOB Mesh Technology GmbH in Cologne, Germany.

Yale feels lucky once again by having another person who is much smarter than himself to help him build the business together.

What are the existing problems IOB is trying to solve?
1.) The old VC model.

The venture capital system has been an integral force in the rapid wave of innovation that has taken place over the last 30 years. Household names like Amazon, Google, Facebook and Uber are all success stories that began as startups with venture capital funding. The model is sound, but the system is starting to show its age. And while the success stories have been amplified for all to observe, the increasing failure of the system to deliver on promises is being swept under the rug.

And what about the funds themselves? The reality is that they aren’t much better at generating returns than the majority of the startups they fund. For more than a decade the stock markets have outperformed most of them, and since 1999 venture capital funds on average have barely broken even. If this trend continues, venture capital will become an increasingly unattractive avenue for investment. Many fund management companies are in the business to make that 2.5% annual fee.

Yale ReiSoleil and the team understand what needs to change. IOB Smart VC™ leverages the power of the crowd wisdom with thousands of community members participating in the investment decision making process through its Social Investment Platform. By managing the investment vehicle like a publicly traded company on the blockchain, IOB eliminates the decades-old management fee scheme.

2.) Crypto trading.

Like any other new financial instrument and emerging market, the cryptocurrency market has been extremely volatile. However, before the first BTC futures contracts were offered by CME, there were virtually no hedging tools available.

We also noticed that majority of the crypto traders were newbies of the financial markets. They are extremely inexperienced but feverishly enthusiastic. We realize the opportunity here, and will move the Smart Trading ahead of our original launching schedule of 2019

3.) Crypto exchanges.

There have been many trading systems/platforms that match buy and sell orders for their customers. They called themselves “exchanges” but up until now, very few are properly licensed or regulated. There is no way to audit their order books, order matching practices, and many of them do not even have a customer service phone number or a physical address listed on their website. The exchanges are not serving their customers properly. Oh, and they are constantly being hacked and hundreds of millions of dollars worth of customers funds were literally lost (some may even be ‘inside jobs,’ as speculated by many people.)

When I was forced to close my account with Coinbase, my ETHs were practically ‘lost’ for 3 days. Luckily, Coinbase was one of the more ‘reputable’ ones. This is madness!

We were also frustrated by the lack of tools in managing our own crypto funds on any exchange, even the new CME futures contracts cannot be adequately used for portfolio hedging due to its high margin requirements, and the lack of futures options.

Out of necessity, we want to build a trading platform that is specifically suitable for sophisticated high frequency traders and institutions.

4.) The old investment banking model.

For centuries, money transfer and financial transactions have remained the opaquest aspects of business and economy, while the cost and timeliness of finance have been prohibitive for most companies and individuals. These costs consist of not only banking, but also legal, accounting, auditing and compliance, and are further multiplied by the extremely fragmented local jurisdiction requirements and practices that are often duplicated and contradictory in nature.

The first application of blockchain technology has been in finance. Yet, the financial institutions refrain from the structural transformation opportunities available and cling to inefficient and arcane operating models which retain profits and pass operating risk on to the individuals and government.

We are building a new open-source, permissioned and secure decentralized and distributed global public finance blockchain that over time will be transformed into a world mesh system for all forms financial transactions: Equity issuance, debt issuance, P2P, corporate finance, investment banking, equity trading, debt trading, crypto trading, loan originating, trading clearing, custodial services etc. All are on the public ledger through the most comprehensive financial smart contracts.

This will be a true open-source, permissioned, secure, decentralized and distributed network that balances the needs of the consumer, the regulator and the service providers.

2. Smart VC?

What is the Smart VC??
We have moved our entire investment business onto the blockchain. It improves the old VC model by:

1. Tokenizing the investment capital, which enables an average investor to participate in high growth early-stage venture capital and private equity investments;

2. Providing immediate liquidity to the investors;

3. Fully integrating the blockchain technology with the entire company governance and investment decision-making process, rather than only using blockchain for fundraising;

What makes your investments have a better chance of success?

As a blockchain hedge fund, how do you invest in ICOs?
IOB is not a crypto hedge fund, nor does it typically speculate in other ICOs.

We invest through equity stakes in entrepreneurial companies. We own their equity shares, and when a company does its own ICO, we will be granted their tokens as well.

Does IOB have other businesses?

IOB has thousands of analysts?
IOB recognizes the power of the crowd wisdom. From its inception, IOB management has been in constant interaction with our community, both online and offline. Thousands of early supporters have helped us in shaping our management decisions, token economics and investments. This has inspired us to build the world’s first Social Investment Platform (SIP).

What is the SIP?

Can I earn freebies/candies on the SIP?

Who has already earned IOB tokens on the SIP?
The SIP beta will go live at the end of Q3 2018. However, many of our Telegram community members have already been assigned their respective RS with initial credits with values ranging from a few cents to hundreds of dollars in value before being transferred to the SIP.

Are those SIP credits real IOB Tokens?
Yes, and there is no lockup on them.

Is there a cap on how much I can earn?
Currently no. We have not set a cap for the max IOB Tokens one can earn on the SIP at this point in time. We have set aside a total of 5% (50,000,000) of IOB tokens as the SIP rewards.

Sounds good! What’s the catch?
Your time, effort, and a genuine heart to help us succeed. Other than that, none. No purchase necessary. Anyone on the SIP can vote. However, your RS may or may not be affected by your IOB holdings (IOB tokens purchased) or IOB Power (IOB Tokens earned).

How much does it cost to vote?
Nothing.

4. Smart Trading™

What is the IOB Smart Trading System (STS)?
The STS is an integral part of IOB business strategy and tech platform. We are using our algorithmic trading strategies to better manage our own funds to take advantages of the highly volatile crypto markets, and to hedge our holdings with both long and short positions.

IOB plans to manage an algo fund for its clients in addition to its own money next year based on IOB trading algorithm strategies on a series of smart contract.

What trading system have you bought for your Smart Trading System?
IOB does not use any packaged commercial trading systems. With its top management coming with years of high frequency trading (HFT) and quantitative trading totaling billions of dollars in stocks, commodity futures and index futures around the world, IOB develops its own proprietary trading systems consisting of Decision Engines, Order Flow Management, Risk Control and certain proprietary hardware.

What does the STS trade?
IOB plans to trade the most liquid cryptos (top 3 currently) and their futures contracts for its own funds at this point in time. More markets will be added over time when the exchanges and instruments meet our trading criteria.

Who makes the trading decisions on the STS?
IOB STS is 100% automatic. The decisions are made automatically by our Decision Engines. No human will push a buy or sell button on the STS.

How does the STS make trading decisions?
IOB has developed over 12 trading strategies based on 3 proprietary charting systems, quantitative analyses, Sentiment Indicators that combine the in-house software and hardware systems developed in the past 5 years.

With the recent investment in Fundamental Capital in Germany and Witee in China, the IOB STS expects to develop the first crypto-specific trading strategies on blockchain platform, managed by the traditional quantitative trading with smart contracts.

What is your average holding period?
They vary greatly. And it’s the nature of the high-performance of the algo trading. A trade (both entry and exit) can be completed in a few seconds or a position can be held for weeks, even month.

5. IOB Smart Exchange (SmX)
What is the IOB Smart Exchange (SmX)?
Focused on social, decentralization, and distributed crowd wisdom trading, the Smart Exchange is a P2P trading platform for professional, experienced and high volume traders. IOB SmX has high frequency Arbitraging and position trading strategies built in for qualified institutional traders. Traders can also develop and share their own trading strategies on SmX.

Aside from its initial KYC/AML processing, traders are required to hold certain amount of IOB token to be qualified.

What are the differences between SmX and other exchanges?
Currently, all P2P exchanges are not at all in demand with professional traders, who need fast transactions to make timely deals. In their current state, these exchanges generally lack of robust features and functionalities that are required by sophisticated professional traders. As of now, they are only useful to people interested in the specific advantages they offer — the increased resilience, privacy, security and freedom of payments.

IOB SmX aims to offer:

Are you building an exchange for hardcore traders?
You bet! We are planning a decentralized trading platform with preset trading strategies, and build-your-own trading strategies that will give an experienced trader a platform to easily build trading strategies without a single line of code. In addition, traders can mirror the trades from selected peers.

How does the SmX work?
All long and short trades are matched through our P2P Trader Discovery & Match Protocol. IOB SmX does not hold traders’ funds. All trades except ‘Open Short” type are executed among the traders directly with each other without any trusted third party to process all trades. Instead of matching orders in the order book, SmX matches the people behind those orders. That is, whenever a matching buy and sell order is found, the SmX software does not immediately process the trade, but instead, it connects the buyer with the seller, allowing them to conduct the deal based on preset or their new HFT strategies without any intermediaries.

For Open Short trades, a portion of the trader’s IOB Reserve Requirement is temporarily locked by a smart contract automatically as a collateral for the Asset Loans through the hash time-locked contracts and will be released immediately when the short position is closed. A trust is removed during every trade, except that every trader must pass the initial due KYC/AML due diligence process and meet our minimum reserve requirement.

Trades use a single hash in a checklocktimeverify account which is shared between two parties. Two transactions on each chain take place using asynchronous timelocks. This allows both parties to trade securely and safely directly with each other (p2p) without funds ever being deposited anywhere else. It is the only truly decentralized exchange method. Front running is also eliminated as all orders are stored off chain on the Service Nodes. You can read more about nodes below. It offers a high resistance to transaction censorship with professional trading strategies. It is cheap, private and secure to use.

If it is non-profit, how can IOB make money out of SmX?
IOB does not plan to make a profit on SmX. Each trade that is filled incurs a tiny trading fee that is then automatically exchanged for IOB at the moment a trade takes place. 100% of this fee is then distributed to the Staking Nodes (for processing transactions) and Service Nodes (for supporting anti-spam and anti-DOS measures). All trades are swaps that take place via the SmX protocol.

It gives the professional traders the peace of mind that there is no front-running and manipulation on SmX.

Sounds fantastic, but will it be too expensive for me as a trader?
No. We will not charge commission, nor a transaction fee. The small transaction fee is not centralized but instead distributed to those helping support the services (Staking and Service Node operators) around the world.

It is an entirely new exchange and trading business model.

7. The IOB Token

What is the IOB token?
IOB Token is a security, or asset, token. While not the equity of the company, its’ investors are entitled to receive certain profit distribution in the form of a dividend and to have rights to certain other privileges the company offers.

What is it used for?
IOB Token is ever evolving. It will fulfill several functions during different phases of our business development. It is:

  • a tokenized investment capital
  • a reward mechanism on the Social Investment Platform (SIP)
  • a reserve requirement and trading discount using IOB tokens on the International Regulated Exchange Network (IREN) and
  • the “gas” or “power” for the ONE Finance Network (the IOB Mesh).

Although IOB Token functions as a utility on our SIP, IREN and Mesh, we still consider it an asset from our investors’ point of view and will manage it in the regulated manner.

Once the ONE Finance Network goes live, IOB Token will effectively be transformed from a security token into a cryptocurrency.

Why is IOB a Security Token instead of a Utility Token?
All token with a fundraising activity and expectations of a profit by its investor should be classified as securities. Therefore, it is in fact a security token.

Securities laws have been developed and continuously refined for decades. Security tokens would inherit a wealth of legal precedents that would illuminate tokenholders’ rights, protections and expectations. Additionally, they would clarify duties and obligations of the issuer.

The IOB’s Smart VC™ is an improved model over existing VCs that brings profitability to individual and institutional investors.

We acknowledge that IOB token is a security, and we acknowledge it as an investment. We therefore provide tokenholders with benefit of dividend and other rights. IOB security token still features significant “utility” attributes; it will still be used in native transactions on our Social Investment Platform (SIP), International Regulated Exchange Network (IREN) and The ONE Finance Network (the IOB Mesh, 1fin.network).

Moreover, the recognition of such a security token compels us to be transparent with our tokenholders, and to be held with the same disclosure and governance standards and requirements as a listed public company such as AAPL and AMZN.

Which wallet is used for IOB Token?
At present, IOB Token is using ERC20 standard. It could be stored in any ERC20 wallet, such as IMToken, MyEtherWallet and major brand-name hardware wallets. It may be swapped to Universa mainnet and our own IOB MESH network in the future. We also consider cross-chain compatibility.

Does IOB make dividend distribution every few months?
Unlike bonds with a fixed interest payment schedule, our dividend distribution are not set at a predetermined schedule. However, we are committed to distributing 100% of the net profit generated from our investments and operations. Also unlike most VC funds that usually take 3–6 years to see first profitable exit, our blockchain-related investments might have the potential to shorten the profitability cycle from several years to several months.

As we make more (good) investments and expand more profitable operations, our net profitability may be more and more predictable. We can therefore be able to make more frequent profit distributions with better guidance.

When will IOB be listed on exchanges?
At this time, there is not a single exchange in the world that can legitimately list or trade security tokens. We are in touch with several trading system builders who are applying for official trading authorization with SEC or the European financial authority. Moreover, we are very encouraged that several foreign stock exchanges are now actively conducting token transactions in Gibraltar, Germany, Stuttgart, Canada and France. Even Nasdaq made a statement to do so in the near future. We expect to be listed in Q3.

How can I open a trading account when IOB Token is listed?
The exchanges set their own KYC and trading account requirements. The IOB will be listed on multiple exchanges and you need to contact each exchange to set up a new account.

Can I use fiat currencies to trade IOB tokens on the exchanges?
Many “exchanges” today cannot accept fiat trading, because they are unlicensed and are not qualified to handle money, or do not have a broker-dealer or authorized forex dealer licenses. We expect the security token trading platforms/exchanges are to be fully licensed and will be able to handle fiat currency trading. Some of the exchanges under discussion with IOB can even support fiat trading with foreign investor accounts.

Do you have a whitepaper?
We upgraded our original Whitepaper to a long-form Offering Memorandum in October, 2017. Currently, it is currently being reviewed by lawyers in the US and Germany. We will re-publish it once the lawyers give us the green light.

Where do I fill out the KYC forms?
We have closed our in-house KYC processing at the end of our pre-sale last year. As we are filing for the official approval of our public ICOs, we have hired third-party compliance firms to process any future KYC applications. Stay tuned.

Can I still buy IOB Tokens?
Yes. We are currently planning the first round of public offerings in the US and Germany to institutional investors, and general investors once the prospectus filings are approved subsequently.

How many tokens will be issued overall?
The total supply of IOB tokens is 1,000,000,000. Similar to the Total Authorized Shares in the listed companies, it does not mean that the “hard cap” is 1,000,000,000 as it is almost impossible to issue this many tokens in 10 years. The amount and each “hard cap” during each phase to be raised depends on the demand for the investment projects and our business needs at that time. So far IOB has issued approximately 14 million IOB Tokens. The most recent (June 2018) ICO plan is issuing 10 million with an estimated circulation of 20–30 million in 2018.

How many ICOs will there be?
5–7 in the next 3–4 years, depending on when and how much we need for investments, and how many good projects we have access to. We do not want to hoard money, and this is why we abolish the ‘Annual Management Fee.’

So many more times! How will IOB protect earlier investors like me?
When more IOB Tokens are being issued, you are not simply being diluted. We call each of our offerings an Interactive Crypto Offering. We will consider the value of such a new offering and what kind of additional returns it will bring to our business, the new created value for the existing tokenholders, the current trading price, and many other factors to make sure that each new offering is not a dilutive action.

With each new offering, we want to create more value for you.

Can Chinese investors participate in the ICOs?
No. According to the Chinese regulations, Chinese investors are not allowed to participate in any ICOs at this time.

This post has been helpful to the members here. There are some great projects out there with great potential, but gets overshadowed by the more overly hyped ones. This has actually helped to pin point the ones which has potential and at the same time find the underrated ones as well.
