The way you asked the question theres only one way, a lot of money.

You need a development team, professional system admins, customer support, marketing and eventually a legal basis depending on how you set it up - all of this costs money / manpower.

Firstly, yo need to understand how the block chain and the crypto currency network works. Visit cryptocurrency legal adviser in your country for better procedure and once that went well you can hire group team which I believe you can easily find through LinkedIn/github and you also need KOLs also. However, you can do an ICO if you don't have the require capital and easy your expenses you could also offer the team some percent of the token has their fee.

1. A big loan or a huge amount of money
2. A lot of experience in running a business, that's for sure(if you're goal is to be as big, or bigger)
3. Good developers and overall personnel(customer support, lawyers, etc). This should be self explanatory
4.  An excellent marketing strategy. If you want to have a slight chance of de-throning Coinbase as one of the best exchanges
5. Be bald (jk)

^ And that's just the very tip of the iceberg.

However, you can do an ICO if you don't have the require capital and easy your expenses you could also offer the team some percent of the token has their fee.
ICO lol? You think Coinbase is an erc20 token or something?

Coinbase was funded by a (albeit) private investment round themselves, so it's not really that far off. I think an ICO is quite similar to that and many "D-exchanges" have held ICO's to fund their project.

So it's definitely something you could look into, however the market/ICO's for these kind of projects is already extremely flooded. I myself personally would never invest/speculate by buying into such an ICO, considering how many of them are/turn out to be scams.

Some examples;

https://chasing-coins.com/ico/BAY
https://icobench.com/ico/deex
https://icobench.com/ico/localcoinswap
https://icobench.com/ico/nauticus
https://icobench.com/ico/swarm-fund
https://icobench.com/ico/jibrel-network

They all kind of reek like scams do though.
