REINNO tokenized a real estate fund worth $105 Million.

REINNO tokenized REI Capital Growth - a commercial real estate fund worth $105 million dollars. Securitized tokens created will be offered to investors globally.

Real estate tokenization industry is having a great start this year, as more properties are moving to the Ethereum blockchain. A fintech startup REINNO announced the successful tokenization of REI Capital Growth – a fund operated by REI.

The Offering


REI Capital Growth (REICG) will use tokenization to offer a new model for investing in U.S. commercial real estate to both U.S. and international buyers and build upon its existing portfolio. It includes two simultaneous security token offerings (STO). One $40 million equity offering and a $65 million bond (debt) offering. REICG security tokens are digital financial securities, backed by the tangible, cash-flowing, U.S. commercial real estate, fully compliant with KYC/AML requirements, and all SEC and IRS regulations. These tokens can be sold on secondary markets at the end of the holding period (40 days for debt and one year for equity).

Transforming Commercial Real Estate

Commercial real estate in the US is a profitable and sought-after investment asset. Investors are attracted to its stability, steady income flow, portfolio diversification, and inflation hedging. However, real estate is notorious for its lack of liquidity. It takes a lot of time, money and paperwork to complete a real estate transaction, convert a property into cash or vice versa. REINNO is solving the real estate illiquidity problem by offering not only tokenization services but also loans backed by tokenized real estate. Tokenization, also known as digital shares, enables fast fractional ownership, and instant loans against those tokens allow investors to tap into the value of their assets easier and faster than current methods.

With REINNO real estate lending, token owners can decide on the size of loan collateral by depositing tokens and receive money almost instantly. Then, as they pay back the loan, they regain equity equivalent to the principal they paid against the loan. First Tokenized Office Building in Connecticut.

Fintech startup REINNO tokenized an office building in Stamford, Connecticut to replace traditional bank financing.

After successfully tokenizing a $105-million-dollar commercial real estate fund last month, REINNO created and issued tokens backed by a multi-million-dollar commercial building in downtown Stamford, CT. The tokens were created on the Ethereum blockchain utilizing industry and regulatory standards. In addition to the technical side of tokenization, REINNO also provided all the necessary resources for the overall project, including establishing the legal structure.

Tokenization as a New Financing Tool

Real estate tokenization creates digital representation of equity and/or debt in the form of securitized digital tokens. It is a technology tool that makes financing and capital raising much easier, faster, more efficient and secure. However, there is a lot more involved than just creating the digital tokens. For tokenization projects to succeed and truly disrupt the commercial real estate industry, the tokenization company has to have a deep understanding of the real estate industry in addition to knowing the technology.

“That is where REINNO stands out. Unlike its competitors, REINNO not only provides tokenization but also additional services, from regulatory compliance and legal structure to lending against securitized real estate tokens to create liquidity” said Viktor Viktorov, CEO of REINNO. “In addition, we are excited to have recently partnered with a fully-regulated security token exchange to create greater liquidity for investors.”

The Deal
Most tokenized properties are offered to investors in the form of equity token offerings. In the case of this commercial building, the owners are not planning to sell. Instead, they will use tokens as loan collateral. REINNO has a proprietary risk assessment model which allows it to almost instantly lend money against commercial real estate tokens. This is a true breakthrough for the real estate market that has been rigid and inefficient for years. In the traditional model, borrowing against real estate is expensive, time-consuming and frustrating especially when dealing with banks, lawyers, title companies, etc.

“Thanks to tokenization and our proprietary lending platform, leveraging an equity investment and pledging tokens to take a loan is now possible in just a couple of minutes” said Barry Monies, co-founder of REINNO. “Moreover, fractional ownership makes it possible to use a portion of tokens as collateral rather than putting a lien on the entire real estate asset.”

The Future
We are still in the early stages of both blockchain and tokenization. Like any other technology, it has to be made simple and user-friendly in order to achieve mass adoption. As more successful projects and use cases appear on the market, the public is enticed to learn about the new technology and its applications. Once there is a history of tokenization bringing real liquidity, we can expect wider adoption. Is this technology suitable for any real estate company? How can I check it out for Havenbrooks Homes customer service for example? Or any other?
Hi,
Tokenization is beneficial for all commercial real estate owners, whether it is an individual or a company. The exact application can be adjusted depending on the needs and goals (e.g. to sell, to refinance, etc).

REINNO Launches a Marketplace for Tokenized Commercial Real Estate - app.reinno.io/campaigns

Five offerings worth over $237 mln are currently available to investors worldwide.

Investors can now buy a fraction of multimillion-dollar real estate using either US dollars or cryptocurrency. The properties include medical facilities, apartment buildings, warehouses, and more. There are both individual assets and portfolios for extra diversification. All properties are managed by experienced commercial real estate professionals to maximize returns and make investments truly passive.

Both American and international investors are allowed to participate in the offerings. The access is currently limited to accredited or qualified individuals in order to comply with the U.S. Securities and Exchange Commission. However, the company is open to the idea of having unaccredited investors in the future.

“Ultimately, the availability of each offering depends on the SEC exemption chosen by our tokenization clients. Most of them prefer having Reg D and Reg S offerings that do not allow selling securities to unaccredited investors but provide other benefits, such as no limit on the amount to be raised. We will be happy to list Reg A+ or Reg CF offerings if our clients decide to file for such exemptions,” says the co-founder and CEO of REINNO Viktor Viktorov.

Traditional commercial real estate is reserved for the richest. Digital fractional ownership enabled through tokenization decreases the entry barriers. Now users can invest in multimillion-dollar buildings with as little as $5,000. They can compare properties and close the deals online — fast and without any fees.

Due to the regulatory restrictions, real estate tokens cannot be traded on secondary markets for up to one year after the offering is closed. In order to provide liquidity during the lockup period, REINNO will offer loans backed by equity tokens. The company has developed a proprietary risk assessment model that allows it to approve loans instantly.
“This is a real game-changer. There are many ways to invest in real estate, from REITs to crowdfunding. However, none of them can deliver this level of liquidity, especially during the lockup period,” says REINNO’s COO Kristiyan Lozanov.

REINNO made news earlier this year when it tokenized a commercial real estate fund worth $105 mln and an office building in Connecticut worth $2.5 mln. Launching a marketplace brings the startup closer to its goal of creating an ecosystem for tokenized commercial real estate. It is now available at app.reinno.io/campaigns.
