Hello, I'm a Turkish citizen and I wonder whether I'm able to participate in some private sales.

If an investor is not accredited but also he/she is not a U.S person, is he able to participate in the private sales?

Is it necessary to be an accredited investor to sign a SAFT agreement?

What are you trying to trade?

Bitcoin is a multinational asset if its that so you only have to check your local legislation and ensure you comply with both yours and wherever the seller is (youll probably find closer sellers).

It's not about the Bitcoin, it's about investing in some crypto startups and new projects in the early stages.

your country does not ban crypto or bitcoin so I think there is no current law prohibiting you from joining any presales or ICO or any form
for your reference you can check the stand of your country about bitcoin or crypto,
https://en.wikipedia.org/wiki/Legality_of_bitcoin_by_country_or_territory
if your country allows bitcoin surely you can buy any coins good luck sir

Yes, we can freely buy and sell Bitcoins but there is something called a SAFT agreement.

Someone tell I cannot participate in private sales because I am not an accredited investor, but I am also not an American citizen.

Is there any non-accredited investor who joined a private sale and signed a SAFT agreement although he/she is not an American citizen?

All ICO and IEO have a list of countries that have been banned by them due to regulation. You need to check that list for your country. That list is also valid for private sale. I have not seen Turkish citizen being banned from any ICO private sale.

Is there any non-accredited investor who joined a private sale and signed a SAFT agreement although he/she is not an American citizen?

It technically depends which SEC regulation the SAFT is tied to. If it's a Reg A+ offering, ordinary (non-accredited) investors worldwide can invest.

More likely, this is a Reg D offering where only accredited investors can invest. There are no exemptions for non-US citizens. It doesn't matter where you live.

In other words, if there is an accredited investor requirement, it applies to US and non-US citizens equally.

I'm starting to understand right now.

Does this SAFT agreement mean that all of Blockstack's early participants are accredited investors?

In other words, the requirement to be an accredited investor varies according to the startup.

Thanks a lot!

As far as i know many exchanges and private sales does not allow the US citizens to be part of it. Since you are a turkish national, there should be no issue for you to participate in private sales. Did you tried to participate in any private sales recently and got denied or you are asking this question in general ?

Yes, I have tried but the rules of each startup are different and I'm just trying to understand the rules to avoid doing anything illegal.

As far as I understand, I am able to invest in crypto-startups other than Regulation D.

If there is Regulation D, the sale is only valid for accredited persons.

is it right? @squatter

The best approach here is to study every startup clearly before investing and also see if they prohibit any country. In case the sale is only for accredited persons, then you may avoid it and participate in other ones. There are too many of the private sales these days but we also need to see if the project is also good or not.

I don't think there are any impediments to investing in new ico even if you are not accredited or you are not a U.S. citizen, as long as crypto are legal in your country you can safely participate in sales(also private sales) and promotions of crypto without many problems
