There's something people hardly plan for and that is down times. When everything goes south, what is the next step. I wonder why people don't think about that. As a one goes into a partnership, one must consider what will happen if one leaves. As it stands now, she knows nothing will happen to her if she does what she does. Because seems you people didn't clearly state what will happen if one opts out. What about she forgetting her shares because of what she did; clearly stating that in the agreement.

That's a kind of discouragement for someone to grow big in a business. What I've seen with the big businesses now started from being small and partnerships are essential and part of growth. But if you can do it alone, that's good but I don't think that someone who's starting out have that bigger vision as the ones who are already big in the economy. I think you as an owner needs to check of who you are partnering with. But what if someone like Jensen of Nvidia wants to partner you and want to put your business into a bigger stage in the world? so it depends.

Partnership could work in a few cases, but not everyone is that lucky to have a business partner that is committed to maintaining the partnership for progress as you are. The advice I give is that do not go into a partnership for a business that you yourself know that you can do and handle on your own; a partnership should only be engaged where you understand that the business you're about to start is one that you cannot handle the risk of going on on your own. Also, in plans to engage in partnership, make sure to protect your interest in all situations. This is why you should have a legal adviser to help you through the legal process of partnering with someone because if you do not understand the legal discrepancies of the partnerships, you could lose your entire business to them.

If you are on the right business and the right people to make business partnership, then there's no reason that having business partners will never be a good thing. This is the reason why doing a business is not just all about money and capital, one who decide to create a business should also be knowledgeable on the business he will build, and should also be smart enough to filter potential partners and prioritize good over irresponsible partners.
However, we can't deny the fact that along the way there might be some contrast of decision making, and that's normal. Its important for business partners to share common goals and interest so that in the end, they will come up with an idea that is good and advantageous to both of them.

Because the truth is, you can make your own business work and be profitable, but expanding your business in a market where competition is tight, you need reliable partners that will help you in creating bigger scope of your business until it will be known to the majority of the consumers. It's still a big difference when you can put maximum funds to sustain your business than just settle for limited budget because you are solely working on your business.

I'm in the same boat with you years ago, I have a business partner, the thing is that he is a relative of my wife. But in the beginning, I really don't like having partners, but since we needed more funding, I agree to her and have the cousin join. So almost what happened to you, he back out while we are in the middle of the business, wanted his money and out of the partnership. So it really ruin all my plans that I have to tell my wife that this is the last time that she will interfere on my idea of a business.

Lol, but you know, it may not always happen like that in all situations. That your partner decided to pull out from the merger doesn't mean it's always like that in all companions. There are still big companies out there operating under partnership and they are doing pretty well. Maybe there agreement wasn't legal of very rigid to cover those areas that she wanted to go against, that's why she threatened to file a case against them. If there agreement or law had covered it, maybe should would know she has no case. We know that sole proprietorship has always been a cool way to run your business because you get the chance to control every aspect of your business, but sometimes, partnership just gives you the financial power you need to achieve a lot when you guys come together. I don't think anything is wrong with it, it's just that there should be enough laws to govern your partnership and agreement.

Earning 10% from a Billion dollars business (through partnerships) is better than earning 100z from a thousand dollars business. Partnership aren't bad but just do it with the right people and don't allow friendship to blind you to end up in a bad deal, you can start solo and later partner to conquer the world. It's partnership that's dominating the world of business so If you think you can do it on your own (you probably will) but it would had been more easier and profitable having good partnerships.

I think this could be discussed more, and I think she will understand if you can't immediately give back the money she invested as you don't have cash or asset to liquidate since you're still just starting. You don't really have to sell the factory immediately, cause what about the two of you? The business is a partnership and she isn't the only one who matters. All of you have a share and rights. Idk what are the things included in the contract, but you can ask for a lawyer's advice first. And I think it's better to discuss it with all of you first and try to agree in the middle, without putting the others on the edge just for the other. If you can't give back all of her share immediately, try to agree to at least do it in installment.
Doing business with partners isn't really that bad. You just have to choose very well the partners you will have because it will either build you or destroy you.

I believe you have a good view about partnership and success in life, but it never works for everyone or everywhere because if you want to be successful in business, you need a good partner who will maintain things with you honestly; it's always important. Without having a good partner, it's never been easy to keep good results even if you spend $1 billion. Here I also agreed you are never been able to reach at highs alone because in many cases needs partners or fellows who give you good support and also stand with you in every problem which is important but its really difficult to have fellows or partners because now things are taking quick changes and peoples are also having change of minds they always wants to take control quickly which increase problems and have not good restuls in partnership work.

Having your own business is good, even though the scale is small but at least there we ourselves are the boss as you say, but indeed sometimes to spread the wings of cooperation is needed even though alone can also only with the presence of this partner will help the business developed by being easier than running alone. I once did business myself with a business that I really wanted and dreamed of when I got to know the world of work, but it didn't go well. I think everything depends on the commit, it does not mean that the partner you have is also wrong here because when there is a strong reason it is difficult even though the way to unite personal affairs with business is wrong but in this step the initial commit is not very synchronous from the beginning which makes the situation not very good at the end. When someone decides to focus in the same voice situations like this should be avoided and regardless of the presence of a partner or alone there should be shortcomings and advantages of each depending on us who are ready in the initial commitment. It does not matter if we are ready by doing it ourselves but this will make us work harder in terms of capital and much more that we have to think about because after all partnering will make it a little easier, but when we partner then we must be in one goal as the initial axis because it is our strength in strengthening the business being run.

Basically we will never know about what will happen in the future, all of it is out of our control and I think when you put your trust in humans then it means you also have to be prepared with the risk because every decision must always contain risks, not all people are really trustworthy with his words, on the other hand whether the request is in violation of the agreement or not? If there is no agreement related to the sale of shares then inevitably you have to give it. On the other hand, opening your own business also does not mean that the process will be easier, we never know about what will happen in the future.

Last year in April 2025 I started a business of Pet Blow factory that usually prepares variety of bottles on partnership. We were 3 partners 2 gentlemen and one lady. We wrote an agreement which clearly stated that no partner is allowed to leave in down season and if any Misunderstanding occurs among the partners that needs to be sorted out within two weeks. Furthermore if a partner want to sell his/her share shall be sold inside the group and no outsiders are allowed to interrupt. One important point that was written in the agreement was that " at least four months ought to be given to the concern partners t manage the money"
Three days ago the lady who has about 10 thousand dollars in the shares asked back for her money, that she doesn't want to continue because she is getting married and she has to fulfill the formalities for that. Usually summer remain very good for business. The season is gone and she still insists to give her money or else she will file a complain. 10 thousand doesn't seems that high amount in western countries but here in underdeveloped nations it is more than enough. The factory hasn't been on its own feet because hardly one and half year had passed. Now we are thinking of selling the factory to return her shares back even if it goes in loss.

Running a partnership in business is not wrong because there are some factors that makes someone be involved in partnership business, for instance, you might want to open a business on your own but you don't have enough funds to start that business, so partnership helps you to pull money together before such business can be esterblished. Apart from the issue of fund, someone can go into partnership when you lack an idea of a business, and you want to go into it, you can look for someone who is good in that area, and decide to run such business with the person. However, terms of agreement still matters a lot because you cannot encourage a partner to leave a business when the business is not beginning, in the proper way, a partner shouldn't force you to sell a new business that you are preparing to grow, it is wrong, and such thing should be in your terms of agreement.

How does the saying go? "If you want to go fast, go alone; if you want to go far, go together" Though in business, many would add that the fastest way to ruin a friendship or a new enterprise is an ill-prepared partnership.
How can she simply ask for immediate cash out if your agreement explicitly states that no partner can leave during the down season, requires a four-month notice period and restricts share sales to internal partners? Contractually, she is bound by the terms she signed.

In a partnership like this, when writing an agreement, it is better to have an agreement that needs to be signed by the partners, accompanied by a lawyer. If I were to be a partner in the business and this happened, I would have to go legal since there is an agreement. People need to learn to keep to whatever decisions they have made with others because breaking the agreement can affect others, as their personal plans may be based on the agreement they signed.

Although no one either checks it or has noticed so far what he is doing, I can't say for sure the main purpose of this. At least he is giving all of us a reason to discuss a scenario that can actually happen to anyone, and we are all sharing our personal opinions. But after reading your reply, I thought he must have replied to you back, but he doesn't even read the replies because he never answered a single one in this topic. I even doubt if he ever started a business. If he has, then he should reply at least. The only way to do this is to take a loan from someone to buy her share. But first, why would they make a rule like this if they knew they could sell? Now they are stuck in a position where he can sue both. I am answering, considering the scenario is real haha, which I doubt though. Maybe the best way to waste our time on him, is to put him on Ignore.

I don't think winding up the company to sort her out is the best thing to do, except the rest two of you don't believe in the company to make headway. You guys can rally round and raise money to settle her, even if it's by installment. It doesn't make sense to allow the withdrawal of one party out of three to cause the collapse of a business. I like going solo and what you just described above with the lady pulling out is a major part of my solo reason. The other one is the nonchalance of partners when they know there are others around. Not every partnership ends up in a bad way. Some business partners are still together without rising issues, and they have grown the businesses they managed into big ones.
At the early stages of a business partnership, there will be difficulties, losses, and misunderstandings, but if both parties are well-prepared, they will see through the challenge.
What's there is that there's a written agreement signed by both parties that says what to do and what not to do, and they abide by it. And if the other party wants to do otherwise, he or she will do it rightly than mandating their own part of the share of the business

Since your agreement mentioned that if any partner wants to sell his share, he has to sell it to someone in the group and give a notice period of four months.
So why are you not respecting that agreement? If you have financial problems, then you can sell that woman's share to another interested person, in this case, everyone in the group will decide together to whom the business will not suffer any loss if you sell it. In this case, the business will continue as before, only the ownership of one part will change. I think you will find interested people very easily for the current business. With the right plan, both partner ownership business and sole proprietorship business will be successful. The chances of what you say happening in partnership business are very low, I have doubts whether your incident is real or not.
