Point West Capital Corp. will pay $3.15 million to settle a class-action shareholder lawsuit regarding its discontinued business of buying insurance policies from the terminally ill. The agreement in principle was revealed in a Point West filing Aug. 16 with the U.S. Securities and Exchange Commission. However, the settlement has not been approved by a judge, said a lawyer for shareholders.
Point West Chairman Bradley Rotter refused to comment.
The suit, filed December 1996 in federal District Court in San Francisco, alleged fraud and misleading accounting in connection with an initial public offering by Dignity Partners Inc. Shareholders contended they lost thousands of dollars after Dignity Partners' stock tanked to $1 per share within months of their investments.
Dignity Partners is now a subsidiary of Point West, which is operated by many of the same Dignity Partners officers.
Insurance covers 70 percent of the settlement, according to the SEC files. The remaining $945,000 was counted as a second-quarter expense by Point West.
Point West earned $1.25 million in the first half of the year. Its subsidiaries now include Fourteen Hill Capital, which invests mainly in pre-IPO, Internet-related companies, and Allegiance Capital, which makes loans to funeral home and cemetery operators.
Point West continues to operate Dignity Partners, one of the first companies into the viaticals business for AIDS patients. But Dignity Partners no longer buys life insurance policies; it suspended the business in July 1996, saying life-extending advances in AIDS treatments reduced profit expectations. Shares of San Francisco-based Dignity fell $4.69 to $1.38 after the company said late Tuesday that medical developments toward helping people with AIDS and the HIV virus announced at the International AIDS Conference last week could hurt its profits.

Dignity Close to Shutting / Viatical settlements firm plans asset saleDignity Partners Inc., the financially troubled company that makes money by buying life insurance policies from the terminally ill, said yesterday it is seeking to liquidate the firm's assets.
San Francisco-based Dignity Partners provided viatical settlements. It paid to the terminally ill, usually those with AIDS, a portion of the value of their life insurance policies while they were still alive.
In exchange, Dignity would be named the beneficiary of the policy and continue to pay the premiums. After the holder died, the company collected the full value of the policy.
One of the only public companies in the roughly $300 million viatical settlement industry, Dignity's stock began to suffer as research indicated that new treatments are extending the lives of many AIDS patients.
Dignity announced yesterday that it had agreed to sell 197 policies, with face values totaling $14.2 million, to an undisclosed viatical settlement company for $8.7 million.
In addition, Dignity said in a press release that it "intends to seek stockholder approval to sell all or substantially all of its assets."
John Rotter, the company's chief financial officer, said the company had no further comment.
In July, Dignity said it had temporarily stopped processing new applications from AIDS patients while it analyzed research results on protease inhibitors and other new AIDS treatments.
Last month, the company said it had hired Jefferies & Co. to explore "strategic business options."
Dignity's collapse has "sent a shock wave through the industry," said Fred Sakamoto of Willbanks & Associates, a San Francisco brokerage that finds viatical settlement companies for AIDS patients.
Since Dignity announced it was accepting no more customers who suffered from AIDS, the percentage of cash an AIDS patient could get on a policy has dropped to as low as 30 percent, he said. Typically, AIDS patients had been able to receive 50 percent to 85 percent of the face value of their life insurance policies from a viatical settlement company.
In addition, industry sources said, AIDS sufferers now need to demonstrate more severe symptoms before a viatical settlement company will agree to a payout.
"Other companies are tightening restrictions, but there are still options available," said Ken Shigematsu, team leader for client services at the San Francisco AIDS Foundation.
He said that some companies, such as Chicago-based Viaticus Inc., had diversified their client bases to other types of terminally ill patients, such as those with cancer, heart ailments and Alzheimer's disease. The old Wells Fargo building along the original Lincoln Highway. Clarksville, CA, a ghost town near El Dorado Hills and Folsom. It is on private property and this was a private tour. It will be open to the public for the first time in May 2009 for Clarksville Day, a celebration of the history of the town. These were all taken for the Folsom Telegraph and the story and some of the pics will be used in print and online at folsomtelegraph.com I'll give you three guesses to who the mayor is of this lovely town is, and the first two won't count. The only thing that I can think that's more crazy is the state of California allocating funds to built two exits/entrance ramps so that this lovely town can receive more visitors... Oh, wait! How about the only thing crazier is that plans are in stored to rebuilt the town starting with Crypto Bank?... Okay, you got me on that one too.

Note: "it planned to tap". Sunlot also mentioned PricewaterhouseCooper (PwC) as a firm that might do the audit. But their PR admits (and it is in their writings, apparently) that they have no agreement with PwC yet. They plan to "tap" PwC after the takeover is approved, but if PwC does not accept their terms and price, then Sunlot is free to do whatever it pleases about the audit, and the clients who agreed to the takeover will be allowed to sit and wait. Presumably their deal with FGIS for the criminal investigation is on the same level as their deal with PwC. But I have a bad feeling about how this affair wil end. On 21-22 May, Coin Congress will hold its first conference event in Singapore. The event, described on its website as no less than “the most awesome digital currency event,” seeks to discuss the wider implications of the digital currency revolution on business.
“Coin Congress brings together the industry’s top thought leaders to share their insights on the overall state of digital currencies, and provides attendees with actionable takeaways for their businesses,” investor and Coin Congress advisor Brock Pierce told Bitcoin Magazine.
Among the high-profile attendees due to speak at the event are famous advocator Roger Ver and BTC China CEO Bobby Lee. Lee’s speech will no doubt draw considerable interest in light of the recent upheaval in China, with his exchange and four others announcing their withdrawal from next week’s Global Bitcoin Summit in Beijing in a recent joint statement.
Lee is also an official advisor of Coin Congress, along with Pierce and Bitcoin evangelist and investor Bradley Rotter. Other representatives of the local Bitcoin space will also be in attendance, such as Alex Liu, co-founder of Taiwanese MaiCoin.

Neighboring multi-unit dwellings on both sides of the fire building showed signs of exposure on arrival, prompting a second-alarm at 4:30 p.m. 1857A and B Duels St., an occupied 5-bedroom camel-back with an apartment in the rear, received severe fire damage to the rear half of the structure and considerable smoke and water damage to the remainder of the building. 1861A-B/1863, a two-story, multi-unit, wood-framed dwelling on the right of the original fire building also received severe fire damage to the rear half of the structure. Firefighters rescued two dogs from an upstairs apartment of 1861A-B/1863 Duels St. No other residents at either of the dwellings were home at the time of the fire.
