At today's difficulty (insert your own comment here), it would mine 3,439 BTC per month.

It looks like your right, they will be worth it at that price. Even if the difficulty went up 5x of what it is today they would still make decent money.

Well, since bitfunder does it over all the issued shares it will be over 10 million, however the dividends from the unsold shares will go into the pot for the next weeks dividends.


WHAT?! You can not pay dividends to treasury stock. Think about it for a second. This is beyond absurd if bitfunder allows this Smiley

If you have issued 1 000 shares (Shares Total in btf speak) and 100 are outstanding (not held by issuer aka issued and sold to shareholders "Shares Issued" in btf speak), profits will be divided among 100 shares and not by 1 000 shares. 900 shares are treasury stock and those have no right for dividends, voting or for anything else.

Issued shares - shares outstanding = treasury stock


If a Co buys  back its own shares for whatever reason (usually undervalued on the market and Co has huge amounts of cash laying around) those shares become automatically treasury stock.

This is the virtual world not the real world.

I'd love to have the option of off-exchange shares when the 1-for-1 swap is implemented. I'm not sure what the logistics are like for that, or if it'd be more trouble than it's worth.

The 1-for-1 swap will be a transfer on the exchange.  It will be a manual process, so it will be very time consuming.

I like it, not much language change from the final draft, just worded more elegantly.  I do have a question on the text I increased the size on above, specifically the term proportionally.  Does this mean that if there are unsold shares, the dividend payments will span across the unsold shares, or does this mean that only the shares that are purchased will receive dividend payout?  The formula will change quite drastically either way.  If there are 8 million shares sold and 2 million unsold, using the last dividend as an example, would the pay out be 2.78 BTC over the 8 million, or 2.78 BTC over the full 10 million?

Well, since bitfunder does it over all the issued shares it will be over 10 million, however the dividends from the unsold shares will go into the pot for the next weeks dividends.

Very shortly dividend payments will be increasing by a factor of 4. Then another 75% (Klondikes). This is a win win.

As a side note, the wording is left with the vague impression that only the shares sold so far will recieve dividends. With only 6 million shares sold at the moment, dividends split 40 million ways, has been reduced to 6M or 6.6x.

Adding 300GH to our 400 give the the payout another 75% payout.

[.00000139 + (.00000139*0.75)]*6.6 = .0001605/share If this deal goes through (and if my assumptions are correct).

Oh an fuck this when our 20,000 chips come in.

Do we have an estimated time frame for the .0025/share return to be fulfilled?

It is hard to calculate that, as this is determined by the difficulty increases, the number of machines sold, how many machines are put into the mining operation over time.  You
could take the hash rate that has been expressed in the offering and calculate the time based on that.  This would seem to be the maximum time.

I would say maybe you are missing the crypto currency context. amc is valued against the bitcoin so what impact on amc quote would the 40% drop in btc value have?
Well there is a complex relationship there. You might  think amc should actually go up as that would reflect an unchanged value (in USD). But crucially amc mine btc for profits. so if btc was to drop to 1 dollar amc would probably be worthless as the profits to be made from miners wouldn't cover the electricity costs. So a drop in btc effects the amc bottom line. A 40% drop is significant. On the other side if btc went to 1000usd next week amc would likely shoot up.

You might also find some are liquidating their amc holdings to buy btc when it is so low and while it may have more short term up side potential than amc.

With respect, this is not likely.  If BTC/USD value were to retreat to $5 per, for all intensive purposes Bitcoin would be dead.  I could not ever believe this as a possibility because I have faith in Bitcoin, but a fall like that would cripple Bitcoin's legitimacy.  I think the only thing that could accomplish such a feat would be an alternative coin.  Though, without true innovation in the alternatives, all of the current distributions are just clones of Bitcoin.


It is impossible anyway for Bitcoin to hit $5.  This would mean all of us (you, me) would have to completely become uninterested in the currency.  I see too many hardcore enthusiasts here to allow bitcoin to drop to $5 without buying it up.  I think ken was exaggerating the worst case scenerio just to make a point that a drop is okay -- let's not fixate on the concept of $5 because it is unreasonable.

The silence on here from Ken a week ago was deafening. So we need Ken or another AM employee on here everyday answering genuine questions. I think a short sentence in the contract commiting the company to that will keep AM focused and on the ball.
To keep the contract simple, I don't think we need to put that in.  At the moment we have limited amount of time to be on the board, as we are trying to get a number of things put together.  I for one will be flying to our Engineering firm to flash the prototypes in about a week.  Should we get eASIC paid the NRE, I will be working with them in California to the the RTL perfect with 20 hashing engines.  So, there is a lot to do. However, ever since we have started AMC we have put out a number of Press Releases, so much that Ukto on bitfunder limited us to one per week.

Fair enough Ken I'm sure we all understand you have an ever growing business to run but would just ask you to remember that the business is funded by shareholders and without their confidence (in you and your plans) and their backing there is no business. I'm sure you've taken on board the importance of communicating with and being open with shareholders. And especially when they raise valid concerns. Actually to your credit you did recognise the fact that a lot of those being called 'trolls' last week by some thread members were actually making valid criticisms, and to be fair to you you have taken onboard pretty much everything people were complaining about and acted quickly.

So in summary then:
1) the community raised valid concerns
2) You acted (fairly) quickly and have made significant changes.

I applaud you for firstly recognising changes had to be made and secondly for making those changes speedily and effectively and also for communicating with the community far more so than before. I'm sure most of us feel this episode painful though it was has made the company stronger and more likely to excel.

Thanks for your support.  I intend to keep all the shareholder informed, as we have in the past.  In the next phase, I am expecting the work load to increase and it make take some time before we can increase the number of employees to meet this increased work load.  So, that updates may a little more spaced out.

Excellent post John boy, I mean it, really excellent. So if we are keeping it simple the contract only needs to set out the frame work of the new venture and its ownership and the profit share set up. It also needs to answer the concerns of the community regarding who owns the companys assets. I think it does this so it is looking good.

As much as anything this contract is a statement of how Ken will conduct business. I don't think any of us will be taking him to court if he breaches the terms - I guess you would just sell your holdings.

However I do think with the experience so far on this thread we do need some assurances written into the contract  over how and when the shareholders are kept informed and updated on the progress of the business plan. This thread is growing fast and if you did answer, sorry for asking again.

1) What is the current shareholders equity in the final merged Co?
2) How much money did the management invest to AMC VMC?
3) Are you  going to publish proper financial reports reflecting the current situation? When?

When the current shareholders swap their shares for AMC (Belize) then if fully taken up, then the current shareholders will own 40% of the merge co.

Management, has invested in the 6 Avalon's, which were purchased in February 2013. These Avalon's are currently producing between 14-6 bitcoins per day.  At the current value of
bitcoins this give them a value @ a 5% capitalization rate of $2,482,000 using 50% of the revenue.  Of course this all depends on the difficulty and the exchange rate for bitcoins.

AMC will be publishing reports before the 15th of July.

~6 Million shares have been issued.  There will be no more shares to issue, however the contract does allow us to issue more if needed.

Yes, With the AM shares investors will have 40% of the profits were that only have 10% now, so in that respect it is a good deal.  On top of that they will have a new company that sales hardware.  AMC (Belize) owns everything, VMC is just used to keep all of the manufacturing in one place, all of the profits from VMC will go to AMC which Investor who hold the 10 Million shares get 100% of profit until the total dividends paid is equal to or greater than .0025 BTC.  AMC will be sold or liquidated when the time comes.  First of all, before that happens 9 Million shares will have to be tendered to AMC (Belize) before the merger can go forward.  So, 90% of shareholders in AMC (Cooperative) will have to agree to the merger before it will happen.

Got it. So with AMC (Belize) owning everything, the 10m AM public shares will account for 40% of AMC (Belize). All profits (100%) from VMC manufacturing & sales will go towards AMC (Belize). All profits (100%) from the mining operation will also go towards AMC (Belize). Once all profits are funneled into AMC (Belize) the investors will get 40% (10m shares) of those profits for and management will get 60% (15m shares) in the form of weekly dividends.

By having AMC (Cooperative) sold or liquidated it will clear up any confusions or headaches for us all. I hope this can happen sooner than later. Also how would you go about voting rights for the shareholders? How would you get appoint the board of directors? Can you appoint board of directions by the number of shares owned? If a shareholder has a significant amount of stake within the company it would be a fair way to appoint those directors to help make major decisions. I look forward to some more details in regards to that now that it seems as this entity issue has been sorted out.

None of that is in the contract/offering to keep it simple.  However, I would do what was in the really complex offering after this is all worked out.

Introduction
ActiveMining (AM) is a virtual identity representing all the profits of the Active Mining Corporation and is totally owned by it. The Active Mining Corporation's business includes cryptocoin mining and sales of self-built ASIC devices through its wholly owned subsidiary Virtual Mining Corporation (VMC).

Currently, it is expected for interested investors to hold 10,000,000 AM shares (40% of the profits), while Active Mining Corporation owner(s) shall hold 15,000,000 AM shares (60% of the profits), for a total of 25,000,000 AM virtual shares that represent 100% of the global profits of the Active Mining Corporation.

The first 10,000,000 ActiveMining shares bought by interested investors have the privilege of getting all profits until BTC0.0025/share is paid, starting from the day when dividends begin to be paid.

The issuing of more AM shares will be allowed in the future, provided there is strong economic justification, mainly on the basis of covering emergent capital needs. Existing shareholders also get the first choice for buying new shares before they are sold on the open market. The volume of new shares shall be kept at a minimum as much as possible and the pricing of them should be such that the total value of all Active Mining Corporation's assets (tangible and intangible) per AM share does not diminish, protecting shareholders as much as possible from future dilution of value.

How to buy shares
AM shares will be sold on BitFunder and BTCT.CO and any other exchange, following asset approval or exchanged of AMC shares. Existing Active Mining Cooperative (AMC) shareholders will be entitled to trade their shares for ActiveMining shares, on a 1:1 basis.

Dividend payment
The global Active Mining Corporation's income, including mining income, hardware sales via bitcoins, other cryptocoins and fiat transferred to bitcoins, will be paid to ActiveMining shareholders proportionally, when all manufacturing, maintenance, labor costs, R&D, and miscellaneous expenses are deducted. The first BTC0.0025/share dividends will only be paid to the first 10,000,000 AM shares sold, providing investors a priority in getting back 100% return of their investment.

Our chips
Generation 1: Fast-Hash. 28nm. Each chip's rated frequency is 800 MHz at 1.15V. It translates to 16,000 MH/s because it does 20 hashes per cycle. Chip requires proper handling of heat and power supply.

Our current hardware assets
- 6 Avalon miners, running on BTC Guild under "Team AMC" for around 430 GH/s.
- Order of Avalon chips from steamboat's batch #1, for 68 Klondike-16 boards, rated at 68*16*282 = 307 GH/s
- 20,000 Avalon chips (end of May and beginging of June orders), for a combined hashrate of 20,000*282 = 5,640 GH/s
In total, around 6,377 GH/s[/b].

This is how profits are split. Don't confuse it with what Active Mining Corp consists of internally, since the internal "departments" have nothing to do with the profit split. Smiley

This is what i've been understanding. Now what happens to the AMC security that is exchanged on BitFunder? I as well as other investors are going to be converting our shares to the new AM shares. Will that security cease to exist?

I don't think that is going to happen, AMC will continue to exist for a long time to come.  Even if the 10M shares where all swapped for VMC shares, AMC still has more to offer and will continue to grow.  The only difference will be that some of the revenue from AMC will flow into VMC.  I think it is a win for AMC and a win for VMC.  

Ken, from the bolded points above, it is clear that you have mixed up what was supposed to happen ... what everyone was asking for.

AMC and VMC was supposed to be merged ... so that there is only ONE entity.

Now, you are completely changing this around so that both will still exist, and AMC will grow ??

This is completely wrong! and will bring us right back to all the issues and dramas of the last 130 pages of this thread.

You need to merge AMC into VMC, with the express intention of COMPLETELY dropping AMC from existence.

Sure, it will take sometime for all AMC shares to be swapped over, but no one is going to hold on to AMC shares on purpose when they know AMC is being closed/merged into VMC.

If you don't do this, and FIX what you have been saying for the past few pages, then we are right back where we started. Two companies, and a lot of crap in between.

I just want to make sure that the bold text above is cleared up for everyone. We are completely dropping AMC (BitFunder shares i have now) from existence correct? One entity which will now be AMC (Belize) will be the only entity that will exist. I still don't know where VMC is coming from (internally). Can anyone explain that to me? I am only picking at this so that in the future there is no confusion among us shareholders as well new investors and no one will question the structure as we have before the AMC/VMC merger was agreed upon.

Yes, With the AM shares investors will have 40% of the profits were that only have 10% now, so in that respect it is a good deal.  On top of that they will have a new company that sales hardware.  AMC (Belize) owns everything, VMC is just used to keep all of the manufacturing in one place, all of the profits from VMC will go to AMC which Investor who hold the 10 Million shares get 100% of profit until the total dividends paid is equal to or greater than .0025 BTC.  AMC will be sold or liquidated when the time comes.  First of all, before that happens 9 Million shares will have to be tendered to AMC (Belize) before the merger can go forward.  So, 90% of shareholders in AMC (Cooperative) will have to agree to the merger before it will happen.
