Hi Ken,

Can you please post additional information to back up your R & D announcement, such as screen cap/scan of a email/letter from eASIC verifying the claimed results or at a minimum some evidence that you have indeed been working together.

The KnC chips are claimed to be 100GH/s each so the "World's Fastest Bitcoin Mining Chip" has already been challenged.  Here is the text from KnC's latest newsletter:

Chip Progress report
The more technical audience amongst our customers have been asking for a lot details on the chips we will use. The information we have available to you today is that Jupiter will be a 4 chip design and Saturn a 2 chip design.
This means that we can achieve a minimum of 100GH/s per chip. Which we think most people will agree, puts us far ahead of our current competitors.

Show me a link where they say there chips is 100 GH/s.  I think there board with multiple chips is 100 GH/s.

So Ken's big announcement is out, and his pump and dump is failing.

He needs to sell another 3 Million shares at 0.0025 to raise the money he is going to gift to VMC, his privately held company, for chip NRE.  But Bitcoiners aren't buying a $25 Million dollar valuation for a $300k company.  So the party is over for Ken right?

Wrong.  Shortly he is going to hit all the bids on BTCT.co and Bitfunder so that he can give himself that million dollar gift.

How do I know?  Well if you read his contracts, you would know too.

From the summary page on Bitfunder:

Quote
Notes On The IPO:

As long as AMC does not sell it's shares below 0.0005 then they may do as they please with their shares. It is their company, their ownership, and their shares.

During the IPO, not all shares may be posted as an ASK.

So expect Ken to start hitting bids, and keep hitting them all the way down to 0.0005 if that's what he needs to do.  Because who wouldn't when every dollar they raise goes to benefit their company rather than the company they are selling the shares in?

We do not need to sale any more shares to fund the chip, see spreadsheet below:

983  Economy / Securities / Re: [AMC]-The Official Active Mining Cooperative Discussion on: June 28, 2013, 07:28:48 PM
Moving on... Repost for those that have missed it.

.0025 Shares sold on Bifunder: 432,649
.0025 Shares sold on BTC-TC: 511,678
Total: 944,327

944323/4000000 = 0.23608075 = ~23.6 % funded

Thanks! Smiley

The raised capital from those is already more than enough. Even if not a single more share is sold, and considering tough difficulty estimates, the revenue from the incoming hardware (especially the 20.000 Avalon chips) is more than enough to put AMC above the $1M mark (see last row).

Ken: the correct number of shares in BF should be 1,567,351. Smiley

Changed the number of shares to correct amount above.

We have just commited to 2 Full Racks of space at http://www.springfieldunderground.com/ after a tour this morning.  We have also reserved put a 2nd reservation on 2 more racks.

Check out the link above you would not believe this place.  It will take about 10 days to get everything in place and get the Avalon's moved to there new home.
985  Economy / Securities / Re: [AMC]-The Official Active Mining Cooperative Discussion on: June 28, 2013, 03:38:23 PM
I still see the shares on Bitfunder. Oddly I now see 1.6 million, slightly higher than before.

'Still' ... just means you missed the disappearing act

Ken, I think we need an explanation of whats going on ... why did it disappear, then re-appear with more shares?

Yes, I did it out of frustration and I apologize, since my expertise is engineering, I am still learning the ins and out of the Bitcoin stock market.  The sell order is not going away until sold or until it's not needed anymore due to mining profits.  I commit to announcing in this thread before any share price movements in the future.

I did add a few more shares that were in the account as I did not know the exact amount of shares when I canceled the sell order.  If anyone remembers the exact amount, I'll re-list them as that.
986  Economy / Securities / Re: [AMC]-The Official Active Mining Cooperative Discussion on: June 28, 2013, 02:53:41 PM
So, basically this is a 1 million $ loan and the interest rate is in 10% royalties.
No thanks, I will pass.
I don't think risk/reward are fairly shared here.

I think you are missing the point where VMC provides their miners at production cost to AMC. That's the biggest benefit in my opinion.

Also AMC has a stable source of supply of Bitcoin Mining Machine.

The difference is if it was a loan you would only get the 10% on the balance of the loan.  With the 10% royalty you get the NRE paid back and you still get 10% on all the sales.  This is a big difference.

There are so many insecurities, man-sized holes, and pure 'makes no sense' holes in the entire 'business' and it's relationships with other companies I don't even know where to start. I am 100% totally jealous of the company owners that have managed to secure their retirement in a few weeks. Buying shares @ current value? HELL NO!

I'm all ears. What are your precise objections?
Quote
Precise? Oh well how about:

100 Fast-Hash-80's**    @ 80 GH/s each for a total of: 8 TH/s
Specifications: 110nm 282 MH/s chip 75 chips per board 4 boards per unit
Estimated retail value @ ~$6,000 each for a total of $600,000
(Estimated to be delivered August 2013)

We are on schedule to receive 62 of these machine by the end of August.  We have 20,000 chips on order from
Avalon for these machines.

Now, I think you are a competitor just trying to spread FUD about AMC, I have looked at some of your
post and you seem to be tied to KnC as your forum name suggest "TheSwede75". and this:

[Group Buy #2] 1 KNC Miner Saturn 175 GH/s miner + hosting (10 shares) CLOSED

which is your group buy for KNC equipment.  Case Closed.

This guy on reddit raised some valid objections:

Quote
AMC is ABSOLUTELY not worth the .0025 / share that it is going for right now. All of the increase since its original .008 price is based on this news that they have hardware coming out in the future that is on par with what others are offering.

Furthermore and MOST IMPORTANTLY, the company that is listed, AMC, will only receive a VERY SMALL percentage of profits from the sale of this hardware because it is some other company, VMC, that will actually be selling it. Basically what happened is that this one man, "Kenneth Slaughter", owns both AMC and VMC. KSlaughter used funds raised from his selling of AMC shares to fund development of hardware that VMC will sell. As a shareholder of AMC, you will only see 10% of the profits made from VMC even though you have wholly funded VMC's R&D.

Imagine in an alternate universe where ASICminer was instead two companies, say ASIC-1 and ASIC-2, where both are owned by friedcat. ASIC-1 mines for bitcoins while ASIC-2 produces hardware. However, friedcat only puts ASIC-1 on the market. When friedcat has his IPO, he will use the raised funds to produce hardware using ASIC-2. The shareholders will only see value of 10% of hardware sales and then the mining revenue, even though they are funding the entire operation. This alternate universe is essentially what you have with Kenneth Slaughter and AMC/VMC.

Other points of concern include that the dividends per share will be worth less than half of the % they currently receive by April of 2014 because in the written in the contract is the clause that allows KSlaughter to increase the amount of shares receiving dividends from the current 40,000,000 to the full 100,000,000 at that time.

Additionally, the contract allows KSlaughter to continuously undersell the current market price all the way down to .008 BTC/Share

This is not to say that AMC does not have value, but please be aware that any hardware "breakthroughs" should not have a 200% effect on share price.

Edit: Personally, I would buy in if prices fell to somewhere around .012 BTC/Share

So his concerns are to do with what has been clearly stipulated by AMC from the outset? If you don't like the setup and conditions don't invest but it's a bit ludicrous to be telling people they are not getting a good deal when the deal is clear for all to see. Can't these people read?

Check out my post here that answers the above concerns:  https://bitcointalk.org/index.php?topic=158806.msg2598608#msg2598608

Relevant for those investing in AMC-PT. https://bitcointalk.org/index.php?topic=241415.0;all

Also: What are these wild claims coming from? 'World fastest chip?" Both Bitfury and KNC miner has announced chips in 55nm/28nm that are expected for delivery in SEPTEMBER with same/competing hash rates. KNC's chip is a 55x55mm core @ 100 GH/s and Bitfury is a multicore chip capable of 0.3W per 1GH. What justifies a $25 MILLION valuation for a company with no track record, and a few 1000 BTC in total assets?

No, the chips spec say a maximum of 10 GH/s, AMC chips is 16 GH/s no one comes close.

Here you go:  Grin

8 ) the profit calculation in contract is based on assumption that the difficulty will rise only by 6.5% on average for next 24 months

No the profit calculation in the contract is based on a 40 times increase in the difficulty in the next 25 months.  Also, there is a growth and expansion fund which receives 50% of the revenue for the next ~10 Months to purchase more mining equipment to keep up and exceed the difficulty raise.

Quote
6) kslaughter has put his hard work and 6 Avalons in the company, now values his share in AMC for $15,000,000. Also he takes 90% of profit from the hardware sales

I guess that is true, however AMC gets machines at manufacturers cost, so the profit on those machine will be zero and AMC has a lot of rights to machines over the next year or so.

Quote
7) kslaughter is now selling the shares for 0.0025, but can later sell more for 0.0005 as stated in the summary at bifunder (also that has happened before).

Yes, this has happened before, due to the Bitfunder "God" Ukto forcing AMC to sale shares at .0005 when the market price was .0008.

Quote
1) for 0.0025 I can buy share that represents 1/100,000,000th of profits of AMC mining

For the next ~10 months the shares represents 1/40,000,000 of the profits due to 60,000,000 not being issued and thus not receiving any dividends at all.

Quote
9) shares have no voting rights - does it mean that contract can be changed? Or that shares can be diluted (more than 100,000,000 issued)?

The contract can not be changed.  There can not be anymore than 100,000,000 shares issued.

Quote
3) the AMC's hardware is preordered from this other company VMC

VMC was created to give AMC a stable source of Bitcoin Mining Machines, due to the likes of BFL, Avalon, KnC, etc having pre-orders, not delivering in a timely way, etc.

Quote
4) the VMC's hardware development is supposedly funded by kslaughter (stated previously in this thread), but in the Marketing Strategy part of the contract at btct.co it's written "AMC is developing an ASIC chip which will be marketed through VMC." From the new anouncement: "VMC is also announcing today that 100% of the profits from bulk sales of the
Fast-Hash-ONE chips will be reimbursed to AMC until the total amount that AMC has paid to VMC for the NRE to create this chip is totally reimbursed to AMC."

I am funding VMC's business which is hardware sales, AMC is funding the development of the hardware and receiving tremendous benefits which include machines at manufacturers cost, 10% royalty on VMC sales which uses AMC technology (which will be most likely 100% by the way) and now as of today 100% of the profits from chips sales until the NRE is repaid.

VMC And AMC Are Proud To Announce The "World's Fastest Bitcoin Mining Chip".

SPRINGFIELD, MO, - June 27, 2013 - Active Mining Corporation (AMC) and Virtual Mining

Corporation (VMC) are announcing today the preliminary results from VMC's partner

eASIC (www.easic.com) regarding the performance of the Fast-Hash-ONE Bitcoin mining chip,

built on eASIC's top of the line 28nm technology.

Each chip holds 20 miner cores, with an expected frequency from 800MHz (16GH/s)

to 1GHz (20GH/s). This is possible thanks to eASIC's expertise and AMC's heavily

optimized design, making Fast-Hash-ONE the "World's Fastest Bitcoin Mining Chip".

The chip is expected in limited quantities in Q4 2013 and fully available in Q1 2014

and will be the backbone of AMC's drive to be the "World's Largest Bitcoin Mining

Farm".

VMC will also use this chip in its Fast-Hash-XXX and Fast-Hash-TH series of Bitcoin Mining
Machines, with Prepaid Pre-Orders immediately available on VMC's web site.

Prepaid Pre-Orders for bulk purchases of the Fast-Hash-ONE chip will also be
immediately available on VMC's web site (www.virtualminingcorp.com).

The maximum NRE total cost asked to us is around $1,000,000, but we are expecting it may go
down from there. We estimate a total sale of 4,000,000 shares at ฿0.0025 for covering all
the NRE associated costs, considering BTC/USD fluctuations.
AMC has released 2,000,000 shares yesterday at ฿0.0025 on BitFunder, as a headstart for
long-term investors, resuming the gathering of necessary funds for NRE costs. Today we
released the remaining 2,000,000 shares at ฿0.0025 on BTC-TC following the approval there,
as a means for gathering more investors.
Although it can be debated, a price of ฿0.0025 for the current batch is an excellent entry
point for anyone investing into something of this scale. "We're not in Kansas anymore!" Grin

VMC is also announcing today that 100% of the profits from bulk sales of the
Fast-Hash-ONE chips will be reimbursed to AMC until the total amount that AMC has paid to
VMC for the NRE to create this chip is totally reimbursed to AMC.  AMC will also
have the First Rights Of Refusal on a number of machines built with the Fast-Hash-ONE.

eASIC's details:
eASIC was Rated Third Fastest Growing Semiconductor Company in North America on
Deloitte’s 2012 Technology Fast 500™ and their choice as our partner is a significant
one. Our excellent news is possible thanks to eASIC's ingenious process to integrate
AMC's optimized code into a fully functional ASIC in record time. Please check
eASIC's web site for futher information. At the moment, only 45nm information is available
there for the eASIC Nextreme-2 family, but it is sufficient to fully understand our
short- and long-term plan on 28nm and lower.

As a summary, we'll present two very important key features that are part of our
ace in the sleeve for AMC, which will help everyone realise how this project can be
executed in weeks/months, rather than years:

Fast Turnaround ASICs
"When it comes to device manufacturing and test, eASIC Nextreme-2 family takes only
a fraction of the time of standard cell ASICs as only one via layer needs to be
customized for each design. This means that wafer manufacturing can start much
earlier and even during the design stage itself.
"

easicopy ASIC Migration
"easicopy ASIC provides OEMs with a seamless path from a eASIC Nextreme or Nextreme-2
NEW ASIC to a, cell-based, easicopy ASIC thereby enabling OEMs to further reduce
device cost and power consumption, or increase performance.
"

Other Important News:

The second order of 3 Avalon's have arrived and are now hashing, bringing AMC's total
hash rate up to 400,000+ MH/s.

Still on order are:
- 68 Klondike-16 chip boards (~306,000 MH/s) with an estimated delivery date of Mid July;
- 20,000 Avalon chips (~5,640,000 MH/s) with an estimated delivery date of Mid August.

We are also busy working with our Electronic Engineering and Manufacturing Services
firm to create our Fast-Hash-XX Avalon clones.
Our prototype is getting close to being manufactured.  We also have on order complete
boards to build the first 40 Avalon clones for AMC's estimated delivery of 8/31.
