ROCKMINER shares buy back plan

Dear Shareholders,

Thank you for supporting ROCKMINER for so long term, in the past months,we designed, produced and sold thousands of miners.
RM can never be a recognized company in community, and running for so long without your investments and help.
I know you are disappointed with this situation, and feel angry about loss of money. However, as we know, BTC miners producers have suffered a long downturn term for BTC price going down in past year, lots of manufactories bankrupted as we know.
We did try our best to run the company, I still remember the first two and three months, we worked from day to night for the designing ,producing and selling, we were excited for first product R-BOX made out.Our team became a professional miners producer after months.
We were planned to save the remaining capitals for future producing investment, but after time passed and market situation changed, we don’t think we have the capacity of producing new miners in next months, because we don’t have chips and costs excluding chips still very high.
Whatever, we still feel very sorry about what ROCKMINER experienced ,and we plan to use 90%+ company capital to buy back all public shares to reduce investors loss.

We are going to buy back all ROCK shares based for :
1. No producing plan in next 6 months for miners producing is not profitable without chips.
2.We don’t have the dividend plan in next half year except there is a new profitable project, actually it’s hard to find one now.
3.We are miners producing manufactory, but we lost the main business, and we need to pay daily expenditure, we have to sell BTC for keep running company.
4.The worst situation will come for point 2 and 3, which means company will bankrupt and none money left. We don’t wanna that happen and being abused by people.
5.Lots of shareholders asked for how can they sell shares, for the liquid of ROCK is not good enough, buying back is the best way for them,or they can’t trade in anywhere else.

Buy back price:
1. 0.05BTC/share.
2. We will spend 18750*0.05=937.5BTC for buying back all public shares.

Buying schedule:
1.We will buy back on HAVELOCKEINVESTMENTS and direct shareholders.
2.Shareholders on HAVELOCKINVESTMENTS will get payment in your account; direct shareholders will get payment in your bitcoin address directly.
3.We’ll complete this plan in this week.

ROCKMINER will not quit  BTC industry, and will try our best to survive, such as lower salary, fire some employees. The best thing is finding some new investors, we don’t think there was someone who will do this, considering current market situation,

Sincerely,
ROCKMINER Team

I've been trying to save everything I can towards 4 New R-Boxes, will they be available through the website or do you plan to close everything soon?

There are still some NEW RBOX in stock, we will try to find some cooperator to produce together, but it's hard now.

Can you comment on RockMiner's relationship with ASICMiner?  Also, are you Rockxie, still involved with ASICMiner?

1.RM is miners producer, we bought chips from AM like other manufactories. We helped them on selling miners now.
2.Yes,this is rockxie, I am still the board member of AM.

well, i thought it was heat causing one or 3 of the chips to fail, hence what looked like 80GHs over the 110GHs, it was that, that was causing the high error rate and low hashing.

but having it run on BFGMiner and watching them hash on it, 3/4 of them couldn't do any better then 50% erring, and they never could do any better then 7.6GHs each.

(pool side with it was only doing 30GHs)

Anyone of you can contact us for products problem, we will find way to solve it, we have distribution center in EU and US.If you got feedback in 12 hours , pls contact us for one more time, there was only one person handling the selling, delivering and customers supports in oversea.

and snip

Hi, this is the "ROCKMINER ASIC miner official thread"? I've talked on here about it since 2nd of November, you never mentioned anything here, till now..

all i wanted to know is these little boxes meant to error out and reject out as much as mine did (about 30% rejected 50% errors 20% accepted 30GHs pool side).. i even modified it to move more heat off the chips, CK even played with his miner software for a few days to get them running right, still no go.

anyway, EU and US doesn't look like you cover AU. none the less, its running at 80MH/s and 10% Hardware erring. cant go over 300MHz without it losing control. no new software for it, no new firmware. i have to live with what i got. and I'm not the only one with the same issue. luckily some managed to get RMA on them, others sold the off, since they never got any help out of it.

anyway, im probably talking to a brick wall here, only once ever 5-6 weeks you manage to post here.. no hell to friedcat, but im sick of seeing this AMhash thing, you Rockxie, seems to have just dropped everything to polish friedcars shoes, not a good look for you.

You can contact our customer service, may quality problem, you can exchange a new. Not so many people got such problems...

@rockxie There is a news in the market that you have stopped producing new hardware and focusing on marketing & PR for AM hash. Is there any substance in this news ?

AMHash is one of our projects that we are doing now.

We stopped producing new hardware temporary because production with ASICMiner's 40nm chips is not profitable right now.

1. The latest financial report:

https://drive.google.com/file/d/0B19Fg5c2mNTycWxvVDlITlRBRGs/view

Quote

This is almost laughable.... buy back now for fifth of the value...... great job rockxie!

So basically you and your team have sat on your ass for the last three months and lost the company 4/5s of its value......

We produced R-BOX, NEW RBOX ,R3/4 and T1-BOX in past months, we tried do all the good things for company.

There are several main reasons for losing money:

1) We lost lots of money by accepting and keeping BTC.RM accepted BTC on our oversea marketing ,but price went down soon,we didn't sell them when the price of BTC was going down from 500+ to 330+.

2) The price of bitcoin going down also cut down the profits of miners.

3)In the end of November, we sold miners on price which is lower than cost for cleaning out stock.
We have to sell out the miners as soon as possible,if we don’t do this,we would lose more money since the difficulty went up and up and competitors's  new miners were out.

1)+2)+3) ate all margins from producing hardware!

2.
Quote
Amazing how both RM and AM can loose money non stop..seems a bit off to me. I am sure they got the chips at or around cost and yet still can not make a profit?

We never got any hidden benefits transferring from AM, we bought chips from AM at the same price as other rig producers.

3.

I am talking havelock 100th of a shares. full share buy back = 0.01

edit: i ahve told them they are as good as a scam, lording it up flying around the world to london BTC confrence, even though they are not producing miners. Idiots.....

We didn't attend the London conference, we just asked our partner to take our booth to exhibit our products, and this cost little fee(don’t need pay for travelling and hotels). However we did attend the Las Vegas conference to find projects, promoting our products, and talk with our customers and investors for potential opportunities of commercial cooperations.

4.
I can't comprehend how they failed so badly. Where did the money go?

Even though AM/RM like to blame their failures on market conditions, I think they are both the cause of their own demise. I'm sure they both would have been relatively successful without the halfassed marketing/PR.

We lost nearly $137,000 by the quit of two testing mining farms. Price of  BTC keeps going down, electricity price of which is 15cents, considering the power consumption, mining more means losing more, so we have to quit.(Even you don’t mine, you also need to pay $7500 for rental and minimum electricity fee.)

And we lost a lots for the reason released on point 1.

3. Dividends Plan
Given the fact of the non-ideal situation of company’s profitability, Rockminer will
save money for future development. However, if no improvements happen in the near
future, we won’t rule out the possibility to redeem our stocks at a fixed price, in order
to lower the loss of our investors.

This is almost laughable.... buy back now for fifth of the value...... great job rockxie!

So basically you and your team have sat on your ass for the last three months and lost the company 4/5s of its value......

We don't produce chips and we think it is not profitable for us to continue to produce miners, the more you produce, the more you lose.So we decided stop production in coming days temporally ,this not means we are quit of our "Mining For Everyone” plan. We are waiting for the right time to restart producing miners.

6.
just to make it public knowledge i have given some shit with rock xie via PM and the buy back figure they are looking at is 0.001, one 10th of the IPO price........ anyone else felling ripped off?

We still wanna operate company to pass though WINTER, and turn over in next year.
You asked us that you wanna  RM buy back those shares, I just told u there were someone can buy your shares at this price, not ROCKMINER buying back.

7.
rock xie, you and your team have done absolutely nothing to try and hold or create value for this company, infact you have just side lined it and are working for AM again? AM paying your wages? or still living from shareholders investments?

We do cooperate with AM now, and we don't refuse anyone to make cooperation if there was a chance. Because this can make profits for RM too.

8.
Chinese Qualitat?

Chinese way of doing business.

We haven’t done well until now, that is not our original purpose for starting this company. However, I have to refuse those words like "Chinese way " or "scam", and have to say" ROCKMINER is not dead" but trying to survive now.

9.

If this is true, then this has been absolutely terrible for investors.

As an IPO investor, I'm pissed off.

ASICMiner, Rockminer, the whole 'team' of these people are fucking awful.

No wonder they fail, their public relations and communications are atrocious.

We apologize for the poor PR in past 1-2 months, but we are changing now. I don't think say "F" words can help yourself or company get profits.

10.
Seen Asicminers in local Bitcoin conferences, never saw RM.

We attended lots of local conferences in past months because of low costs in domestic traveling.

11.

12. What's our plan?

1) Current running projects. We are deeply cooperating with AM now, more news will come out soon.
2) Future plan.Building farms for other investors who need electricity and space, we have the electricity and other infos.Building cloud mining brand.
3) Doing OEM and ODM on small miners like RBOX, less investment and less risk.

AMHash website does not seem to work properly.  Once logged in, if I click on Account or My Orders, I am directed to log in again.  Clicking on the buy now button in the store also prompts me to log in again.  If I log in again at any of this prompting, I am dumped back to the home tab without having accomplished anything.  If there's any way to actually buy anything on this website it is escaping me at the moment.   Huh
Works for me, I bought 20TH just to see what happens.  It made the order and its just sitting there waiting for me to pay for it.

I also bought 6 PH lol, just need to get my funds together now

Well I'm glad it works for you, but I am having the same issue in Chrome, Firefox, and IE.  All I can do is endlessly be prompted to log in over and over whenever I try to do something.

Can confirm, it has also never worked for me (at least in English) with a variety of different browsers.

This is shoddy guys.  Don't open up a bitcoin e-commerce site without knowing exactly what you're doing ... and testing it thoroughly first.

I think you may disable your cookie function.Try to enable it.

Hi,sorry to be late.

for RK-BOX:

Windows:https://github.com/rockminerinc/cgminer-for-Rocket-box
Cgminer: https://github.com/rockminerinc/cgminer   enable icarus

frequency:300~320 M

and as pointed out about 2 months ago (ok about a month ago), with this 2 month old software, this don't work, even worse with the NRBox

hence the reason why the Author of CGMiner is working on it, Give him a hand yo!?

We use this for hundreds of RK-BOX,they are ok. What's your details error info about it? Please just send me a mail for the details.

rockixe#rockminer.com

Thanks.

For RK-box,it is out of production,we changed the design and don't use icarus protocol now,and there are no docs about it,sorry for that.

Can Rockminer or Friedcat comment on what happens to the remaining hashrate that doesn't sell during the IPO?  Will it be used as self mining or reissued at a lower price?

If we can't sell out all of 5P,there are several ways to deal with the remaining hashrates :

1 Sell to big customers directly, some of customers who want to buy lots of hashrates are contacting with us.

2 Sell them with another IPO at HaveLock, such as AMHash2...

3 Sell them at our own website, like other cloud mining companies did.

4 Be always self mining.

1. 合约将从10.31日开始正式生效,也就是正式开始分红,如果31号之前可以IPO够1P,则在IPO够1P后直接开始分红;
2.这里的维护费是包括所有一切费用的,电费,管理人员的费用,租金,其他硬件等等;

Come on guys, English?  This is the main board.

I am beginning to regret buying shares in this venture.  Not only is it impolite but it is a violation of rule #9 which reads:

Discussions in the main boards must be in english. All other language discussions should be posted in the appropriate Local board.

Sorry for that. Added english.

Come on guys, English?  This is the main board.

Because bitcoin prices and many other cloud mining contracts are not profitable, now investors are  also  lack of enthusiasm to AMHash . According to the diff rising in cases, I think the hashrates will doubled at 2015 April-May

Have any dividends been paid?... NO!

So quit getting all moist and patting each other on the ass cause nothing has changed

In fact, AM is trying to change, and some changes have been made, AMHash is a clear signal.

In the future we will see AM will make more positive changes.

This ipo is too vague.

Issuing 5 million shares but only 1 million available at Havelock.

Quote from: Havelock
The Fund is divided into 5 million (5,000,000) units each of which represents 1Gigahash per second.

The price of each unit is 1.25 mBTC (0.00125 BTC).

Forcing AM shareholders to buy or div will not be possible.

Sorry for making you confused about it.We have added more information:

The reason why we started AMHhash project is based on factors below:

For Investors:

1 Most of customers's electricity is not cheap enough for mining right now and AM find the right place to deploy.

2 Shipping to oversea from China cost too much(almost 1/4~1/3 in total).

3 Most of customers don't have enough time and technical skill to deploy large quantities miners in short time.

So buying AMHash is better than buying mining devices if you want to invest bitcoin mining industry.

For AM shareholders:

1 AM has lots of BE200s in stock,if we can't convert them to devices asap in their life time, these chips will be nothing, then it will be a big loss.Obviously,In the present case AMHash is the best choice for AM to sell large quantities chips and devices.

2 Cloud Mining is trend for bitcoin mining in future. If AMHash1 is successful, BE300 also can be benefit from this project.

3 Only if AM make profits, dividends is possible.
