I have Bitcoin 0.3.21 beta... and it tells me "URGENT: upgrade required, see http://bitcoin.org/ Do I download another wallet? Am I going to have the same btc address?

Just install the new one on top of it and you should be good to go. It will take some hours converting the blockchain to the new format, but then you're golden, I think

Your wallet's integrity will be just fine when you upgrade. Back up your wallet first if you're concerned, though.
Versions 0.8.0 and later resynch the blockchain but it doesn't take forever to do that anymore.

Not another wallet I did the procedure for myself a few days ago : - download 0.8.1 and install it - dont't run it and put a copy (I'd keep a backup) of your wallet in your bitcoin directory - wait for the block chain to be downloaded (3-4days) or use the bootstrap method (search in forum) - everything's working!

Just for clarity...I have to download Bitcoin-QT to keep the same address. If I wanted to download Multibit, I would get a different address and could then just transfer from the old wallet to the new?

I don't know about multibit but if it supports importing private keys you'll be able to use your old ones after extracting them from the old wallet with pywallet
