Who holds the fiat? Is there a fee for merchants? Are there any user fees?
The exchange holds the fiat. The merchant/user fees as well as other financial details will be posted when finalized. The servers will be located in Panama and as posted in the earlier thread, all payment processing is through third party processors. Explain to me please how the third party processors are immune to regulagion if your servers are in Panama, I am not sure you are bulletproof (see MtGox)... They can always freeze and confiscate your accounts and force 3rd party processors to stop the deals with you. Sorry for being pushy but I have been burned many times (btc24, btcCentral, mtgox...)

So a middle man always performs the actual financial transactions through the banking system.

The first shares were given to donators as a bonus. I will be having an auction today for 10,000 shares.
Dividends will definitely be declared and distributed. The percentage will likely be somewhere between 10-15% of net income until the exchange builds up reserves. After that point, dividends will be 100% of net income.

Most if not all bitcoin "companies" registered or not can do the exact same, BTC-e for example. There are no guarantees in virtual currency.

fuck that, too expensive per share! i guess its to late for me to renig on my contributions to the Dev Fund. I think all contributors/donators to the dev fund should get one share out of respect, but then again i'm drunk on a saturday and i'm a bit biased

Didn't all donations for the fundraiser already get 0.1 share per DGC... so that's equivalent to 10000 DGC per 1000 shares already. What are you getting at? How is an auction too expensive? Only bid what you can afford?
