You are definitely right, ICOs are, indeed, an old issue and it probably can’t be / won’t be fixed. However, we are conducting a Security Token Offering (STO) which is very different compared to old-fashioned ICOs. In order to conduct a fully compliant STO in EU, a company has to abide by a lot of regulations implemented on a regional (EU’s) and national (separate Member States’) levels. First of all, a company, offering its securities to the public, must prepare a prospectus which is actually a public offering document consisting of information about the company (including, but not limited to, its shareholders, management, investment sources, financial information, audited documents, etc.) and information related to security token itself (the type and structure of the token, the issued amount, price, collaterals, if any, as well as terms and conditions relating to the allocation, distribution, payments under the tokens and a lot of other legally mandatory information). Furthermore, the prospectus has to be registered with a financial supervisory authority of the country where a company is issuing its security tokens if it does it at a national level. However, since we are conducting an STO throughout the whole EU, we will have to notify financial supervisory authorities of every single Member State of the European Union. Besides, our token itself is not some kind of a utility or payment token - it’s a security. In fact, our security will be structured as a perpetual bond with a variable interest rate correlating with 15% of our company’s gross profit. These are just some of the legal issues that a company has to tackle in order to conduct a fully compliant STO. Besides, this process is extremely time-consuming and requires a lot of investments - only for these reasons scams that are popular within ICOs are prevented.
