The first question that comes to mind is how does one prevent the transfer of the bergstake? its not a currency, its locked onto the original address, so only way to transfer is to share the private-key.

PoS being sound enough to actually work despite warnings from nearly all competent analysts, go right ahead. And I really do mean this. Being willing to go up against the prevailing wisdom of experts is a great thing and important to progress. Just know that the odds are very much against you.
But there are experts on both sides. Vitalik just recently being a convert. And SlipperySlope here as well. I know gmaxwell has posted about 'Nothing at Stake' attacks, but that appears now to be a solveable issue. Infact, Vitalik wrote a whole article about them and it appears as a result of his article sparking debate, a solution was found. I certainly don't claim to have the anwser, but it would appear that this is something that's headed towards being solved. Unless of course AnonyMint is correct and it's totally unworkable. If it comes down to one entity controlling 51% of the money supply and that's the main issue, then I think it's already better than PoW since theoretically it should cost more to mount that sort of attack than attempt a similar 51% attack on a PoW network. Hmm...iI was thinking that would be cloakcoin or darkcoin according to the poll. But what poll really means? After I've read an article about statistics and , in particular, about polls , I've understood that data can be fabricated, especially, than it is comes to the world web So, according to the pool the winner would be either- cloak coin or dark coin, however, it doesn't mean that they are really anonymous and promising coin No but that discussion we are currently doin underneath this poll is quite improtant. For example it just turned out that CLOAK is not so advanced with trustless anonymous transaction processing as they thought they are. If we would reset that poll today, I guess results would look totally different. For DRK we will have the review of Kristov Atlas soon, so we'll also know how trustless and anonymous the Darksend+ system is. Interesting times ahead. Its obvious that the only real anonymous coins are based on CryptoNote like Monero and Btyecoin. Darksend is only a external feature to Darkcoin. Can someone please explain to me why CryptoNote does not get the credit it deserves?

Seriously, this all can be accomplished with Open Transactions. All you do is "add section to the corporate bylaws, that the company is owned by the bitcoin addresses in the open transaction ledger"
All SWARM is doing is selling equity in the startup, while kickstarter is pre-selling the actual product that will be produced by the startup. Seems to me that the founders of SWARM, will have the upside of VC/Angel investor equity, without the risk.
Legally, I don't see how this will fly, unless this is marketed only to "accredited investors". There is nothing distributed, decentralized, or trust-less about this. There is no block-chain behind the counterparty assets. Even worse the counterparty distributed exchange is severely flawed.
Bitshares is what your trying to reproduce. Its distributed, decentralized, trust-less and cannot be shut-down by anyone, just like bitcoin.

from what I understand, there is nothing stopping the issuer from diluting assets on counterparty by issuing more and more. unlike an alt-chain, where the distribution schedule is built into the distributed protocol. very confusing. Is there any docs comparing and contrasting counterparty assets vs stand alone alt-coins?
