An Election to vote in the Bylaws written by the Einsteinium Board Members will be held from December 2nd 2014 6pm EST to December 9th 2014 6pm EST. We're giving a 2 days notice for comments, corrections, and critiques. 5 days (from December 4th 6pm EST to December 9th 6pm EST) of voting will be used.
The vote will be held in this thread by the comment '' Yes, i support the bylaws''.
*The bylaws will need 11 positive votes from members of this community to be accepted.

article 12 relating to removal of directors without cause where a quorum is present.How many trustees make up a quorum and what if some hardworking director simply becomes "unpopular without cause"?How is the vote carried if say for example only two are remotely present to execute a decision leading to expulsion?Can two directors carry a vote on such a matter without cause?.Is without cause also without fair warning of transgression of bylaw beforehand or ability of colleagues to dismiss at will of unwanted party etc?

This is actually Article 5, section 12. Re: BOARD OF DIRECTORS, it says: "Any member of the Board of Directors may be removed with or without cause, at any time, at a special meeting properly called for that purpose of the members and where a quorum is present.   A board member who has been removed as a member shall automatically be removed from the board."

A quorum is half of the eligible voters, that means this action is seeking high voter turnout, not necessarily high voter participation.  As opposed to the current vote to pass the EMC2 bylaws which requires high voter turnout and high voter participation.  

Let's say the eligible voters for EMC2 community is 20, the quorum would mean that at least 10 people need to be at the election, if only 3 people vote a decision will have been made even though the vote was low.   Please note the count is of the membership not of the board members because the People voted him in the People should be the final deciders.   The more people that vote on an issue the more fair the decision will be.

To address your question on the matters of: 'hardworking', 'popularity', and 'fairness' when it comes to voting it is almost always about popularity, rarely is it about what makes the most sense.  'Without cause' essentially means 'no reason', it doesn't mean there was no warning, and it doesn't mean the process is unfair.   The process allows you to fairly hear (fair hearing) what all of the relevant parties have to say on the matter.  

The EMC2 board needs hardworking people (popular or not) to serve on the board and or on committees.

Ok, that was my explanation of section 12 of article 5, perhaps others may chime in on this.  But what wording do you feel would be most fitting for that section?

No, bylaws are not mandatory, however they are necessary.   Bylaws provide for some very basic guidelines in which the org is expected to operate; fundamentally it identifies and encourages or discourages specific behaviors in order to allow the org to run in a stable and reliable way.  



2)  What are the benefits of having bylaws? How will bylaws help EMC2?  

Bylaws create a norm, a standard, and points of measure.   Bylaws allow everyone to publicly know what behaviors are expected.   Bylaws can help clear up ambiguity, can help remind people of their duty / responsibility, and bylaws can help measure tenure.  Bylaws also help the org to follow laws in other recognized jurisdictions.



3)  Can EMC2 bylaws be changed?

Yes. see article 10 in the bylaws.



4)  What are the disadvantages of having bylaws?

The greatest disadvantages of having bylaws is that many people won't read it.

Bitcoin and over two hundred other coins were created long before EMC2, however it wasn't until EMC2 was created that EMC2 grant winners were recognized for their dedicated hard work by any cryptocurrency community.  

Make no mistake, World Aid Coin, and Aidbit are also CC communities (read The Einsteinium News at www.Einsteinium.biz) doing what they can for people outside of the CC community.

Getting people "hooked" on doing good, is good.  Support the coins that are doing things to make this world a better place.

In the coming days, weeks, and months EMC2 will be taking major steps to help more people in bigger ways to help more people in bigger ways.

This will never work as long as every single project has its own Crypto. Cryptos supporting altruistic goals has been nothing new since about 1 1/2 year now. Countless cryptos have been created to focus on one (in most cases) altruistic mission. Since they are so fractioned their overall impact is small. If the people supporting "Cause Coins" really want to unite they should abandon their own little game and instead join a more sophisticated projects. Crypto is actually very damaging when it comes to this, since most community members are now also invested into the coins they are supporting. You could see it as a do-good Ponzi scheme.  It takes some real courage to abandon your own project and set aside the egoistical goals it has bound yourself to.
I have made my decision for a larger project already, so I am biased towards a single crypto. However I call out to every rational thinker seeking to install this to break their decision down to:
1. The ethical coin with the most dedicated and active developer
2. The coin that has the highest market cap
3. The most advance technology
4. The most active community
5. Has been around the longest

Whatever the number, my guess is it won't be 'countless'.

You said: " Since they are so fractioned their overall impact is small."   Given that there is very little overlap for the various cause coins, the only "overall" there is is caring, so from that perspective the cooperative impact is far greater than if there was only one cause-coin or no cause-coin at all.

Whenever I'm told to focus on: 'the biggest', 'the oldest', 'the most experienced', 'the richest', 'the most populated', or even the most popular I'm reminded of Mt. Gox.
Because so many people wrongly thought that size, tenure, and worth should necessarily mean best the CC industry lost a 1/2 Billion dollars.

I take it that you support Gridcoin.  I like Gridcoin too, and I personally know that EMC2 reached out to Gridcoin on numerous occasions with actual projects that were appreciated by the Gridcoin community but NONE adopted by the Gridcoin leadership.   

On the Gridcoin website it indicates that they want to sponsor science fairs, it just so happens that EMC2 is open to sponsor science fairs.  So EMC2 said to Gridcoin let's co-sponsor many different science fairs around the world.  Gridcoin leadership said that Gridcoin was not ready yet.

As you have pointed out, Gridcoin has been around for over a year, has a high market cap, advanced technology, and active community you would think they would have an active foundation doing with very many donations under their belt, right?    EMC2 is about 1/2 the community size, 1/3 the age, 1/4 the technology, and 1/5 the market cap so you might think they would be far behind Gridcoin in doing donations.   However, EMC2 has made many donations to science and is vetting a new candidate right now -- you are welcome to join the vetting committee.
 
Each coin has their own plan for how they choose to operate, there is not one-plan-fit-all for cause-coins, each operates at their own pace, that should be respected.

When I first saw this commercial I immediately thought of EMC2, it perfectly laid out why one should get involved with helping EMC2 -- well at least 3/4 of the commercial.  
Notice that the whole commercial was only 30 seconds -- you got the intent, subtext, and was motivation to act all in less than a minute.

The boiler plate is set, we simply need to customize it to suit our unique needs.  There are multiple ways to help in this endeavor:

5)  edit material
and
6)  ask others to help

This project should be completed within a week, after which time the board will vote on it, if approved it will then go to the community for adoption.

I welcome Varvarin to the Einsteinium Foundation Board of Directors his election marks a milestone for the EMC2 community as well as this board.  

I've appointed Varvarin Chairman of the Vetting Committee for the 'sleep deprivation research' project.  

The EMC2 foundation is seeking to create a set of bylaws to enable everyone to easier know the more common things we do or are expected to do.  Once completed, committee chairmanships will be allocated.  Here are some examples of some standing committees EMC2 will need: membership, finance, elections, intercoin, charity project, mining, development, security, fundraising, communications, and marketing.   The Vetting Committee will change from project to project.

We are seeking and finding more ways to make EMC2 more attractive as an investment, a currency, and as a charity, and in so doing making it a stronger cryptocurrency.
