As you may be aware, it is proposed that a Cayman-incorporated entity (the “Company”) will, subject to market conditions and other considerations, conduct a private placement of Class B equity shares (carrying ordinary dividend rights but no voting rights) subject to the terms and conditions to be detailed in a private placement memorandum (the “PPM”) and the definitive documents to be entered into in relation to the transaction (the “Documents” and together with the PPM, the “Definitive Documents”). The principal asset of the Company will be an artwork. The private placement will be conducted pursuant to an automated Dutch auction process.
The KYC process and the Dutch auction process is being conducted by Maecenas Fine Art (BVI) Limited, a company limited by shares incorporated under the BVI Business Companies Act 2004 (as amended from time to time) with BVI Company Number 1967940 acting as agent of the Company (the “Maecenas Agent Entity”).
Role of Maecenas: “It is proposed that a Cayman-incorporated entity (the “Company”) will, subject to market conditions and other considerations, conduct a private placement of Class B equity shares (carrying ordinary dividend rights but no voting rights) subject to the detailed terms and conditions to set out in the transaction documentation. The principal asset of the Company will be an artwork. The private placement will be conducted pursuant to an automated Dutch auction process. Certain Maecenas group entities will be appointed as an agent of the Company on certain matters in relation to the transaction including assistance with completion of KYC on potential transaction participants and providing the platform for the conduct of the automated Dutch auction of certain shares of the Company.
For the avoidance of doubt:
No Maecenas group entity will be providing any financial advice, conducting financial promotion or any activities equivalent thereto in relation to the transaction.
None of the Maecenas group entities are a financial institution or are licensed by or under the supervision of any financial supervisory authority or provide any licensed financial services such as investment services, capital raising, fund management, management of a collective investment scheme or investment advice.
No Maecenas group entity is acting in any fiduciary capacity on the transaction and each such entity has neither assumed nor will it assume an advisory or fiduciary responsibility in favour of the Company or any transaction participants.
No Maecenas group entity has any obligation to the Company with respect to the private placement except the obligations expressly agreed in its capacity as agent.
Maecenas group entities may be engaged in a broad range of transactions that involve interests that differ from those of the Company and other transaction participants.
No Maecenas group entity has provided or will provide any legal, accounting, regulatory, tax or other technical advice on the transaction.

The KYC process and the Dutch auction process is being conducted by Maecenas Fine Art (BVI) Limited, a company limited by shares incorporated under the BVI Business Companies Act 2004 (as amended from time to time) with BVI Company Number 1967940. The web platform for the KYC is operated by Maecenas Fine Art Ltd., a private limited company incorporated in the United Kingdom with registration number 09838135.”
