Have you looked into multisig? The 3rd party cannot take the coins, only mediate.

Also, I've decided that before I post a guide, I'm going to figure out how to compile QT and for windows, and change the "bitcoin" text throughout the clients to "whatevercoin". Same with the data directory etc.

You can't have a decentralised exchange. Where would you store the flat?

The system doesn't store the fiat.  Brokers in the system handle that in the thousands of ways fiat is transferred and stored currently.

The banks might decided to refuse dealing with them. The brokers are then the single point of failure.

It isn't just the nonce that increments to find a valid hash, you constantly hash the block header completely. The block header contains other data such as version, hash of previous block header, merkle root, time and bits. Your merkle root hash will be different to everyone else. This means no-one else is hashing the same data.
