Andrej Brda is the real person under the Second Life avatar Wili Clip.




All our allegations are fully backed by evidence. We present links to documents in the present text. No information is given about innocent people or even about his accomplices.



He is the CEO of Second Ads, one of the most profitable companies of Second Life. He was claiming having monthly revenue of 1,600,000 lindens with expenses of only 157,000 lindens (of course, he changed this data, but we have a scan of the original page):

Taking in account the usual value of the linden of about 1 usd=250 Lindens, we are talking about monthly revenue of 6400 USDs.

In March 2011, Andrej Brda made an initial public offer of shares on his company on the Second Life Stock Exchange SL Capex (www.onlinecapex.com) and, in September 2011, he did a supplementary public offer. Because of a stock-split 1 to 5, the company ended with 17,500,000 shares and the CEO with only 47.3% of them.

The IPO was for 1,200,000 shares at 2L with a total amount of shares of 3,000,000 (http://www.sluniverse.com/php/vb/commercial-announcements/55757-second-ads-has-launched-ipo.html), thus the total Brda earned should be 2,400,000L. He claims he didn't sell 60,000 shares without presenting reliable evidences, but he confessed that he received 2,280,000 lindens from the IPO (see his message quoted here: https://bitcointalk.org/index.php?topic=1346981.msg13896941#msg13896941).

The SPO was planed for more 1,500,000 shares (see http://www.secondads.com/ADS_SPO_Prospectus.pdf), but at 6L each (check https://www.onlinecapex.com/home/story/ADS/4030). The earned amount should have been 9,000,000L. But on the same post Brda claims he only earned 3,000,000 Lindens. However, he doesn't present any evidence that the final number of shares sold was changed from 1,500,000 to 500,000 shares.

Therefore, according to published documents, the total money earned by him with IPO+SPO should be 11,400,000L; that is about 45,600 USDs. He claims with insufficient evidence that he only received 5,280,000L (and he even has the nerve to try to remove from these earnings Capex fees, paid with shareholder money). In any case, he confessed that he received from the IPO+SPO 21,035 USDs (at current rate of 251 Lindens per USD).

In all these years, he only paid back about 5,252,364L (check the scan above) and he pocketed half of them. So, he got 11,400,000L from shareholders (or, in his version, at least, 5,280,000L; 21,035 USDs), but only paid dividends to them of about 2,625,000L (10,500 USD). Thus, he directly stole from the shareholders more than 35,000 USDs. Even in his confessed version, he directly stole 10,535 USD.

He couldn’t run away with the money, he would lose all those earnings of Second Ads. So, in the first months after the SPO, he paid honest dividends. But, then, slowly, he started to test his luck. Let’s lower the dividends and see if something bad happens. Nothing happen? Let’s stop paying according to the plan.

He hasn’t pay any real dividends for more than 2 years. He only paid a few bucks. He lowered all the dividends (check the scan above) since the middle of 2012 in a deliberated policy to stop rewarding shareholders and lowering the stock price. At that time, he was thinking to buy the shares at very low prices. But later he decided he didn’t have to even try to buy back the shares. He could just keep ignoring shareholders’ complaints.

He decided to do a reverse stock split ten to one on 22/11/2013 with the same intention (against the will of most of the other shareholders). Even taking in account that the number of shares went from 17,500,000 to 1,750,000, the stock price crashed from about 1.75 per share in 2012 to 0.08, being now at about 0.2.

All shareholders are losing serious money because of this crime.

At least the last SPO was made when he was already planning about stop paying dividends, so this was a fraud. He would never sell more than 50% of the shares if he wasn’t thinking about scamming shareholders. According to the prospect (http://www.secondads.com/ADS_SPO_Prospectus.pdf), he intended to end up with just about 1/3 of the shares.

Beside the money earned by the IPO+SPO, Brda also stop paying dividends that he had a duty to pay to shareholders. But he simple decided to ignore the rights of the other shareholders and stole all the profits to himself. That is also a crime of embezzlement under any National Law. Actually, he has less than 50% of the shares, so he is stealing from the majority owners of Second Ads.

Moreover, as we wrote above, he changed the amount of ADS's monthly revenue from 1,600,000 to 180,000L on https://www.onlinecapex.com/symbol/ADS/profile .
When someone makes a suddenly change like that there are only three alternatives and all of them imply the conclusion that he is a liar: he was lying before, he is lying now or, probably, he was lying before and is also lying now.

If he was lying before, by exaggerating profits, he did that in order to trick shareholders to buy ADS shares. This is a blatant criminal fraud.

Now, that he is willing again to buy back the shares for cents and don't want to pay fair dividends, he is lying again, by clearly fake very low revenues and profits. Again, that is criminal fraud. He is inducing shareholders to sell cheap with fraudulent lies.

The global amount of dividends stolen, currently, in February of 2016, amounts to 6,095,200 Lindens. At 251 lindens per 1 USD, that is 24283 USDs.

Let's show the math that justifies this figure. Brda had a duty to pay monthly dividends, as he did in 2011 and 2012. Let's accept as good the median amount he paid each month in 2011, even if since that he expanded business, with more games and customers. Remember, he claims on the page quoted above (https://www.onlinecapex.com/symbol/ADS/profile) ADS has a monthly profit of 1,443,000L. But let's use conservative numbers and calculate his duty based on the 2011 numbers.

He paid during 2011 in dividends about 2,742,000L in round numbers. Divided for the 9 months where he paid dividends, we get a median amount of 304,666L per month. Let's make it 300,000. So, according to the values paid when ADS was a starting company, he has a duty to pay 300,000 lindens in dividends per month.

In 2012, he paid 2,389,000L. But he had a duty to pay 3,600,000 (12x300,000). Therefore, he didn't pay 1,211,000. The other shareholders had a right to receive about half of this amount (since he had more or less 50% of the shares of ADS). So, in 2012, he stole from shareholders 605,500 lindens.
In 2013, he only paid 70,000 lindens. He failed to pay 353,0000, therefore he stole from shareholders 50%: 1,765,000
In 2014, he only paid 47,000. He failed to pay 3553000, consequently he stole 50% of that: 1,776,500
In 2015, he only paid 1,000. He failed to pay 3599000, consequently he stole 50% of that: 1,799,500
In 2016, he only paid 2,600. He failed to pay 297400, consequently he stole 50% of that: 148,700

Therefore, even if we accepted the amounts he confessed as the money he earned with the IPO and SPO [2,280,00 (IPO)+3,000,000 (SPO) = 5,280,000 Lindens, that is 21,035 USDs], to this amount we would have to add at least the 6,095,200 Lindens (24283 USDs) stolen in dividends from 2012 until February 2016. The total stolen by Brda from the shareholders would be 45318 USDs.

But according to his own SPO prospectus and posts, the total he earned from the IPO and SPO was 11,400,000L; that is about 45,600 USD. With all the stolen dividends, he stole a total of 17,495,200 Lindens or 69,701 USDs.

Of course, this figures are very conservative and can be changed later, after the discovery of evidences about the real profits of ADS. It's possible that he real is making  1,443,000 monthly (5749 USDs) as he claims.

There is no doubt that the Second Life avatar Wili Clip is operated by the slovenian Andrej Brda.

He was explicitly mentioned on several websites associated with Second Ads (secondads.com, goldtokens.net, kingdomsandempires.com, www.snufflesbreedables.net, avatarads.net, linkpie.net, second-website.com) until he decided to start scamming shareholders and tried to hide his identity using whoisguard.

But his identity is still registered at several sites:

The address Street Tomsiceva 3 (Tomšičeva ulica 3), Lendava, Slovenia, is correct (except the postal code; now it’s 9220). It’s the address of the Brda family. I’m not going to post his father’s name or the current phone number, since he isn't guilty of Brda’s crimes. But it isn’t Brda's current address, since he is living in the center of Ljubljana.

Beside the email brda.andrej@gmail.com, he also published on the Internet the email bbrda@hotmail.com and his own phone, the same used to register the websites. The number seems to still be active: +386040601934 (we sent Brda the same SMS we sent his father).

We have information that, currently, he lives with her girlfriend (we won't post her name until we have evidence that she is more than a simple accomplice) on the Municipality of Kamnik in the Upper Carniola region of Slovenia.

We'll post the full address as soon as we have hard evidence on it.

There can be no doubt whatsoever that the scammer and criminal Wili Clip is the slovenian former judo player and programmer Andrej Brda.

The main points are:

Wili Clip is operating a company on Second Life that he owns only at 47.3% and is stealing all the profits. That is a crime of embezzlement under any National Law. And, most certainly, at least the last SPO was made when he was already planning about stop paying dividends, so this was a fraud. He would never sell more than 50% of the shares if he wasn't thinking about scamming shareholders.
It's clear that Capex is now outside Second Life, but the shareholders property over Second Ads was created when Capex was a Second Life company, that used lindens and had ATMs operating in Second Life. And Second Ads is still operating on Second Life.
This isn't just a question of a breach of a contract. Shares on a company create rights protected by property. By refusing to pay dividends, in reality, Wili Clip stole Second Ads from its majority owners, the other shareholders, and is operating a stolen company in Second Life. This isn't much different from an individual that steals the account of another one and takes his property in Second Life.
Moreover, we are not talking about a few lindens. We are talking about thousands of US dollars. Lindens are a fully convertible digital currency (www.fincen.gov/statutes_regs/guidance/html/FIN-2013-G001.html), therefore they have economic value and scams/frauds/embezzlement are criminal activity. We can complain to the FBI division on internet fraud (see https://www.ic3.gov/default.aspx), but that will mean that Second Ads sites would be seized. That will affect Second Life economy. Linden Labs won't want that.

Next: complain to the slovenian authorities.

Ok i am a new user, i dont hide that, and this is NOt my name on secondlife or within the Capex system, I wont say who i am however ... after reading comments here i just have to say something

Wili Clip .... ive seen a massive conversation with a person yesterday and his "claims" of hes going to pay dividends (yes i to am a shareholder in ads on a name not used here) and im very disapointed in Wili Clips responces and how HE is attempting to bring down the CapexOnline system so he doesnt have to pay (as that what it looks like hes trying to do ... now let me point out a few facts from the conversation that ive seen, which is posted on a well respected website ...

1. - Wili Clip AKA and RL name Andrej Brda is claiming that the reson hes not paying divendends for jan 2016 is because of some sort of harrisment and demands that skip (the owner of Capex) remove this person from his shares (without compensating them for rl money) and disolve thier shares then he will pay Jan divedends.

2. - Wili clip has NOT paid any divendeds to ANY share holder since 18th October 2015 and has stated in the conversation that hes and i quote "NOT paying back divedends as Capex was not accepting money", now if you look at the past payments youll see they were montly payments ....

since 2013 he has been paying a substandard amount compaired to his "claims" on his site of what hes actually getting in, i mean seriously he is claiming to be bringing in revenue of over 40k in L$ a DAY virtually no over heads and only pays a measly 1000 out to share holders? maybe his claims on his site are false and hes guilty of false advertising, which is actually against the law as well.

3. Snuffles - now he also claims these are doing great however has NOT paid a single dividend since 2012, effectivly scamming and fraudlently pocketing the money, also hes guilty of theft as back in 2015 when capex came back to full operations he has NOT posted the 2500 GIFT he was given in the snuffles side by skip and the Capex Team, instead quite possibly cashed that out and kept the money.

4, i do know for 100% fact that a big estate company who is a investor in Capex and quite a few companys in capex exchange (yes i know its still a risk) is really close to banning all of Wili Clips products from thier sims (roughly 250) also they are very friendly with some of the bigger estates out there and i wouldnt be shocked if they to ban a fraudsters products from thier sims, why would anyone allow a fraudster knowingly earn money from thier sims, its against LL TOS and they can loose thier accounts, and the huge estates if they loose thier accounts will be severly pissed off.

5, Wili Clip also claims that hes NOT paying anyone any dividends until something to do with the capex owner is resolved, now ive a idea what that is after a lot of research, but to be quite frank, WTF!!!! has paying divendeds YOU OWE share holders got to do with anything thats yet to be proven in a court of LAW, or are you one of these asswipes that throw stones befor finding out the truth, cause that makes you no better than these islamaic twats thats killing inocent people (yes i BRAND YOU THE SAME AS THOSE TWATS)

Wili Clip seams to think its ok to post a and i quote from his own words "proposed payment" after his post back in january on the capex system, this is UNAACEPABLE what about all of 2015 and ALL the missed months, where the hell are those payments, seriously Wili, you need to stop finding excuses to pay, stop making up LIES and CRAP about anyone else, and just PAY what you OWE people, then there wouldnt be any of this ........ For Brda, any people demanding respect for his rights and threatening with the police is a blackmailer. I wonder if he is going to call the police and the judge blackmailers too when they force him to pay us.

The funny thing about his post on Capex is that only gave us publicity to all shareholders. It's giving this post great visibility, because people search google for it. It already has about 600 views. Another shot Brda gave on his own feet. Soon, there will be more of us demanding respect for our rights.

It's also laughable his whining about how our threats to go to the police are "unreasonable". There are people in jail for stealing a wallet with 5 USDs. But he thinks he can steal something like 60,000 USDs (very low estimation: 17,500,000 shares at a top price of 1.75% in 2012=30,625,000 Lindens; he sold about 50% of them, so 15,312,500 Lindens; that is 61250 USDs, forgetting all the profits he stole or the interest he, at least, should pay for this money) with no consequences.

He is at his best when he says that he paid us all with the 11% of shares he gave shareholders on SNUF, keeping more than 88% for himself. Of course, the price of SNUF shares also tanked and he hasn't pay a dividend on SNUF for ages, but that is a detail. And he has the nerve to say he stopped paying dividends because of Capex's suspension. Capex has been open again for trade for months and dividends: 0 on SNUF and almost 0 on ADS. It's like trying to pay 60,000 USDs with a cup of tee and a scammer smile.

What about the way he writes that we are saying that he tanked the price and bought cheap shares? What we say is "In that time, he was thinking to buy them cheaper. But later he decided he didn't have to even try to buy back the shares. He could just keep ignoring shareholders' complains". He decided it was a waste of money to buy ADS shares. No one (except Cash) was doing anything or even protesting. He could just steal the company from us.

As far as I know, Brda probably is asking the owner of Capex that all people involved on this protest to be excluded from being a shareholder. Well, he received an answer from the owner rejecting any disciplinary action, so, I wouldn't bet on his chances to get what he wants.

With this action we are also defending the future of Capex, because with no dividends, Capex will slowly die. I bet some of the other CEOs that don't pay dividends (and there are a lot of them, the one from Earn2Life is another asking for it) are thinking twice. They can be next.

    Wili Clip claims to have 40k in L$ a day comming though his hands, ok fair enough thats quite alot of money when cashing it out (Roughly 150$ a day when selling to Linden Lab)
    so 150$ times that by 7 days a week works out to roughly 1050$ a week
    so 150$ times that by 30 days for a month roughly 4500$ a month he claims goes though his hands
    Overheads or less than 4k L$ a week so works out to rougly 4390$ in profit, yet pays a measly 1000L$ (about 10$) to share holders


Now lets do the math so he knows EXACTLY who he is messing with here and who not to piss off

comming though my hands on a daily basis roughly 250k in L$, yes thats right Mr Clip im over 5 times your income, so you really think i cant afford to make a loss just to hurt your pocket, think again, im not the kind of person you really want to upset, and think thats a threat, might want to read it right, i do not make threats ... See i was up until yesterday considering adding a bitcoin system using Wili clips software to our site to allow payments, which in thery would have bought in a lot of "comissions" for him, however i am now scrapping that idea and going to go to bitcoins directly

The most amazing thing on his Capex post is that he tries to present himself as a honest person that is being victim of blackmail. It seems he really thinks people will believe that.

wili Clip has no idea whats comming, the ads system i can do a lot chheaper than his and offer a better system and way of advertising for a fraction of the price, i have my own server network from a very respectable hosting company i currently use and can very easily add to my quota if i need to and still make a profit to pay for it, see wili seams to forget, there is always someone bigger and better out there, and ive 250 sims ive access to and currently 3/4 of a full sim i dont even use thats been sat empty for almost 2 years, have i had to pay out of pocket for it, lol, no havent had to pay anything since i bought the sim

Unfortunatly Linden Lab wont get involved in interpersonal issues and thats what this is classed as, its also money thats been paid off thier website so they have zero control over it, nor the rescorses to colaberate what has actually gone on.
