Can the FundCoin token be said to be a  security for the purpose of Howey test applied in the US-SEC guidance of late?

That's a good question, and this subject is rather unclear yet. The Token has more features as a product and we position it as a product, so we have easier the listing procedures.

We use the Ethereum infrastructure for issuing tokens and smart contracts. Our tokens are ERC20 compliant and are stored on Ethereum wallets which support this protocol. You can do it by trading FND on Cryptocurrency Exchanges (the list of exchanges will be announced later). FundCoins will be traded at the open exchange, and you will be able to sell them whenever you want.

For some reason, we can't disclose all the details before the official announcement, but we can say that now the Fundcoin will be distributed among several venture funds that specialize in blockchain. Portfolio of these funds will be available in the coming days.

If that is true for your fund how then you will distribute profits quarterly ? How you will make profits quarterly?

1) The funds will be different, VC Funds. They will be revealed soon.  The ICO concept has been changed.
