I am wondering if you can just call up the governing agency and just ask if they have us under investigation.

I asked Ken months ago if it would be a good idea for a couple of shareholders to get in touch with the MSD to tell them we are happy with the shares being traded but he said it would be best to let his lawyer (who he had just hired) deal with it. They are not going to impart any info to a cold caller I don't think. They will be dealing with this lawyer and any other non-official contact will be filtered out. They are not there for dialogue but to investigate a complaint and connect directly with the relevant parties. It would be like calling the IRS and asking if your neighbor was being investigated - legally they probably can't comment.

As I see it they are looking at/ruling on a possible technical breech of the securities regulations in Missouri. So yes it just applies to US but specifically just MO citizens I think. The deciding factors will include have securities actually been issued? Have they been issued in MO? Have any MO residents bought any? etc etc. It is a grey area and the MSD might be waiting for legal advice before getting back to Ken. They have their part to play, they are there to protect citizens and we can't criticize them for that as it's a good thing. Unfortunately the BTC world is in a grey area and exchanges have opened up and people have used them in good faith thinking BTC was not regulated. Let's hope they take a reasonable approach with this company which is paying it's taxes, creating jobs and doing its bit for the US economy.

I thought Mirceau that you might come back with a denial (you can't I suppose as your intentions are in black and white) or some sort of legitimatizing excuse as to why you are breaking the IPO promise. But no, you post another silly little picture.

Fellow Bitcoin community members, is this the behavior of a rational mind? Should someone with this much disregard for his own investors, his own retail customers and his own trade clients be trusted to run a securities exchange? I think not. I think this man needs to be in a prison. God save any of you if you have trusted this man with your money. Get it out while you still can because this little bunny is going all the way to the US of A, first class courtesy of the FBI. If he doesn't at the very least he will run off with your money. Don't become the next victims of the Bitcoin criminal class.

Mirceau Popescu is cashing out and selling chunks of MPOE/MPEx.

Why now? The timing is suspicious - an SEC investigation with a possible immanent freeze on all MPEx securities and assets. So clearly Popescu wants to get his grubby hands on as much BTC to hide away as he can before the SEC and Romanian authorities close him down.

But he is free to sell MPOE you may think - well there is this one thing, a clause in the MPOE IPO document, I think this is pretty explicit in its meaning:

2. THE INITIAL PUBLIC OFFERING
2.2. The Terms of the IPO.
(a)Mircea Popescu has elected to divide MPOE/MPEx into 1`000`000`000 (one billion) equal non-voting shares......Mircea Popescu further warrants that he will never sell more than half the total shares.

When does 'never' mean 'actually I've changed my mind'?? Answer - when he needs to run, here is what he is now saying:

So Mirceau is a confirmed liar and scammer. He lied to IPO investors about his intentions to sell MPOE and he is scamming them as he dumps this stock and prepares his way to the EXIT sign.

Mirceau you haven't got a friggin clue about the real world. Most realworld startups trade below IPO - infact most startups fail! That is 100% the norm - and an in a high risk BTC industry where BTC has fallen significantly that is even more likely.

This account was registered today just to back up MPEx. So you are reading the words of Mirceau Popescu - a Billionaire. Can you see the level the guy is on? He is a snidey immature little lost soul. A pathetic creature. That's not my prejudice - it's just factual! If you want to entrust your business to some Romanian guy who thinks it correct to behave like this and thinks it's right to try to destroy other businesses in the Bitcoin community then don't say you weren't warned.

Just so you know Mirceau Popescu the scammer who runs MPEx is a highly active Troll on here with around 15 accounts. He is posting in this thread as:

His accounts are not too difficult to spot, they are usually newly registered and almost every post is either attacking/Trolling Active Mining or promoting MPEx.

I'm sure many SEC full-blown investigations begin with this sort of contact. Popescu has point blank refused to cooperate with the SEC and has openly mocked their inquiry. What happens next is open to conjecture but he has and continues to brake laws on operating an unlicensed securities exchange under Romanian and US law. If there was hard evidence that he manipulates his volumes I would send it to the SEC. Only an analysis of his software/computers would reveal hard evidence. But he claims to have a huge and growing traded volume going against every trend in stocks and exchanges in the Bitcoin sphere - red flag. He also claims and is listed as a Billionaire, yet he charges access to his blog for $5 a day - red flag. His MPOE is valued at over 400Million dollars - by himself. Reg flags everywhere.  This guy Trolls for up to 16 hours a day yet claims to run a successful business - red flag. He is a dirty Trolling scam artist like no-one else in this industry. He is going to jail, no citation needed.

That was a quick turn-around. With respect, I think an exchange that could be holding millions of GBP of other peoples money needs to be run by a team with more credentials, track record, and business and life experiences than you currently have. This is already a high risk industry and you look like a high-risk proposition to me. Others might think otherwise, goodluck.

I'd love to see a UK based exchange (we need more exchanges) but you need to build up a huge amount of trust and that for me takes more than the meager details on your newly created AngelList page. This quote from that site is another huge concern for me:

'The exchange also provides us with the capability of creating other services, and to take advantage of arbitrage opportunities, provide merchant services and many other exciting opportunities.'

If you are operating a trading exchange and a casino and playing the market between exchanges I see you as very high risk individuals who won't necessarily have the safety of your customers deposits as a priority. You are basically saying here that you will rig your exchange spot price in order to take profit either from your own depositors or attempt to take money from depositors at other exchanges. Have you checked this strategy with the FSA? I think as the exchange operators it could get you locked away.


One thing you haven't even mentioned and it's actually the most important detail - security. You will need to hire an online security expert who protects deposits from hackers and company employees. The huge failings at Bitfunder/WeEx and MtGox and NeoBee mean security is the No. 1 issue for a holder of large bitcoin deposits. You have failed to consider this it seems.

This bit concerns me. Do you have a written assurance that your banking services will not for any reason be closed or withdrawn or charged excessively? If not how will you ensure you can remain in business if the bank you have the account with decides they no-longer wish to support the Bitcoin industry?

And the bit about 'more shares may be sold' is a non-starter. So you could devastate the share price with a huge share dump at any time and for any reason?
