Everyone talks about STOs but no one exactly knows how it will interact with the legacy jurisdictions... What do you code in a security token? Equity? Voting rights? Votes? Dividends?
If it's Dividends and equity isn't this a convertible note? Debt?

I think we still have to wait for regulation to follow through this before you make any hasty decision around STOs.

If STO done right it doesn't interfere with the legacy legal rules as per that jurisdiction. Just need to know what type of STO is compatible within which jurisdiction.

E.g. in the Netherlands STO'ing equity  would require a notary deed (from a notary) every time equity changes hands. This wouldn't make it the greatest fit.
Now if we use a construction such as the dutch STAK, we are able to trade economic rights derived from the equity without requiring a notary. Thus making it viable to STO economic rights (which in many respects are similar to equity) in the Netherlands. Its a matter of knowing what can be done, and how it should be done.

Do such constructions exist in most other countries too or is the legal situation of the Netherlands one of the exceptions?

And is this a form of legal arbitrage in which the situation could change as soon as the regulators or government notice such constructions are circumventing the intention of the law?

might be the other way around first: the law changing to support these new constructions, as the dutch government is quite supportive of this technology

Its written there that STO has lower costs and complexity, programmable set up, and more simple for global investment.
I don't know whether this article is concrete or not but it gives me insight. Whats your opinion about this article?

I think the main different is that security tokens will be licensed and regulated by SEC and other financial institutions. And investors will be protected from scam. This is themain different. We have scammed many times by fake ICOs etc. So I hope security tokens will be next step in crypto and we will be able invest without risk  Roll Eyes

The SEC's intervention in the crypt bothers me a lot, but this can be a step further this time, unless it's something very strict and narrow, which throws too much of the concept we're looking for. I hope we have news stories related to STO soon, and consequently the whole crypto

SEC must give answer about ETFs untill end of February (this is last deadline). May be after this they provide some rules for STO projects. I think they are ready for this, but not all prject want to follow rules, because 90% of ICOs in 2017-2018 - were scam. So this securoty tokens really will give us some defense.

It looks like we are very dependent on SEC which is a paradox since crypto wants to be anonymous and decentralized  but on the other hand, you need some rules to prevent scams from taking over ICOs like it happened last year.

yes, this is a funny and sad situation. Half the community wants more regulation, the other half wants less. I think if there is no regulation naive and gullible people will fall for scams and this will prevent crypto from attracting more users.

I think what you mean here is the different between STO and ICO, but I was talking about STO and IPO.
But about your opinion, I agree that investors will be more protected/safe with STO and there will be less risk (not without risk actually).
And if STO is a success thing in crypto, I think people will ignore ICO because they will eventually think that its just unqualified project.

I am also interested in this issue. Besides, will there be other exchanges?
Since Bitfinex is an exchange not for small investors.

Well, the release if the the mainnet will be half a year from now. That's plenty of time for them to negotiate if Bitfinex will support the swap and to inform us if we can keep the ERC20 tokens on the exchange or if we have to hold them in a wallet where we control the private key.

Its a bit ironic and somewhat difficult to enforce regulations in decentralized environments such as blockchain projects and that is why I'm thinking it will still  prevail in the future. Imho.

so the dusk tokens will be released initially on the market as erc20 and only after about six months there will be a possible swap, i hope the team make agreements with bitfinex so that the swap can be done directly on the exchange, i think a regulating of sto on a blockchain decentralized is quite difficult...

Most of the time, reputable exchanges making swap without having any problem. But an official confirmation would be also good too.

Most of the time, reputable exchanges making swap without having any problem. But an official confirmation would be also good too.
Bitfinex is a great exchange to make a swap, but, in the swap time we've more exchanges for this possibility

I prefer 1300 real followers or even 130 real followers to 120.000 followers come for the airdrop.

Same thing is appliable for all other social media accounts.
