Karmashares LLC Code of Conduct and Ethics
(Version 2)
“THE CODE”
I. The Ideals
“Doing and Being Good” is the very core foundation of Karmashares LLC (“the Company”) and Karma, “the Coin” that it operates, embodied into the Karmashares LLC Code of Conduct and Ethics (“the Code”) to govern as guidelines to all Company members and/or to all Karma holders/owners (whether or not members of the Company) in their day-to-day operations, transactions, dealings, and communications directly or indirectly related to Karmashares LLC’s business or to Karma’s campaign.
The core foundation is defined as the “Karma Way”, the good way to be members in the Company and/or holders/owners of Karma, driven by the desire and passion to seek ways and means to help Karmashares LLC and Karma become more valuable, and in return will be able to help out big those people-in-need and struggling communities.
II. The Values
The core foundation thrives on the values of honesty, responsibility, accountability and teamwork as witnessed through personal commitment by its members on making a valuable, dynamic and productive Karmashares LLC. As members of the Company and/or holders/owners of Karma (whether or not members of the Company), honesty is being true to oneself, to others and to the Company and to the Coin; responsibility, being able to carry out duties or tasks with passion and commitment; accountability, being able to stand to the consequences of one’s own actions and see them optimistically; and teamwork, able to work effectively with people in the group through a considerate, dedicated, and goal-oriented collaborative sense of productivity.
III. The Code Overview
The Code will lay out specific provisions regarding appropriate actions and behaviors necessary to facilitate a smooth, considerate, respectful, safe and healthy environment conducive for the Company members’ and/or Karma holders’/owners’ positive growth and insights in their dynamic interactions to make Karmashares LLC and Karma achieve its missions and goals. It will also specify consequences of actions deemed “un-Karmic” or inappropriate resulting from not following the Code.
IV. The Subjects of the Code
All Karmashares LLC members, regardless of affiliations, positions, or designations, and/or all Karma holders/owners (whether or not members of the Company) are subjects to this Code. Everyone, starting from being an independent Karma holder/owner to being starter-member up to the First Moderator of the Company, whether or not a member of the Karmateam or a member of the Company, has to observe the Code.
V. Places to Observe the Code
Observing the Code must be a personal commitment by the members of the Company and/or holders/owners of Karma all the time in any media avenues, where Karmashares LLC as the Company, its businesses or IPOCOs and its interests; and Karma as the Coin, its concept and specification, its scope and nature, and its purposes and updates are discussed, commented, illustrated, portrayed, or communicated. Specific social media platforms currently used with significant Karmashares LLC members’ and/or Karma holders’/owners’ interactive presence are found in subreddits Karmashares and Karmateam, Bitcointalk, Facebook, KarmaHangout, IRC Chat, Karmashares Forum, Karmashare.me and other public or private channels. The same Code must be observed by Company members and/or Karma holders/owners when interacting in physical forums and gatherings, and communicating in television, radio or newspaper.
VI. The Code Specifics
1. Involvement
All Karmashares LLC members and/or Karma holders/owners (whether or not members of the Company) must promote the Company and Karma, the Coin, in a positive manner and with a positive attitude. Promotion means the supporting or giving help in any ways possible for the Company’s and its various IPOCO’s development and Karma’s campaign. Individual Karmashares LLC member and/or Karma holder/owner (whether or not a member of the Company) must strive to volunteer or offer his/her talents and skills in any capacity for the success of the Company and the Coin.
2. Respect
All Karmashares LLC members and/or Karma holders/owners (whether or not members of the Company) should respect each other. Respect must be upheld in calm, positive and responsible and accountable manner in dealing with individual Company member’s, or Karma holders’/owners’ opinions, ideas, level of skills, views or judgments as communicated through comments or posts in various social media platforms. Insulting, accusatory, aggressive, unfounded, malicious posts or comments must be avoided at all cost. Furthermore, vulgarities, profanities, sexual innuendos, sexual harassments, connotations bearing racism and other negative conduct behaviors in expressions or physical actions are deemed unacceptable as well and therefore not tolerated.
3. Confidentiality
All Karmashares LLC members including moderators and/or Karma holders/owners (whether or not members of the Company) are to keep any conversations deemed "Private" or "Confidential" as such. No exceptions will be allowed. Any information derived in part or whole from private team discussions/private messages/emails are to be strictly guarded from public dissemination in any form, which includes social media platforms of any type, public or private channels, and various methods of communication such as email, forums, telephone calls, TVs, radios, newspapers and others.
4. Preservation of Interest
All Karmashares LLC members and/or Karma holders/owners (whether or not members of the Company) must ensure that they are upholding and preserving the interest of Karmashares LLC and/or Karma, the Coin, in every dealing or action they do in their respective households and communities. Karmashares LLC members and/or Karma holders/owners (whether or not members of the Company) should always be mindful of personal decisions and actions not to detriment the business of the Company in any way, and Karma’s progress.
5. Protection of Assets
All Karmashares LLC members and/or Karma holders/owners (whether or not members of the Company) must protect Karmashares LLC’s various assets in the forms of websites, servers, patents, trademarks, monies, IPOCOs, software algorithms and codes, firmwares and others. Protection means helping to maintain the integrity, speed and performance, merchantability and marketability, competitiveness and value, rights and ownership, and legal compliance— up to an acceptable or even beyond standard through feedback mechanisms, constructive criticisms, technological upgrades and procurement, monitoring and evaluation.
6. Publication of Information
All Karmashares LLC members and/or Karma holders/owners (whether or not members of the Company) must coordinate with the relevant Board of Moderators of Karmashares LLC when communicating or publishing certain information about the Company and its business or Karma and its specifics and campaigns to any type of news outlets or any social media platforms, deemed critical to the future success of the Company’s business and Karma’s progress. The member and/or the coin holder/owner should provide a copy of the information to be published to the concerned Workgroup Moderator, who will concur with the First Moderator for the approval or denial of the publication. The information to be published can be sent through Karmashares LLC website’s contact page,
http://karmashares.com/contact or as a personal message to the concerned Workgroup Moderator.
7. Reporting
All Karmashares LLC members and/or Karma holders/owners (whether or not members of the Company) are caretakers of each other’s well-being in Karmashares LLC’s business environment and in Karma’s economy. At that, any incidental or deliberate disregard of the Code as acted by any Company member and/or Karma holder/owner (whether or not a member of the Company) can be reported through Karmashares LLC website’s contact page,
http://karmashares.com/contact for further actions. Reports must mention in the message section the following information: the offending comment(s) or post(s) or action(s), the place(s) or media platform(s) they happen, the specific date(s) and time(s) and name of the alleged violating Company member and/or Karma holder/owner; and the Code provision(s) that is/are violated.
8. Notice of Violation
Once the violation(s) is/are reported, the alleged violating Company member and/or Karma holder/owner (whether or not a member of the Company) will be sent a personal message through the media platform where the violation(s) has/have occurred; if not, through whatever available personal communication medium by a designated Company person. He or she is informed about the reported violation(s), and is given three (3) days to explain his/her side of the report/complaint. Once explanation or response is received, he/she will receive recommendatory consequence of the alleged violation(s). If found out nothing is violated or the report/complaint does not warrant any violation, the report/complaint is dismissed. If found out that there has/have been violation(s), the recommendatory consequence(s) will suggest removal of comments/posts or amendment of actions. Both reporter and the reported will receive updates of the case through a personal message. If no response or explanation after three (3) days of initial communication or disregard of the recommendatory-consequence communication by the alleged violating member and/or coin holder/owner, then the Board of Moderators will decide for the removal of the violating comments/posts or any appropriate actions. Each Karmashares LLC member and/or Karma holder/owner (whether or not a member of the Company) must not exceed three (3) violating occasions. The fourth violation warrants severe penalties discussed in Section VI.9 of this Code.
9. Penalties
All Karmashares LLC members found to have not observed the Code for the fourth (4th) time, after three violating occasions, will face disciplinary actions decided by the Board of Moderators. Disciplinary actions may consist the member’s and/or coin holders’/owners’ removal from all Karmashares LLC’s activities, positions, communication, and affiliation and from its various social platforms. However, Members found in violation will continue to be allowed to vote as normal. The Board of Moderators after deliberation will decide for the disciplinary actions by a majority vote. If it happens that a member of the Board of Moderators is at issue, he is asked to inhibit himself from the Board at the start of the investigation, until a final verdict is decided by the remaining members of the Board of Moderators. The same protocol found in Section VI.8 of this Code is to be observed when addressing an alleged moderator in violation.
10. No Retaliation
All Karmashares LLC members and/or Karma holders/owners (whether or not members of the Company) must be responsible and accountable to their own actions. It means that if something has been done by you, the utter disregard of the Code or to a part of it, which has negative consequences or effects to the Company and Karma, which violation(s) has/have been confirmed, and ultimately disciplined by the Board of Moderators— then simply own what have you done, and accept the violation(s), and change for the better. Blaming another Karmashares LLC member and/or Karma holders/owners (whether or not members of the Company) for reporting your action should not be an option. That member and/or coin holder/owner is just upholding the interest of Karmashares LLC and its members, and the whole Karma economy. Retaliation in any ways or forms is contrary to the very core foundation of the Company and Karma.
VII. Board of Moderators
Karmashares LLC is a member-managed Company made up of Board of Moderators which facilitates the various operational aspects of the Company and the maintenance of Karma. The Board of Moderators is comprised of the First Moderator, Operations Workgroup Moderator, Finance and Accounting Workgroup Moderator, Charities and Causes Workgroup Moderator, Community Workgroup Moderator, HR Workgroup Moderator, Marketing and PR Workgroup Moderator and Assistant Moderator, and Technology Workgroup Moderator.
VIII. Official Announcement and Polling Labels
All Karmashares LLC members and/or Karma holders/owners (whether or not members of the Company) must be mindful that official announcement of relevant information by Karmashares LLC about the business and Karma updates will always be preceded by [OFFICIAL ANNOUNCEMENT] label. This is also true to official polling being preceded by [OFFICIAL POLLING] label.
IX. Documentation and Record-Keeping
The Karma Block Chain serves as the official record of Karma transactions, transactions IDs, wallet addresses involved in the transactions and others. Records of comments and posts can be found on various social media platforms: Reddit, Facebook, Bitcointalk, Karmashare.me, Karmashares Forum and other private or public channels. To access the records in these websites may require signing up for a membership account respectively.
X. Compliance with Law
Karmashares LLC is doing its best to comply with the applicable laws to safeguard its operations and business and Karma. It continuously pursues actions necessary to adhere to the standards of legal compliance, business stability and economic productivity.
XI. Updates
To update in this Code means to add, to amend, to waive or to change provision(s). Any member of the Company and/or holder/owner of Karma may submit a written request to update the Code, which proposal(s) is/are deemed necessary for the success of Karmashares LLC’s business operations and Karma’s progress, through Karmashares LLC’s website contact page,

The Board of Moderators, upon receipt of the proposed update(s), will deliberate and vote for EACH proposed update for resolution and presentation to the whole community. The members of the Board of Moderators will transparently cast their votes on each of proposed update through posting their respective decision on a specific thread made for the proposed update(s). Each members’ vote of the Board of Moderators is equivalent to 1 (one) point, except that of the First Moderator which is 2 (two) points, meant to break any tie-vote situation. If the proposed update(s) is/are carried out by a majority vote, then it/they is/are individually presented to the Karmashares LLC members and/or Karma holders/owners for resolution and adoption through a Poll; if not, the proposed update(s) is/are dismissed. A maximum of 10 (ten) favorable votes is needed to carry out each of the proposed updates for the Code respectively, or a maximum of 10 (ten) unfavorable votes to dismiss each of the proposed updates respectively. Every Karmashares LLC members and/or Karma holders/owners including members of the Board of Moderators will participate in the Communal Poll. The Communal Poll for the proposed update(s) will be set to 48 (forty-eight) hours. If after 48 (forty-eight) hours, any 10 (ten votes) are not achieved, then the members of the Board of Moderators, will vote again for each of the proposed updates. At this time, the same votation protocol observed in the initial voting will be followed. If the proposed update(s) has/have a majority vote, then it/they will be included in the Code; if not, then it/they is/are dismissed. An official announcement therefore of the latest Code version that incorporates all accepted and approved Code updates will be carried out at various social media platforms to inform all Karmashares LLC members and/or Karma holders/owners (whether or not members of the Company).
