1704  Bitcoin / Hardware / Spondoolies-Tech Receives Key Approval for Merger with BTCS on: February 24, 2016, 03:30:41 PM
just got this email, move it please if i posted in the wrong place, my bad if i did.

Arlington, VA – (Marketwired – February 24, 2016) – BTCS Inc. (OTCQB: BTCS) (“BTCS” or the “Company”), a blockchain technology focused company which secures the blockchain through its transaction verification services business, and Spondoolies-Tech Ltd. (“Spondoolies”), an Israeli transaction verification server manufacturer, received merger approval from the Israeli Office of Chief Scientist (“OCS”).

The OCS approval is one of two key closing conditions of the merger between BTCS and Spondoolies. The second key closing condition of the merger requires confirmation from the Israeli Tax Authority regarding deferred payment of applicable Israeli taxes related to the transaction.

Charles Allen, Chief Executive Officer of BTCS, commented, “Our merger with Spondoolies marks a major milestone for us and sets the stage for rapid revenue acceleration in the years ahead. BTCS produced year-over-year revenue growth of 1,225% in 2015, while cash used in operations was reduced by 25%. To combine this strong performance with Spondoolies’ industry leading technology, which generated impressive revenues for its first and second generation products, we’ll be positioned to create a new global leader in the blockchain sector.”

“The blockchain is set to radically change the future of transaction-based industries,” stated Guy Corem, Chief Executive Officer of Spondoolies. “BTCS has positioned itself at the core of this disruptive transformation, and we are excited to combine forces to capitalize on the immense opportunities that lie ahead. The OCS approval places us one important step closer to completing the merger.”

After giving effect to BTCS’s recent $750,000 investment in Spondoolies, BTCS shareholders will own a 69.7% to 61.2% stake in the combined company, and Spondoolies shareholders will own 30.3% to 38.8% of the combined company, based on the number of common and preferred securities outstanding immediately following the merger. The ownership range is a function of BTCS’ liquidation preference associated with its existing $2.25 million investment in Spondoolies. The final ownership percentages will be determined prior to closing.

Allen continued, “We remain committed to improving shareholder value and fully believe in our ability to execute on key strategic initiatives in 2016. We’ve demonstrated that commitment with our recent move to voluntarily escrow a large number of our founders’ shares, representing 15% of the Company’s outstanding shares, pending the successful completion of the merger and an up listing of our common stock to a senior exchange. This effectively ‘puts our money where our mouth is’ as we move forward to achieve both of these important steps ahead of their respective year-end deadlines.”

About BTCS:

BTCS secures the blockchain through its rapidly growing transaction verification services business and plans to build a broader ecosystem to capitalize on opportunities in this fast growing industry. The blockchain is a decentralized public ledger and has the ability to fundamentally impact all industries on a global basis that rely on or utilize record keeping and require trust. BTCS continues to evaluate and build additional blockchain technology consumer solutions. BTCS also actively partners and integrates with strategic digital currency and blockchain technology companies who provide products or services that are complementary to its business strategy. About Spondoolies:

Founded in 2013 by a group of Israeli high-tech veterans, Spondoolies is a transaction verification server manufacturer. Spondoolies raised ten million dollars in capital from leading Israeli venture capital firms and assembled a team of leaders in the Israeli Semiconductor industry, with the goal of building the infrastructure on which digital currencies will flourish. Building transaction-verifying servers from the bottom up, Spondoolies is producing machines that are designed for efficiency and performance. During 2014, Spondoolies successfully launched five different products. For more information visit www.spondoolies-tech.com

The community is supporting the gekko guys.  For one they make good stuff secondly if there ever is going to be a small scale miner for a hobbiest it will most likely come from these guys.

That was why i do or did:)

So now I guess it's a race, Gekkoscience et al versus miner.bz?

Even if they come out with it first and it's real, most of us in the US will wait for you, because of the support and your based in the US, that a lone makes me wait till you offer it or have it done, i even have most of the founds or will for at least two sets of boards to start .

hm, that must be some really bad insurance usually there is a 175 copay or mine has one, even, before i had medicare, I all ways had a copay and it was less then what my insurance pays now after medicare pays, when i worked .

DO you by choice have a HMO and do it  with no approval  or go out of network and didn't know if so yea then that does sux. try to appeal it 5k or whatever  for a MRI is way to much even with out insurance. but i did read some place how some states and there laws let them do that :(and charge whatever suits them . or billing can tend to be total asses and over charge they don't care either . or even double charge which is against the law any place in the US,but can be hard to prove and in most cases they can  write it off and get it back in taxes , it amazing some of the stuff medial billing gets a way with .I know i had op last AUG it cost me all most a 1000 $ it's all most paid now but it took a lot out of me etc there was other cost with just medicare i ended up paying I think my total cost ended up being 2k the op and out patient center was all most 1k even with medicare if it was inpatient and i had to stay in hosp then i was kdslkdf , my sister just had her back operated on it cost her nothing but so far the bill is at 14 k she doesn't have to pay any thing so far.

That's kind of why  i sold all most all my s5 to pay or get it down and have some cash om hand why i couldn't buy any miners this time around .i now have back up insurance with medicare and pay 200 per op and i get 160 of that  back from insurance, i bought thu AARP, am very care full were i go and make sure it's in network.
I guess my point is there better insurance to be had even then what i have now if you work or even self employed, that is some really bad insurance you have right now, if every thing was followed thu right.

I feel you thu GL

wow, wow
How fast you think all this will happen
the first "fruits" of this kind of project can be expected to be out in the wild after 1-st of May earliest Smiley
'

They just need a good supply of chips to go forward then it won't be long that's been the hold up with sidehack stuff all a long, no chips. even the pod which could have out done any S5 by far but there is no motive to go thu with that now, with so much new stuff due out starting in April or end of next month.
1712  Economy / Computer hardware / Re: [Feeler/WTS] 900 MH/S+ 3 Titans (12 cubes, 3 controllers) on: February 20, 2016, 05:21:08 PM

I just wanted to say scrypt mining is not for everyone, and price is negotiable if you read my post correctly  Wink

diff for sure scrypt mining is not for everyone

I love script mining and won't even down grade this and some times it makes more then direct BTC mining to bad i can't  buy it .
I  do both scripts and btc . and prefer script mining more . 2 years ago about, i could have got a hell of a deal on one of these, it fully worked for 2k  US and a 110 A2 for 1200 US but i was a fool (I still  kick my self for not buying it ) and bought other miners because Zeus was offering a upgrade path, then Zeus ripped off a lot who bought into them there is still law suits going on over the whole Zeus and Gawminer mess,

I bought some of there miners for the upgrade thing and was hoping for two antminer L1's then it all went to hell all that wasted cash on useless miners and the deal passed or was bought up. i had the cash then .

so to anyone new at it, this is actually a sweet deal but like he said script mining is not everyone's bag, i don't blame them, if it's not , i like doing it and not afraid to come out and say so .
1713  Bitcoin / Hardware / Re: Community Miner Design Discussion on: February 20, 2016, 04:47:39 PM

Yeah. And at the same time, it would give Bitfury some good publicity. So everybody wins.

Yea but if they actually agree and see that remains, to be seen .

I'm willing to bet it's not the cash with them either at this point, it's something else, likely to do with investor or investments rules. or just market rules in General the norm aka Normal way it's done  etc.
1714  Bitcoin / Hardware / Re: Community Miner Design Discussion on: February 20, 2016, 04:27:55 PM
And again what is WASP ?
link anybody ?

https://bitcointalk.org/index.php?topic=422243.0

this project will be nothing like that one was but will be if you com pair them side by side but this is being done with care and one design so it will get done the only problem is chips once they have chips and a good supply the rest will fall in place that's how much trust and faith I have in this project and wish i had the cash to match it , this will work over what the wasp did or tried .

Side, means to get it it out there, hes has proved that .
1715  Bitcoin / Hardware / Re: Community Miner Design Discussion on: February 20, 2016, 02:39:08 PM
It seems that this project is suffering by comparison to WASP.  It also is apparent that people think we are time crunched.  Sidehack and I have been discussing this project for about 4 months and only now have the stars lined up for us to start moving forward.

This is NOT WASP - We are not asking for 1 penny. There is ZERO financial risk to any community member.  Sidehack has a great track record and will not release anything that is done half ass nor would any other person involved in the project.

As far as I know I am bank rolling this project with the intention of it being open source and making miners available to the community.  There are no deadlines, there is no roadmap and there is no business plan.  The objective is simple:

Produce a miner that is affordable and efficient to allow home miners to continue to mine bitcoins.

I have spoke with a lot of people about ASICS for the project and have received promising responses. A lot of that info I am unable to discuss presently but Will as soon as I am able to do so.

I appreciate all the responses on this thread and I am excited about the project.
THUMBS UP.  This going to be freaking awesome. No price indications yet so we can start to save up some money?

A guess price more or less 600 bucks for two boards that total 4 th or more in speed  at 500 w or less at the wall that fits any s1/s3/c1/s5 till the S7 with your own controller and most of us have PI type PC lying around waiting  to be used .so  you  provide the rest and most of us have the rest .  again that is a guess more or less they gave Us .The other nice thing there not basing it off what bitcoins cost which is how it should be they base it more off cost to make it which is how it should be.  and not over what it might make more or less  which is how it should be . because there is Market out there for it at a lower price and they can make more selling at a lower price to homes, it's there . numbers really mean nothing . the big investor like seeing those numbers . I guess it make them feel better .

If possible, we'd like to secure Bitfury ASICs for a "final product" that would be compatible with S1/3/5 chassis. Looking at something 4TH/480W wall (stock), undervoltable to about 2.6TH/200W wall. I really want to be able to sell a two-board set for $600 but I don't know if that'll be possible (which is to say, more than cost but less than expected mining revenue).
1716  Bitcoin / Hardware / Re: Looking for a SP20 ASIC board in EU on: February 20, 2016, 02:26:38 PM
Should post that here , but don't worry some one will move this post there Smiley.

if he had the chips now I'm sure we would have them now, I'm sure if he could have got some s7 chips we would have some very nice s7 chip stuff .

T all ready picked out a new cooling system for my new  c1. aka water cooled zero miner  lol .

if it doesn't happen then I'll do whatever .

From what I read there not asking for any upfront cash that's the nice thing about side and the other guy helping they don't want any cash till it's ready like side does with his sticks .

That thing i said about script miners was just that a thing, i know you all won't make any or like them, i won't nor will i ever ask anyone to do anything anyone says they won't Smiley
I Have yet to.
That just a thing, thing,  was more a point about  Innosilicon then anything

I don't like dual miners either but do like doing script mining because at times you can make more doing it but that's about as far I'll say there . Smiley .

if i had the cash to back this , i would do it in a heart beat and never ask for anything while it is being done that how it should be and once it is done do per sells.

not per orders that some how seems like a scam from the start , selling something you don't have made or even have, just so you can make it, shame on you or worse your main intention,  is to steal it. .

So what if i would lose money !!!! .money is replaceable some times trust and respect can't be replaced or won back !!!.
.

if im reading this right a 20 th miner doing only 450w ? dam nice .!!!

1718  Economy / Service Announcements / Re: [ANN] NiceHash.com - sell & buy hash rate cloud mining service / multipool on: February 18, 2016, 08:50:43 PM
is there something i can try my Avalon 4.1 keep getting kicked off of nice hash and my other three miners don't they are all antminers ? it just started only with that miner and the Avalon works fine any place else .

my setting are

Code:
stratum+tcp://sha256.usa.nicehash.com:3334#xnsub  my btc  address and i have tried diff password in diff ways including X or d= whatever .

my speed setting are

Chip Frequency 550:500:450
Chip Voltage 8125
Automatic Voltage = true

now it's starting to drop my s5 , but my c1 and s3 keep going time to move on for now , i guess.

Ive also been trying thu a proxy or  direct connection to Nice hash , im gonna check the eu server.

In my case something is a miss with the USA server the EU server works fine sigh . i  live in the US.
1719  Bitcoin / Hardware / Re: 2016 Current/Upcoming Hardware Discussion on: February 18, 2016, 07:43:27 PM
Hey, i'm not sure of it but none of those hardware will be profitable once the halving is reached no? At least not with the current price!

others  say the new 14/16 nm  will with the right power price but the bottom line is no one really knows for sure till it happen, right now it's all guessing and hoping. imo it won't be any diff then it is now except the older miners like s5 and down might become useless and we will get 12.5 less coins per block etc  and in four years it happens again. That's how i see it Smiley if I'm wrong then I'm wrong and I'll adjust .
1720  Bitcoin / Hardware / Re: New Miner X5 on BitFury 16nm chips on: February 18, 2016, 04:14:11 PM
id drop the s5 upgrade price some if it's even real but like i said 30 + more days then we see it all and how the home miners are gonna be etc .

I'll still get mine from Sidehack. !!!!. his maybe deals look much better and hes US based for better support, not that I'll need it .
