A foundation is separate from the coin itself so the church could be used for the 503C status - which is not easy to obtain.

I'm not a lawyer but I imagine if the funds/profits were properly and openly funneled to the foundation and then legally used for non-profit operations then this loophole could be used which would save Garza and PayCoin/PayBase a lot of money which would give them a serious competitive advantage against other coins.

I believe GiveCoin has already set a precedent in this matter by successfully lobbying for and acquiring 503C status.

it seems that Garza now wants to separate GAW from Paycoin. Not sure if maybe that was the agreement he/they made with team paycoin...in any case, that's impossible to do. Plus, it is really not smart at all for team paycoin to try to create value for paycoin when Garza can just dump it all.
The Adam guy does seem to have a lot of money invested in paycoin, so it's in his best interest to see it succeed (though it's a conflict of interest as  KC6TTR pointed out)

If I had to guess I would say it's related to the current SEC investigation.

They just e-mail some legalzoom template or whatever signed by their lawyer-of-the-day... seen a few of those. Sometimes it's just some made-up threatening e-mail without lawyers, probably cheaper that way.
