Parang tatagal pa yung problema natin sa fees tuluyang bumaba yung hashrate according sa bitinfo nasa 86-103 exahash tapos sa btc.com 95 exahash yung average. Sobrang taas ng regular transaction fee kanina parang pumalo sa 50k satoshis yung huling transaction ko pero kahapon nasa 20k. Ngayong umaangat ng konti yung presyo parang senyales ito na aakyat yung unconfirmed transactions sa 100k.

Tandaan na hindi lang total hashing power ang nag-dedetermine sa presyo ng network fees sa Blockchain, malaking factor din yung dami ng transactions kada araw at yung number ng users na willing to pay ng mas mataas ng transaction fee para mas ma-prioritize yung transaction nila. Kung titignan mo yung mga charts na binigay ko during May 11- May 14 kaya tumaas yung average transaction fee dito eh kasi sabay na bumaba yung total hash rate natin at the same time madami pa ding Bitcoin transactions na nangyayari, ang naging resulta nito tumaas yung network fees parang demand and supply ang nangyari. Demand (number of Users doing Bitcoin transactions) and Supply (Total Hash Rate) so pagka tumaas yung tao na may Bitcoin transaction habang bumababa yung total hash rate ay sure na magreresulta sa pagtaas ng network fees. Pero looking sa last two days ng chart (May 15 - 16) makikita naman natin na bumababa na ulit yung network fees gawa na din ng konti pag-taas ng total hash rate as well as ang pag-baba ng nangyayari na transactions sa Blockchain. Sa tingin ko hindi naman longterm itong pag-taas ng network fees and dahil na rin siguro sa anticipating ng Halving kaya lumobo ito, hintayin lang natin mag-normalize ulit ang total hash rate ng Bitcoin as well as yung network activity para makita natin kung talagang na-apektuhan yung network fees ng halving.

If I have to pay someone who is in the philippines and is a total normie not into crypto, I normally tell them to make a coins.ph account, tell me the bitcoin address associated to their account, and send them bitcoin which they now can directly convert into php.
Convenient, but very pricey in terms of fees and conversion rate.

Any other alternative you guys are aware of?

Believe it or not crypto isn't really popular in the Philippines so I really doubt that most of the Filipinos you will be introducing the Coins.ph wallet app will see it as a convenient way of receiving payment. It may be convenient on your side but them taking some time to learn the app as well as verifying their accounts first (which is really time-consuming) through KYC requirements just to withdraw it in cash is something that they won't really like. What's popular in the Philippines though are remittance centers like Western Union where I know a lot of Overseas Filipino Workers (OFWs) use to send money back here in the Philippines. I did visit their website right now to see why their services are popular to OFWs and come to my surprise that they do have the option for bank transfers with 0$ fees.


I used their price estimator page to give you an idea of how much fees you will have as well as their conversion rates for USD to PHP.

I have some friends who have OFW parents and they say that Western Union is something they commonly use when sending money from abroad. Seeing the current average network fees in Bitcoin right now I can see that 3.99$ for their Bank to Western Union Remittance Center option is considerably cheaper the only downside for both options are the cash transfer isn't instant (4-5 business days), if you have the option to use fiat money instead of BTC I think using a remittance center should be in your considerations.

If you need to try so hard to earn merits, most likely baka hindi ka qualified to earn merits in the first place. Kung mapapansin niyo, ung mga ibang malalaki ang merit count sa Bitcointalk, parang ang casual lang silang nagpopost pero angdaming nagbabato sakanila ng merits. Bakit? Simply dahil mataas ang kaalaman nila tungkol sa Bitcoin to the point na magaganda lahat ng sagot nila tungkol sa mga topics kahit walang ka effort effort ang pagsagot nila.

Sa totoo lang kung magiging newbie lang ako ulit at alam kong wala pa akong ka-alaman sa mga topic na binabasa ko hindi ko talaga pag-pipilitan ang sarili ko na makisama sa conversation na iyon. Kung ako naging newbie ulit hindi ko susubukan mag-post kaagad at ang una kong gagawin is mag-basa ng mag-basa lalong lalo na ang mga reply, pagka hindi ko naintindihan mga sinasabi nila simpleng Google search lang o di kaya forum search para maunawaan ko yung sinasabi nila. Hindi ko din susubukan gumawa ng sarili kong topic pagka meron ng gumawa nito o similar sa gagawin ko dahil gagawa lang ako ng duplicate topic na parang madalas natin nakikita tulad ng "Bitcoin is the new Gold" o "Bitcoin is a Bubble", madalas na ginagawa ito ng mga newbie na gumawa sila ng sarili nilang topic pagka wala na silang ma-ipost which is a wrong move dahil yung mga topic na ito madalas na nagiging megathread na worthless ang value para sa forum. Tandaan nalang na kaalaman talaga ang susi dito para ma-appreciate ka at maintindihan ng ibang mga miyembro dito, if agree sila sa point mo dun ka mataas ang chance mo magka merit pero don't always expect one.

Katulad ng sinabi ko sa tingin ko dapat kasama sa mga rules dito pandagdag is yung mga megathread. Merits sa megathread are almost non-existent unang una sa lahat is madaming merit source if not most hindi bumibisita o nakikisali sa megathread. Pangalawa yung mga topic na ito ay common kaya nakakagawa ng mga generic answers/post kaya yung magiging mga post mo kung hindi pa na na-sagot ay may kaparehas ka. At para sa mga newbie wala kang matututunan sa mga megathread na ito kasi puro mga post na walang sense ang makikita mo dito. I would also recommend avoiding megathreads in general para ma-save niyo oras ninyo.

Also if ikukumpara natin yung mga ibang sources ng polusyon katulad ng mga factory, kotse, at food production di hamak na mas mataas yung nako-contribute nila sa polusyon ng mundo. The first day after the halving usually e mixed pa ang reception ng miners and traders alike. Gaya na lamang ng sudden drops sa hashrate na nakikita natin ngayong araw matapos ang halving. It will take a week or so bago talagang magkaroon ng uniformity sa part ng mga miners at traders: kung may tuluyan bang mawawala sa game o kung may dadagdag bang bagong player. Dun naman sa mga mining farms na currently operating at a loss, they would have to run their rigs and just expect for the best in terms of pricing--which was the case for the past few years, as evidenced by farms getting larger and larger. At sa panahon ngayon ay hindi maganda kung magliquidate ng assets dahil lahat nga ng pera ay currently on the buy side of important things. Anyway, interesting stats to see 24 hrs after the said event, pero give it a week and see the number normalize or return back to its previous state.

I don't think we can say the same thing sa pangatlong halving event na nagyari sa Bitcoin. If you think about it after nung 2017 bull run nagkaroon tayo ng 18 month bearish period at may mga miners na nag-shutdown during that time and that is just because of the price of Bitcoin being to low na hindi nakakapag-cover ng cost sa pagpapatakbo ng mga rigs nila, what more pa kaya na mas lalong kumonti na yung block rewards and at the same time we hindi pa din tayo nakaka-akyat ng 10,000$ level. Either sumama sila sa isang pool at i-accept yung maliit na kita (if meron man) o di kaya i-benta nalang yung mining rigs nila hoping to break even, ito nalang talaga ang tanging paraan ng mga small player kumita. At tama ka para naman sa mga big mining farms di din sila immune sa pagbaba ng block rewards but they do have the advantage of absorbing the rigs of miners who have decided to shutdown their operations, but they also need to do some cost cutting like using renewable energy o di kaya more efficient ASIC miners para lang kumita sila.

While maraming miners ang nag shutdown due sa liliit ang total revenue nila, binance just open a bitcoin mining pool at sure they have lots of miners na mag o'operate amid the effect of halving.

Surely, miner ASICs will be upgraded sooner para mas profitable ang bitcoin mining and to boost computing power, and they should find ways sa mga lugar na mas cheaper ang electric charges para mag tagal sa industry.

Actually parang mild lang ang effect sa hash rate ang nakaraang halving at pag shut ng ibang miners if iko'compare still mas mataas pa ito sa mga nakaraang months at mas mababa pa ang na record ng hash rate this march, siguro dahil sa covid which miners is nag shut temporarily.

Kaya ko linagay yung 3 year chart ng total hash rate natin at makikita naman natin yung drop na ito kahopon ay hindi naman ganun ka significant if ikukumpara mo sa laki ng tinalon nya from 2019 to 2020. Baka yung nakita nating pag-baba ng hashrate ngayon is yung mga small miners accepting defeat at an early stage and like I said in my post ito palang yung resulta after 24 hours ng halving so hindi pa talaga natin alam kung saan talaga tutungo yung mga stats na ito, ang sure lang ako is yung pagbaba ng transaction fees pero hindi ako sure kung tataas ang total hash rate natin dahil may mga miners na sasali sa pool, hindi pa din kasi bumababa yung mining difficulty kaya kailangan din i-consider natin yun as a factor yun.

So mukhang hindi naging matunog sa forum natin yung Bitcoin Halving na nangyari last two days ago at natural lang yun dahil wala namang considerable price action na naganap hindi katulad ng mga nag-hype na mga crypto news media at influencers na nag-sasabi na baka magkaroon ng FOMO event dahil na din sa halving na ito and as it turns out parang it is just another day for Bitcoin. Gayunpaman kahit hindi naging exciting o eventful yung price movement ng Bitcoin may mga importanteng stats tayo dapat makita para talaga makita natin yung full effect ng Bitcoin Halving sa buong Bitcoin network. Here are some stats na naka-apekto sa Bitcoin Network in just a span of 24 hours (May 11 - 12). Pa-alala lang na yung pag-babago ng mga stats na ito in the last 24 hours might not be the same kung titignan natin yung long term effect ng pangatlong halving ng Bitcoin.

Isa sa mga obvious na nangyari is yung pagbaba ng Hash Rate ng Bitcoin mining sa network gawa na din ng ilan na mga miners na nag-shutdown ng kanilang mga operations kasi hindi nila kayang sikmurain yung 12.5 BTC/block na bumaba sa 6.25 BTC/block as of May 11. Dito natin makikita na may mga miners na hindi na kayang mag-operate na kikita sila sa ganitong reward kaya nag-discontinue sila ng kanilang mga operation. Most likely yung mga miners na nag-shutdown ng kanilang operasyon is kakainin sila ng mga malalaking Mining Pools so maybe yung drop of total hash rate na ito ay on a temporary basis lang, let us expect din na may mga more powerful and efficient mining rigs na dadating so pwede natin makita na tumaas ulit yung total hash rate.

Also wag kayo mag-alala sa temporary drop na ito kasi if titignan natin yung total hash rate ng Bitcoin Mining during the last 3 years makikita naman natin na pataas pa din sya at considerable yung jump ng increase nya from May 12, 2019 (52.64 TH/s) to May 12, 2020 (116.884 TH/s) which is more than double the amount (222% increase in total hash rate) kumpara nung 2019 as of last year. Palagay ko nga kaya ito nag-increase ng mabilis in the span of 3 years ay dahil pinag-hahandaan na din ng mga mining pool yung halving for 2020 which is really a big possibility dahil na din considerable yung pag-baba ng block rewards.

Siguro napansin naman natin na tumataas yung transaction cost/network fees ng Bitcoin lately? Wag na kayo magulat kasi kahit before nangyari pa yung halving tumaas na talaga yung network fees ng Bitcoin gawa na din siguro sa temporary na pag-shutdown ng ilang mga miners as well as yung pag-dami mga users na willing magbayad ng mas mahal na network fees para mas mabilis nilang mapadala yung bayad nila.

So how does it compare in BTC's last 3 years? Considering na nang-galing ang Bitcoin sa 54.638$/transaction na average during December 2017 sa tingin ko naman ang 2.789$/transaction natin ngayon ay pwede pa din masabi na mura. Para dun sa mga newbie na nagtataka bakit umabot ng almost 55$/transaction nuong 2017 it was caused by the 2017 bull run kasama na yung massive FOMO during that time, madaming newcomers na bumili nuong nag-hit si BTC sa All time high niya which is almost 20,000$. Paano bumaba yung network fees? Hindi ito dahil kumonti yung transaction sa Bitcoin network pero dahil na din malaki ang tinulong ng Segregated Witness (SegWit) at Lightning Network sa pag-scale ng Bitcoin transactions, isipin niyo nalang na hindi masyadong naging congested yung network nung tumolong yung dalawang ito. Overall yung increase ng network fees natin hindi dapat pangambahan dahil na din na tumaas lang naman yung demand ng mga tao na willing magbayad ng mas mataas na transaction baka na rin cause ng halving kaya ganito.

At dahil nga bumaba yung block rewards ng mga miner natin makikita natin na bababa na din yung revenue nila. Pa-alala lang na assumption lang ito ng magiging revenue nila pag binenta nila kaagad yung na-mine nilang Bitcoin hindi ito yung tunay nilang earnings nung araw na ito. I do think na merong mga miners na nag-hohodl din ng kanilang mga excess na BTC para na din ma-maximize nila yung earnings nila pag-tumaas ang Bitcoin. Also assuming na nag-hohodl nga sila, I have a strong feeling na ang mga miners natin ay hindi na din sasama sa mga panic selling o selling pressure na mangyayari, which means that we only have our whales and institutional investors triggering the market pressures sa kanilang mga trade.



Aside from the considerable drop in revenue ng mga miners natin masasabi ko na yung network ni Bitcoin is normal pa din at wala namang major na epekto ito sa transactions natin with Bitcoin. I would also like to point out na kahit bumaba yung total hash rate natin Bitcoin's mining difficulty remained unchanged which also means that yung drop ng total hash rate natin is not that significant para mag-adjust yung difficulty nya. Gayunpaman this are just the stats during the last 24 hours after nag halve yung block rewards, still pwede pang mag-iba yung mga value na ito in one to two weeks time. If mag-continue bumaba yung total hash rate baka lalong sumunod na bababa ang mining difficulty to compensate the lost in hash rate.

I personally don't use Seunjie DiceBot at sa tingin ko hindi ito yung tamang section para sa thread na ito pero since nandito na rin lamang I think makakatulong sayo ito. Yung program ng dice bot meron silang tinatawag na programmer mode kung saan pwede ka mag-adjust ng LUA scripts within Dicebot, meron silang in-depth tutorial na ginawa sa Steemit Account nila (Part 1, 1.1, 1.2, 2, 3, 4) at meron din silang Youtube channel na may guide para sa programmer mode nila. And since hindi nga ito yung tamang section para dito and baka yung topic mo hindi talaga para sa forum na ito ang mismong Seuntjie Dice Bot ay may sariling forum para dito, if gusto mo talaga matutunan mag-edit ng script pwede mo i-post yung concern mo sakanila under sa Programmer Mode section nila, nag-basa ako ng mga topic dito at mismong developers ng Seuntjie Dice Bot nag-rereply sa mga topics ng forum members so sure kang makakakuha ng sagot na hinahanap mo.

Maganda rin naman ang PDAX exchange sa experience ko parang normal na exchange lang din naman at marami na ding option para makapagcash-in ka dito just like coins.ph pero wala ngalang itong application tulad ng nasa coins.ph kailangan mo pang gumamit ng laptop or kaya desktop para lang makapaagopen ka. Siguro kung long term investment medjo okey siya kahit nasa exchange siya dahil legit naman ang kanilang website at maraming mga bagong feature ngayon.

Ayon nga lang kailangan siya ng identification/KYC para makapagstart ka pero kung titignan ganun na din naman dahil sa coins meron din tayong KYC.

First of all bakit mo kinukumpara ang isang crypto exchange (PDAX) sa isang custodial wallet (Coins.ph)? Parang hindi kasi patas yung pinagkukumpara mo since different yung serbisyo nila sa isa't isa. Recently nagloloko talaga ang system ni coins ph and maraming account ang nalocked despite of having a level 3 account confirmation so if there’s a good option for us, I’ll go for abra wallet and actually abra ang huge competitor ni coins ph and they are also here for many years. I haven’t heard any newd about PDAX honestly, so go for a safe wallet which is for me Abra is more secured if you don’t want coins ph anymore.

Hmm as far as I know yung mga known cases palang na nakikita ko is yung kay Motusora at yung kay dothebeats nung nakita ko kasi yung post ni Motusora nag-alala ako na baka palaging issue ito ng Coins.ph na nag-lolock ng account due to questionable transactions pero nung tinignan ko naman ang recent pages ng ANN thread ng Coins.ph wala naman nag-reklamo na user about having the same problem so I would say that this isn't really a common occurrence para sa mga Coins.ph users. And siguro dun sa level 3 accounts na nagkaka-temporary lock is yung mga tao na hindi pa nag-papasa ng updated KYC documents at hindi pa dumadaan sa proseso, na-experience ko na din kasi ito at binigyan nila ako ng mga 3 weeks notice na kailangan ko daw i-renew yung KYC documents ko at mag-undergo sa isang video call. Understandable naman ito kasi hindi naman sila yung talagang humihingi nito dahil utos ito ng Bangko Sentral ng Pilipinas sakanila.

Hindi ko sure if ito yung tinutukoy mo since nangyari pa ito nung July 29, 2019 which was 10 months ago. Naging house bill pa nga ito pero hindi sya pumasa sa kongreso at hindi sya umabot sa senado natin. In terms of price increase naman based on the chart ng previous post ko makikita mo na walang naging epekto ito sa price movement ng ABS-CBN makikita mo na overall downward trend pa din sya, yes nagkaroon ng konting rally pataas until August of 2019 pero it wasn't enough para masabi natin na reversal sya. Also if ikaw ay investor sa market at hindi trader yung mga spikes na ito sa short term hindi naman ganun ka-importante eh. Ang mahalaga is if nakita mo syang undervalued para sa presyo nya at yung earning potential nya, buying it right now even if nagkaroon ka ng paper loss  you will still be confident and have a peace of mind habang natutulog ka.

Suggestion ko lang sainyo kung gusto niyo makakita ng official news/announcement sa ABS-CBN (o sa kahit ano pang kumpanya) I would rather go sa PSE EDGE page at hindi unahin ang mga balita na nang-gagaling sa media natin.

I agree as well but the competition on LinkedIn was totally huge especially if you're not on a premium account subscription. So far marami ang mga jobs rito but mostly sa mga napag-aaplyan ko they still required to have you walk in on their company or on-site especially if local lang yung inapplyan mo.

Upwork, Freelancer, Toptal and most known freelance site ay hindi mga beginner friendly or yung mga walang masyadong karanasan o experience and what I am annoyed by their site was their reviewing of application to sign up on them kasi mostly they chose those who has experienced or has lot of experience. I don't know if others experience it as well you can share it here if you have the same story.

I'm not really sure kung talagang beginner friendly, pero nung nagsimula ako sa odesk years ago, wala talaga akong alam, basta nag apply lang ako sa mga easy jobs lang copy and paste this and that. Natatandaan ko pa yung unang job ko dyan, may pupuntahan ka na website na mga movies etc at may kokopyahin ako at ibigay s employer. Hanggang nag evolved rin ako, natuto ng konting skills lalo na SEO na during that time patok na patok, then mga research, tapos maintain ng website, etc. So masasabi ko na naging friendly sa kin kahit bago pa lang ako. Siguro one advantage eh hindi pa masyado crowded that time ang Odesk at maraming jobs na available. May kaakibat lang siguro rin ng tyaga at swerte lalo na kung makakuha ka ng long term at maganda gandang sweldo that time.

Kailangan din kasi natin i-consider na yung Odesk is part of a smaller and old platform ng isang kumpanya. Last 7 years ago nagka-merger yung Elance at Odesk which we now know as UpWork, considering that their databases are all combined now and lumalaki na yung freelance market alam mo na na malakas na yung competition para sa mga spots. Kaya siguro sinabi na din ni rhomelmabini na mahirap makakuha ng mga trabaho yung mga konti o walang experience para sa trabaho, idagdag mo pa yung katotohanan na baka hindi pa tayo yung preferred choice ng mga employers pagdating sa mga available spots nila. Siguro before nuong nakapasok ka sa Odesk medyo konti pa kumpara ngayon yung mga freelancers na naghahanap ng trabaho kaya madami kang napapasukan na trabaho pero sa tingin ko right now hindi mo na siguro masasabi yan lalong-lalo na madami tayong nasa bahay lang ngayon due to the pandemic kaya lahat ngayon ng tao hahanap ng diskarte para kumita.

Sa simula palang sasabihin ko na saiyo na undervalued ang ABS-CBN, bakit? If kukumparahin natin ngayon yung stock price niya and it's earnings makikita mo na hindi nagkakalayo sila, ABS-CBN achieved its highest stock price nung 2015 which their gross revenue amounted in 38.7₱ billion pero even though naging stable yung earnings nya or somehow umangat ng konti bumababa ng bumababa yung value ng stock nya kahit naging mas mataas pa sa 38.7₱ billion yung earnings nya sa mga sumunod na taon, bakit? Kasi by the start of 2014 palang may taning na yung franchise nila eh dahil sila mismo nag withdraw ng application for renewal nila nung 2016, dito na nag start magka downtrend ang stock ng ABS-CBN. Paano ko nasabi na undervalued ang ABS-CBN? If we are plainly talking about earnings nandyan na sya, as a company wala na syang kailangan patunayan na stable yung kumpanya ni Lopez dahil in the last 5 years naging malakas yung earnings nila especially nung 2016 elections. 17.50₱/share is extremely undervalued pero yung kalaban nga talaga ng ABS-CBN dito is whether or not mabigyan sila ng renewal and base sa mga nababasa ko mukhang medyo malabo pa ito lalong lalo na wala tayong makuha straight na sagot sa pangulo natin.

His case is a classic example of turning to cryptos as last resort to try and save something that has already sunk.

He was really desperate among all of the directors and board members ng Calata Corporation sa lang ang suspendido indefinitely, kahit gumawa pa sya ng bagong kumpanya basta parte ang pangalan niya duon hindi sya makakapasok sa stock market or hindi nya pwedeng gawing public yung kumpanya niya. Even if he tried to go crypto as a last resort kita naman natin kung gaano kabilis umaksyon yung SEC pagdating sa mga naging next moves niya ay walang nakalusot.

Ah. I remember this dude.

Unfortunately, even though I don't want to take away ung pagiging risk taker at pagiging "madiskarte" nitong taong ito, as an actual CEO, he should have known kung gaano ka risky ung move na ginawa niya. Hindi lang risky para sa business niya, kung hindi risky rin para sakanya mismo.

Looking back in 2017, sa personal image palang niya na parang masyadong egoistic, sabi na nga bang may parang mali sa taong ito.

He was already named the youngest Filipino billionaire next to Injap Sia, ang pinaka mistake niya talaga dito is before naman maging public yung kumpanya malinaw na yung mga powers and limits ng isang CEO sa company, wala man tayong ebidensya na ginawa niya yung actions niya on purpose or unknowingly the point is he made mistakes that also lead to his shareholders losing money. Honestly maganda yung Agribusiness niya dahil nakatulong sya sa mga magsasaka natin makapagbenta directly sa supplier but yun lang nagkamali sya ng direksyon na tinahak, gawa na din siguro ng mabilisan nyang pag-angat.

This kind of people should have been in bars to be honest for fraudulent acts he really did. I remember this guy especially sa agriculture aspect since I've seen mostly his YouTube videos locally about farming especially sa rice farming at sa livestock. Seen also that one on YT about the downfall of it sa panonood ko ng mga videos about stocks and how this billionaire CEO deceived his investors.

If I was the investor sa Calata Corp. hindi rin ako papayag na ipagpalit yung shares trough CalCoins because mostly that will end up the same sa nangyari sa stock shares sa PSE.

I also think that he should also be behind bars, I will always remember his name since nakapag-attend na ako sa isa sa mga talks niya before all of this happened at masasabi ko na nakaka-impress kung paano nya ginawang billion peso business ang agriculture industry at nasabi ko sa sarili ko na isa sya sa mga businessman na gustong tumulong sa mga lower class na magsasaka. Pero I was wrong and got fooled sa mga matatamis nyang salita, ewan ko nga kung gusto niya talaga makatulong sa kanila o sadyang nabulag lang sya sa pera kaya naging ganito sya. I mean from agribusiness gusto nya mag-expand sa gaming industry? Yung attempt na yun dun ko nakita na wala talaga syang pake sa agribusiness nya at ginamit lang nya itong stepping stone dahil nakita nya yung potential nito para sa iba pang industriya.

Background

Maybe some of you have heard the name Joseph Calata (guy in the picture above) especially sa mga members dito na nag-iivest din sa Philippine Stock Market. Joseph Calata is or was the CEO of the now delisted Calata Corporation (agribusiness company) who attempted to get back in the game sa pamamaraan ng pagbenta ng "stock like" cryptocurrency aka Security Tokens. Itong kaso na ito ay ang pinaka unang kaso sa Pilipinas na involved ang unauthorized ICO offering sa bansa. What interest me in this case is it is similar to cases found in the United States na kung saan ay strikto pag-dating sa mga ICO offerings done locally involving Security Tokens, for your comparison ito yung pinaka recent na kaso ng US-SEC against Telegram which has also classified their token (GRAMs) as a security and not as a utility na unang classification nila. Hopefully na yung post na ito ay makakatulong sa pag-intindi ninyo kung ano nga ba talaga ang security tokens at bakit may mga SEC departments ay strikto sa kanilang mga offering.

Lahat ito nagsimula nung December 11, 2017 na delist (natanggal) sa Philippine Stock Market ang Calata Corporation (CAL) ni Joseph Calata, the involuntary delisting is due to the 29 violations na ginawa nya as the CEO and Chairman ng kumpanya. Kasama na dito kung paano niya minislead yung investors niya about them expanding in the gaming sector (casinos) sa upcoming Mactan Airport project noon, yung company disclosure na yun immediately boosted the speculative value of CAL from 2.97 ₱/share umakyat ng 4.28₱/share which is around 60% gain, the catch is yung disclosure na ito ay walang bahid ng katotohanan Joseph Calata released a disclosure based on a rumor na sya din ang gumawa. During this na-diskubre din ng SEC na habang tumataas yung stock Joseph Calata was actively trading his own shares of the company dahil na din sa price action na na-idulot ng false company disclosure nya in simple terms Calata committed insider trading using the fake information he have.

SEC with the involuntary delisting set in place also ordered Calata to buy back the shares of their disgruntled investors. However Calata directly said na yung retained earnings ng kumpanya ay hindi sapat para ibigay yung minimum na 1 Billion PHP na buy back offer para sa mga investors and up to this date Calata have rejected all orders from the SEC about the buy back offer for all investors, however this lead to the alternative of Calata offering a cryptocurrencies to its investors as replacement for their delisted stock shares.


Alternative Solution: Calata Plans to Convert All Outstanding Shares into Cryptocurrencies

3 months before being officially delisted Joseph Calata announced that Calata Corporations is going global dahil sa kanilang CalCoins offering citing in the announcement the current prices of Bitcoin and Ethereum going up in astronomical figures, sinusubukan niyang ipahiwatig na baka lumundag din presyon ng magiging ICO niya. Pag-tinignan mo yung 20:45 minute mark ng Youtube video makikita ninyo na sinabi ni Calata na "holding a token is equivalent of ownership of stocks" (take note ninyo it) dun palang mali na sya. This was a press conference designed to give solution para sa mga shareholders na magkakaroon ng worthless stock in just 3 months, Yung gusto lang ni Calata is mapapayag nya lahat ng investors to say yes para ma-distribute na nya yung CalCoins. Fortunately sa mga investors this plan died down dahil na din sa lack of interest ng mga shareholders sa proposal nya at sa paghintay nalang ng buy back/tender offer sakanila kaya hindi natuloy itong CalCoins na ito. Up to this day wala pa ding nagagawa si Joseph Calata para sa mga shares ng investors hindi nakapag-liquidate.


KROPS ICO and Sudden Appearance of Black Cell Technology Inc.


January 2018 about a month after CAL being delisted in the PSE bigla nalang nakatanggap ng mga reports ang SEC na si Joseph Calata ay may ino-offer na naman na bagong cryptocurrency named KROPS (KRO) gamit ang kumpanya na Black Cell Technology Inc., Upon further investigation of SEC napatunayan nilang may nangyari ngang unauthorized selling ng KROPS ICO dito sa Pilipinas. Pero bakit nga ba may Black Cell Technology na kumpanya dito at bakit sila yung nagbenta ng ICO ni Joseph Calata? Both Calata and Black Cell Technology ay nagbenta ng walang mga kailangan na lisensya o authorization sa gobyerno sa kanilang selling regardless if Utility o Security man ito.

Base sa company profile na makikita sa whitepaper ng KROPS ang owner ng Black Cell Technology is none other than Joseph Calata. Honestly bukod sa Black Cell Technology meron ding mga tinayong Hong Kong incorporated companies si Calata namely Black Sands Capital at Black Cell Technology Ltd but since they all have similar boards at ang tanging si Black Cell Technology Inc. lang ang nagbenta ng ICO sa Pilipinas kaya for the sake of brevity tatawagin ko nalang silang lahat ng Black Cell Technology . Black Cell Technology according sa SEC cease and desist report nila ha no operations in Hong Kong but was just incorporated there, yung whole operations pa din nila is based sa Manila.


Proving my point is the fact na yung principal office address ng Black Cell Technology instead of a Hong Kong address ang linista nilang address is galing sa Pilipinas specfically sa Pulilan, Bulacan. Bukod dun lahat ng incorporators ng kumpanya ay walang nang-galing sa Hong Kong lahat ay nakatira sa Pilipinas. These incorporators namely Joseph Calata, Maricar Malaki, Halmond Ong, Jose Fabella, Solilapsi are also members of the board ng Calata Corporationm in short Black Cell Technology is Calata Corporation disguised as a Hong Kong based company. Kaya siguro nag-under the radar itong kumpanya na ito sa kanilang unang attempt sa pag-offer ng cryptocurrency sa Pilipinas kasi it was done locally at hindi internationally.


How did the SEC Identify KROPs Coin as Securities? - Howey Test

Bukod sa pag-papatunay na nag bypass nga ang KROPs at si Joseph Calata ng mga certain regulatory requirements para sa pag-conduct ng ICO dito from KYC, no license, at no authorization ang ICO ni Calata ay maitututing na Security Token base sa Securities Regulation Code (SRC) Section 3.1. Base sa depinisyon ng isang security makikita mo na ang KROPS ay isang "investment contract" na in-offer ng isang commercial company through electronic means. In simple terms pag ang isang kumpanya ay nag-offer ng isang cryptocurrency it will most likely be classified as a security token.

SEC to further prove the point that KROPS coins are securities ay gumamit sila ng test na ginagawa galing sa United States for identifying securities and investment contracts namely the Howey Test. I will only comment on 1 and 4 since ito yung heavily disputed ng dalawang partido namely Black Cell Technology and Enforcement and Investor Protection Department (SEC). Since 2 and 3 are accepted by Joseph Calata right away SEC only needs to prove the other two para ma-kumpleto yung Howey Test security classification para sa KROPS coin.

[1] Calata argued that "KROPS" ay pangalan lang ng mobile app nila at hindi ito kumpanya they also argued that KROPS cannot be considered as "Investment of Money" since ginagamit lang daw yung cryptocurrency nila as "medium of exchange". Dito nagkamali ng argumento si Calata kasi mabilis na kinontradict ng sariling Whitepaper ng KROPS yung statement niya. SEC specifically quoted their whitepaper stating that KROPS is not a mobile app pero isang "start-up company" pangalawa SEC also quoted that KROPS is on "ICO phase" quickly disproving the statement na ang token nila is a type of medium of exchange since wala pa naman makikita sa merkado na gumagamit ng KROPS as a payment method.

[4] Calata argued that yung pagtaas ng presyo ng cryptocurrency nila shouldn't be counted on their side stating na ang merkado daw ay volatile at yung nagdidikta ng presyo is yung demand sa market. Another invalid argument made by Calata, SEC responded by telling that since Black Cell Technology (juridical entity) is handling the efforts at yung expected profit ng kumpanya ay ipapamahagi sa KROPS holders ay nag-papakita na nakadepende nga yung value ng KROPS sa effot ng ibang tao/entity, SEC also emphasizes that there is also a profit distribution dun sa magiging earnings ng kumpanya.

Nanalo yung EIPD (SEC) sa kaso na ito dahil na satisfy nila yung four elements ng Howey Tests it resulted in a ban of the ICO being conducted in the country sa ngayon yung presyo ng KROPS ay 0$ at hindi na din active ang cryptocurrency na ito sa kahit anong crypto exchange. It had further damage the reputation of Joseph Calata again sa mga mata ng SEC at PSE for attempting to evade the ban na nakalagay sakanya sa stock market, it wasn't really a brilliant move kung iisipin kasi dalawang beses na syang nakapag-loko ng investors once sa stock company niya and dito naman sa KROPS at yung masakit dun ang pinaka-malalang penalty lang sa mga white-collar criminals na katulad niya is either ban, fines, o penalty lang walang pag-kakakulong. It was a good thing that the SEC acted out quickly na wala pang isang buwan na ban na yung ICO ng KROPS dito kasi kung hindi baka dumami pa ang maka-bili sa shitcoin niya.



Sa tingin ko mag-kakaroon tayo ng similar approach katulad ng ginawa ng US SEC which has two classifications of ICO offerings one is yung Utility Token and yung tinatawag na Security Token which is similar to being a stock of a company. Pwede tayo mag-expect na additional regulation dito dahil may iba't-ibang uri na tayo ng ICO offerings

Kung natatandaan niyo naka-gawa ako ng post related sa ma-aaring maging batas natin sa cryptocurrency dito sa Pilipinas at buti nakita ko yung kaso na ito dahil dun sa previous post ko nag-speculate ako kung ano yung magiging classifications natin para sa cryptocurrency. Sa kaso na ito na confirm natin na recognized nga ng SEC ang Security Tokens at Utility Tokens. So dapat mag-expect na tayo sa mga upcoming ICOs done locally kung may proper licenses and documents sila on locally offering their ICO.
